Stoneguard, developed by a two-person independent development team and published under the Wandering Wizard label, launched on Steam Early Access and has achieved a “Mostly Positive” rating from Steam users to date. The Early Access launch provides the development team with an opportunity to continue refining the game based on player feedback while expanding its content and features.

Wandering Wizard also released a new demo and trailer for Veil of Madness, providing players with an updated look at the upcoming first-person psychological horror deckbuilding game. The latest materials are intended to allow players to experience the game ahead of its full release later this year as development continues.

Alongside the new content for its indie label, Snail Games has released a new demo for Dead Party, a sequel to the title Dead Block. The new demo represents the latest development milestone and provides players with an early opportunity to experience the co-op party action game.

Snail Games has also announced the official release date for PixARK: Terracrypt, the voxel-based sandbox survival game’s first premium expansion, set to launch on Steam on August 26, 2026. Q2 Results Were Soft, Ahead of a Busier Second Half. Second quarter revenue declined to $19.7 million from $22.2 million, while bookings decreased to $21.8 million from $27.1 million, and EBITDA was a $3.0 million loss versus a $2.4 million loss in the prior-year period. Despite the softer quarter, first-half revenue increased 11.1% to $47.0 million, while EBITDA improved to a loss of $0.6 million from a loss of $5.8 million.

Reverse Split. On July 1, 2026, the company announced a one-for-five reverse stock split of both its Class A and Class B common stock, effective at 11:59 pm Eastern Time on July 2, 2026, with the shares trading on a split-adjusted basis at market open on July 6, 2026. Notably, we view the reverse split as a favorable development in the company’s efforts to satisfy NASDAQ’s minimum $1 listing price requirement. Although a reverse split does not alter the company’s underlying fundamentals, it removes a technical overhang that has weighed on investor sentiment and could improve trading liquidity and marketability.

(Nasdaq: SNAL) (“Snail” or the “Company”), a leading global independent developer and publisher of interactive digital entertainment, today announced that it will effect a 1-for-5 reverse stock split (the “Reverse Stock Split”) of its Class A Common Stock, par value $0.0001 per share (the “Class A Common Stock”) and Class B Common Stock, par value $0.0001 per share (the “Class B Common Stock” and together with the Class A Common Stock, the “Common Stock”). The Reverse Stock Split will become effective at 11:59 p.m. Eastern Time on July 2, 2026 (the “Effective Time”). The Company’s Class A Common Stock will continue to trade on the Nasdaq Capital Market (“Nasdaq”) under the symbol “SNAL” and will begin trading on a split-adjusted basis when the Nasdaq opens on July 6, 2026. The new CUSIP number for the Class A Common Stock following the Reverse Stock Split will be 83301J308.

On June 2, 2026, a written consent was delivered to the Company’s Board of Directors from the holders of 95% of the voting power of the Company’s issued and outstanding Common Stock (the “Majority Stockholders”), pursuant to which the Majority Stockholders approved an amendment (the “Amendment”) to the Company’s Amended and Restated Certificate of Incorporation (the “Certificate of Incorporation”) to effect a reverse stock split with respect to the Common Stock at a ratio of 1-for-2 to 1-for-10, with the ratio within such range to be determined at the discretion of the Board of Directors. The Company’s Board of Directors subsequently approved the final ratio for the Reverse Stock Split of 1-for-5.

The Reverse Stock Split will proportionally reduce the number of outstanding shares of Common Stock from approximately 15,468,890 shares of Class A Common Stock and 28,748,580 shares of Class B Common Stock to approximately 3,093,778 shares of Class A Common Stock and 5,749,716 shares of Class B Common Stock. The ownership percentage of each stockholder will remain unchanged other than as a result of fractional shares. Proportional adjustments will be made to the number of shares of Common Stock issuable upon exercise of outstanding warrants or options, or the conversion of outstanding convertible notes, as well as to the applicable exercise or conversion price. There will be no change to the total number of authorized shares of Common Stock as set forth in the Certificate of Incorporation. More than a decade after its original launch, the ARK franchise continues to demonstrate strong player engagement and commercial performance across both legacy and next-generation experiences. During the first quarter of 2026, ARK: Survival Evolved (“ASE”) sold approximately 573,000 units, while ARK: Survival Ascended (“ASA”) sold approximately 1.4 million units globally. Player activity across the franchise also remained strong during the quarter. ASE recorded a peak DAU of 143,000, while ASA achieved a peak DAU of 188,000.

As part of the anniversary celebration, Jeremy Stieglitz, co-founder and co-creator of the ARK franchise, will appear at IGN Live in downtown Los Angeles on June 6, 2026, where he is expected to share exclusive new insights regarding upcoming ARK expansions.

First Quarter 2026 Financial Highlights

Net revenues increased 35.7% to $27.3 million compared to $20.1 million in the same period last year. The increase was primarily due to an increase of $4.2 million and $2.1 million in revenue related to ASA and Bellwright, respectively, and a $2.5 million increase in deferred revenue recognized during the period, offset by a decrease in revenue from ARK Mobile and ASE of $1.6 million.

Total units sold increased 42.6% to 2.2 million units compared to 1.5 million units in the same period last year, primarily driven by an increase in sales of ARK franchise IPs of 0.5 million units and Bellwright of 0.2 million units.

Net income increased 210% to $2.1 million compared to a net loss of $1.9 million in the same period last year. The increase was primarily due to an increase in net revenue of $7.2 million and a decrease in total operating expenses of $0.3 million partially offset by an increase in provision for income taxes of $1.6 million, an increase in cost of revenues of $1.4 million and a decrease in total other income, net of $0.5 million.

Bookings increased 21.1% to $26.9 million compared to $22.2 million in the same period last year. The increase was primarily due to better sales promotions in 2026 compared to 2025, tailwind momentum from the December 2025 ARK: Lost Colony DLC release, and Bellwright’s highly regarded content update in late 2025.

EBITDA increased 173.3% to $2.4 million compared to $(3.2) million in the same period last year. The increase was primarily due to an increase in net income of $4.1 million and a decrease in the benefit from income taxes of $1.6 million.

As of December 31, 2025, unrestricted cash was $14.3 million compared to $8.6 million as of December 31, 2025.

Use of Non-GAAP Financial Measures

In addition to the financial results determined in accordance with U.S. generally accepted accounting principles, or GAAP, Snail believes Bookings and EBITDA, as non-GAAP measures, are useful in evaluating its operating performance. Bookings and EBITDA are non-GAAP financial measures that are presented as supplemental disclosures and should not be construed as alternatives to net income (loss) or revenue as indicators of operating performance, nor as alternatives to cash flow provided by operating activities as measures of liquidity, both as determined in accordance with GAAP. Snail supplementally presents Bookings and EBITDA because they are key operating measures used by management to assess financial performance. Bookings adjusts for the impact of deferrals and, Snail believes, provides a useful indicator of sales in a given period. Management believes Bookings and EBITDA are useful to investors and analysts in highlighting trends in Snail’s operating performance, while other measures can differ significantly depending on long-term strategic decisions regarding capital structure, the tax jurisdictions in which Snail operates and capital investments.

Bookings is defined as the net amount of products and services sold digitally or physically in the period. Bookings is equal to revenues, excluding the impact from deferrals. Below is a reconciliation of total net revenue to Bookings, the closest GAAP financial measure.
