Overview. The GEO Group reported better than expected 1Q26 results. The outperformance reflects significant revenue growth from the contracts entered into throughout 2025. Operating expenses were favorably impacted by lower-than-expected labor costs compared to previous expectations. Management continues to expect 2026 to be very active as well on a contract basis and therefore believes the Company has upside potential across the diversified business segments.

1Q26 Results. Revenue increased 17% to $705.2 million, exceeding our $680 million estimate. First quarter 2026 adjusted EBITDA was $131.4  million, compared to $99.8  million for 1Q25, reflecting a 32% increase and above our $108.8 million estimate. GEO reported net income attributable to GEO operations of $38.3  million, or $0.29/sh, compared to net income attributable to GEO Operations of $19.6  million, or $0.14/sh, for 1Q25. We were at $29.2 million and $0.21/sh.

Incremental Term Loan. CoreCivic obtained an incremental term loan in the amount of $100 million from existing lenders under its credit facility. The Company expects to use the $100 million to pay down a portion of the amounts outstanding under its revolver and for working capital and general corporate purposes. With the DHS funding issues, we suspect the federal government has been slow in payment, likely resulting in elevated A/R for CoreCivic.

Updated Debt Details. Following the transaction, CoreCivic’s Amended Credit Facility is in the aggregate principal amount of $800 million, consisting of a $125 million initial term loan, the incremental term loan, and a $575 million revolving credit facility, which has a $25 million sublimit for swingline loans and a $100 million sublimit for the issuance of standby letters of credit.

Credit Facility. The GEO Group amended its Credit Agreement, increasing GEO’s revolving credit facility to $550 million from a prior $450 million. The increase was effective as of January 20th. The increase provides the Company with additional financial flexibility, in our view, to further invest in growth opportunities and/or increase the share repurchase activity.

Share Repurchases. Recall, back in November, GEO announced an expansion of its share repurchase authorization to $500  million and extended the expiration date to  December 31, 2029. As of  November 6, 2025, the Company had approximately $458 million of repurchase authorization available under the share repurchase program. At the current price, the $100 million, if all used to repurchase shares, would further reduce the share count by approximately 5.38 million shares.

Model Refinements. Pre fourth quarter earnings, we went over our model and made some modest adjustments, as well as incorporated 2026 quarterly estimates. With the strong new contract awards in 2025, increased detention populations, and potential for additional awards in 2026, we believe CoreCivic is well positioned to post strong 2026 full year results.

Populations Continue to Rise. Overall, the ICE detainee population continues to increase, hitting just under 69,000 at year-end. This is up from approximately 39,000 at the end of 2024. We expect to see ICE detainee populations continue to increase over the course of 2026 as ICE brings on additional enforcement personnel. Increased populations bode well for CoreCivic.

Overview. GEO Group reported 3Q25 results at or above expectations, excluding one-time impacts. Nonetheless, the shares sold off on concerns about the pace of detentions and uncertain additional facility activations. Notably, since the beginning of the year, GEO has entered into new or expanded contracts that represent over $460 million in new incremental annualized revenues that are already under contract and are expected to normalize in 2026. This represents the largest amount of new business the Company has won in a single year in its history.

3Q25 Results. Revenue of $682.3 million rose 13.1% y-o-y. We were at $650 million. Adjusted EBITDA came in at $120.1 million, or a 17.6% margin compared to $118.6 million, or a 19.7% margin. GAAP EPS was impacted by a $232.4 million gain from the sale of Lawton and a $37.7 million non-cash charge in connection with litigation. Adjusted EPS was $0.25 versus $0.21 last year and our $0.22 estimate.

Contract Awards. As anticipated, U.S. Immigration and Customs Enforcement (ICE) awarded CoreCivic two new contracts, which, once fully activated, would generate total annual revenue of approximately $200 million. The two facilities, California City and Midwest Regional, had been operating under Letter Contracts with ICE, which enable CoreCivic to begin operations at a facility while negotiating a longer-term contract. Both facilities were idle at the beginning of the year.

California City. CoreCivic has been preparing to accept detainees at the 2,560-bed California City facility since April 1, 2025. The Company began receiving detainees at the facility on August 27, 2025. Management currently expects the activation to be complete in 1Q26, achieving a normalized run-rate in 2Q26. Total annual revenue, once the activation is complete, is expected to be approximately $130 million. The new contract expires in August 2027.

A Transition. CoreCivic announced President and COO Patrick Swindle will succeed current CEO Damon Hininger effective January 1, 2026. As part of the transition, Mr. Hininger and the Company have entered into a transition agreement with an effective date of January 1, 2026. West Tennessee. As anticipated, CoreCivic announced another new contract with U.S. Immigration and Customs Enforcement (ICE). Through an intergovernmental services agreement (IGSA) between the City of Mason, Tennessee, and ICE, CoreCivic will resume operations at the Company’s 600-bed West Tennessee Detention Facility, a facility that has been idle since September 2021.

Details. The IGSA expires in August 2030 and may be further extended through bilateral modification. The agreement provides for a fixed monthly payment plus an incremental per diem payment based on detainee populations. Total annual revenue once the facility is fully activated is expected to be approximately $30 million to $35 million, with margins consistent with the CoreCivic Safety segment.

A Tuck-in. Last night, after the market closed, V2X announced it had entered into an agreement to acquire a specialized data engineering, intel mission support, and cyber solutions business serving the Intelligence Community (IC). The transaction is valued at approximately $24 million, net of estimated tax benefits. IC Expansion. The acquisition advances V2X’s strategic growth objectives and further extends its reach beyond traditional defense markets, enabling the Company to pursue a greater share of the National Intelligence Program budget and related opportunities. Availability. Increased use of CoreCivic’s remaining beds will help drive operating results going forward. If all of the idle 13,419 beds were activated, this would imply around $500 million in annual revenue, and around $200 million to $225 million in incremental EBITDA.

Activations. During the quarter, CoreCivic made substantial progress in reactivating three previously idled facilities, and the Company’s activation teams are preparing for additional contracting activity. Management noted that CoreCivic is in advanced negotiations to activate a fourth idle facility and has just begun negotiations for a fifth facility.

Amended Facility. The GEO Group announced amendments to its April 2024 Credit Agreement that provide enhanced flexibility, better terms, and an extended maturity. Along with the additional payments on the outstanding debt, GEO has taken another step closer to being able to return capital to shareholders, in our view.

Details. The Amendment increases GEO’s revolver commitments from $310 million to $450 million and extends the maturity to July 14, 2030. The Amendment further provides that interest will accrue on outstanding revolving credit loans at a rate determined with reference to the Company’s total leverage ratio, which, as of today, reduces the rate by 0.50% from the prior applicable rate. The Amendment also increases GEO’s capacity to make restricted payments over the next five years.

Lawton Sale. The GEO Group announced it has entered into a purchase agreement to sell its Company-owned Lawton, OK, facility to the Oklahoma Department of Corrections for $312 million. This is one of two facilities GEO management had indicated were up for sale. The sale is expected to close by the end of July 2025.

Value Affirming. The Lawton sale re-affirms our belief in the value of GEO’s real estate assets, a value that significantly exceeds the current stock price. Based on the reported 2,682 beds, the purchase price is equivalent to $116,000/bd. With some 43,000 owned beds in the Safety segment alone, the potential value of the segment real estate would be $5 billion. We do not expect the sale to have a significant impact on reported EBITDA.
