Sale demonstrates continued progress in Conduent’s strategy to streamline its portfolio to drive increased focus on its core capabilities and enable synergistic growth

FLORHAM PARK, N.J. — Conduent Incorporated (Nasdaq: CNDT), a global technology-led business solutions and services company, today announced it has successfully completed the sale of its Curbside Management Solutions and Public Safety Solutions businesses to Modaxo, a division of Constellation Software Inc. (TSX: CSU). The signing of the transaction was announced on December 28, 2023. The sale has a purchase price of $230 million.

“This divestiture marks another significant step in our efforts to concentrate on our core capabilities and foster growth that benefits both our shareholders and clients,” said Cliff Skelton, Conduent President and CEO. “With the completion of this sale, our focus remains on a smooth transition for our team members and clients as we continue to execute our growth strategy and advance toward our deployable capital goal.”

As outlined during Conduent’s 2023 investor briefing, the company set on a course to rationalize its business portfolio to increase focus on core capabilities, become more nimble, and enhance shareholder and client value.

Conduent will also continue to drive innovation in its Road Usage Charging Solutions and Transit Solutions businesses to enable streamlined, high-volume mobility services. The sale to Modaxo has no impact on these businesses.

In a landmark achievement, Alphabet Inc. (Google’s parent company) has officially become the 4th publicly traded company in history to cross the $2 trillion market capitalization threshold. Conduent to maintain flexible, dynamic pricing and conduct license plate image reviews, helping to improve the flow of traffic and relieve congestion for VDOT

FLORHAM PARK, N.J. — Conduent Transportation, a global provider of smart mobility technology solutions and business unit of Conduent Incorporated (Nasdaq: CNDT), today announced the implementation of an Express Lanes tolling system in Virginia. The system, which went live March 17 on a segment of the I-64 Hampton Roads Express Lanes, was designed by Conduent as part of a 2021 contract from the Virginia Department of Transportation (VDOT).

Conduent will operate and maintain an innovative and completely overhead vehicle classification system, a traffic-responsive dynamic pricing system and an automated license plate recognition system, as well as conduct license plate image reviews for VDOT. These technologies and services are designed to help improve traffic flow and relieve congestion for motorists and passengers.

To enable dynamic pricing, VDOT will use data analytics to determine toll rates based on the volume of traffic during different times of the day, helping reduce overall travel times and enhance predictability and mobility choices for motorists. The lanes remain free for vehicles with two or more occupants using a required E-ZPass Flex transponder.

The segments will ultimately become a part of a continuous 45-mile Express Lanes network on the corridor. VDOT also has the option under the contract to implement a vehicle occupancy detection system in the future, which would use camera systems and video analytics to identify the number of occupants in a vehicle.

The End of TikTok in the US As We Know It?

In a historic move with far-reaching implications, President Joe Biden signed into law a bipartisan bill on Wednesday that gives Chinese company ByteDance one year to sell or spin off its wildly popular video app TikTok. Failure to comply would result in an outright ban of the app across the United States.

The new legislation marks a dramatic escalation in the ongoing tensions between Washington and Beijing over technology and national security. It thrusts TikTok into the center of a geopolitical tug-of-war that could reshape the internet landscape and social media as we know it.

“This is another front in the brewing US-China tech Cold War that started under the previous administration,” said Stephen Weymouth, a business professor at Georgetown University. “Congress is taking an increasingly aggressive regulatory stance that we haven’t seen before with tech companies.”

At the core of the issue are concerns from US officials that ByteDance, as a Chinese company, could be compelled to hand over TikTok’s data on American users or manipulate content on the influential platform at the behest of Beijing – allegations that TikTok has vehemently denied.

The new law sets the stage for a high-stakes game of brinksmanship between ByteDance and Washington over the next 12 months. The company now faces an agonizing decision: sell off TikTok’s US operations and bid farewell to one of the world’s most lucrative markets, or refuse to comply and risk getting booted out entirely.

“TikTok is going to fight tooth and nail. Banning or forcing a sale would be devastating for them and silence 170 million American voices,” a TikTok spokesperson warned after Biden’s signing. The company has signaled it plans to mount a vigorous legal challenge.

If ByteDance does opt to sell, finding an acceptable buyer could prove complicated. While some investors like former Trump official Steven Mnuchin have expressed interest, concerns remain over whether China would greenlight exporting TikTok’s prized algorithm that drives the addictive video feed.

Valued at potentially over $100 billion, any sale would rank among the largest tech deals ever and a huge windfall for ByteDance’s investors. But without the core technology, TikTok’s allure and price tag would plummet.

The implications extend far beyond just TikTok itself. A US ban could embolden others like India to follow suit and fracture the internet even further along geopolitical faultlines. It could also hasten a broader decoupling of technology supply chains away from China.

For the over 170 million American TikTok users and legions of influencers and businesses hosted on the app, it casts a pall of uncertainty. “Devastation” is how TikTok described the toll a potential ban could take.

In many respects, the TikTok fight has become a touchstone in the intensifying rivalry between the US and China for technological supremacy in the 21st century – with huge economic and security stakes.

“We hope TikTok can live on under new ownership outside China’s control,” said Senator Mark Warner, a key architect of the bill. “But one way or another, we cannot allow data security on Americans to be jeopardized by foreign adversary.”

With the clock now ticking for ByteDance, TikTok’s future in the US will be one of the biggest tech stories to watch over the coming year. Its fate could have far-reaching and lasting impacts on the internet we all use.

The new law came into effect on January 1, 2024, requiring companies that sell, produce, distribute or import goods and are either listed on a Canadian stock exchange or have $20 million in assets, 250 employees and/or $40 million in annual revenue, to submit an annual statement by May 31, detailing efforts to ensure forced and child labor are not used in their business and supply chains, or face fines of up to $250,000.

All modern slavery laws, including the newest one in Canada, require businesses to detail their efforts to audit their suppliers for slavery risks and the specific policies, procedures and training they have put in place to assess the integrity of their supply chains. Kratos and SES successfully showed a flexible network architecture facilitating simultaneous communication pathways for resilient SATCOM. This virtualized and containerized architecture enables soldiers to position their radio frequency (RF) hardware and software-defined hubs anywhere globally. In an industry first, the demonstration showed seamless operation supporting satellites in Medium Earth Orbit (MEO) on a “make-before-break” mode over SES’s O3b MEO satellite network. Make-before-break is an essential capability for MEO and LEO satellite constellations referring to the ability to transfer communication sessions while the user transverses the coverage areas of different satellites.

The demonstration employed a remote terminal in Port St. Lucie, U.S., and a gateway in Lima, Peru, which connected to a software-defined Kratos OpenSpace® vStar hub system located more than 3,000 miles away in Virginia, U.S., all orchestrated and conducted over SES’s O3b satellite network.

Military satellite communications (MILSATCOM) networks increasingly will need to support multiple missions and employ multi-orbit satellite networks while reacting far more quickly than today’s hardware-based ground system. Kratos OpenSpace® Platform is the industry’s only commercially available, fully software-defined satellite ground system that provides the necessary reliability and agility needed for these modern operations. System efficiency was further enhanced by hosting the container-based OpenSpace hub on public cloud resources provided by SES.

In South Carolina and other states, EBT fraud targeting the Supplemental Nutrition Assistance Program (SNAP) and other cash benefits adds costs to government agencies and causes challenges for the recipients who depend on these benefits.

The fraud-reducing technologies are part of a suite of tools Conduent offers that can assist agencies and beneficiaries nationwide in protecting government aid for nutrition assistance, unemployment insurance and other cash-aid programs.

“SNAP beneficiaries rely on benefits to help supplement their monthly food budget to feed their families. When these benefits are stolen from them through fraud, that can result in less food on a family’s dinner table and hungry homes,” said Michael Leach, SCDSS State Director. “Our agency is continually working with Conduent to deploy new strategies and safeguards to prevent our clients from becoming fraud victims.”

Last year, Conduent implemented an advanced interactive voice response (IVR) system technology for South Carolina’s EBT customer service center that automatically identifies suspicious phone call patterns, such as an unusually high number of calls from a single phone number. When threats are identified, the technology can prevent access to EBT account information in real time.

South Carolina has also made an account protection feature available to beneficiaries, allowing them to easily and quickly lock and unlock their benefits card using Conduent’s ConnectEBT mobile app and cardholder portal. This feature, which applies to both in-state and out-of-state purchases, provides cardholders more control and security in managing their accounts and helps prevent perpetrators from gaining access to their benefits. Other states including IowaMarylandNew York and Ohio have also implemented this ConnectEBT feature.

In addition, for South Carolina, Conduent implemented the ability for cardholders to receive and manage usage alerts for identifying suspicious transaction activity on their EBT accounts. This feature can help beneficiaries monitor, spot and report the suspicious activity in real-time.

SCDSS says it will never send clients a text message about locking a card and requiring a SNAP recipient to contact a 1-888 number and provide the client’s EBT card number to unlock the benefits. To report suspicious activity or SNAP fraud, the public is encouraged to make a report to the USDA Office of the Inspector General at 1-800-424-9121 or online here.

Google Unveils Custom Axion Chips in Cloud Computing Arms Race

In the cloud computing battle among tech titans like Amazon, Microsoft and Google, the latest salvo comes from the internet search giant. Google (GOOG, GOOGL) has unveiled its custom Axion chips based on Arm (ARM) designs to try to reduce costs, boost performance for AI workloads, and cut reliance on outside vendors like Nvidia (NVDA).

The move puts Google in the company of rivals who have rolled out their own in-house processors in recent years. Amazon introduced its Graviton Arm chips in 2018, while Microsoft launched Arm-based chips just last November. Even smaller player Alibaba got into the custom silicon act back in 2021.

The economics have become compelling for the hyperscalers to design their own chips instead of relying on x86 processors from Intel (INTC) and AMD (AMD). Amazon has claimed its Graviton chips can provide up to 40% better price/performance compared to standard x86 instances. Google says its Axion chip offers 30% better performance than the fastest general-purpose Arm cloud VMs and a 50% boost over comparable x86 VMs. The chips also provide around 60% more energy efficiency than x86 instances for certain workloads.

Arm’s instruction set architecture allows for more compact and efficient chip designs compared to the complex x86 architecture. While Arm chips have traditionally been used in smartphones and other mobile devices, the cloud titans are now tapping Arm to power their data center workloads. The parallel computing performance of Arm chips also gives them an edge for AI applications which can leverage massive parallelism.

For Google, the new Axion CPUs are just the latest addition to its in-house chip portfolio. The company has designed its own Tensor Processing Units (TPUs) for years, with the latest Cloud TPU v5P unveiled in December being a powerhouse for AI training and inference. It has partnered with Broadcom (AVGO) to build the TPUs, with Broadcom’s CEO Hock Tan boasting last month that Google had bought “a ton” of chips from them.

Google plans to initially use the Axion CPUs for its internal workloads like the YouTube ads business, BigTable and Spanner databases, and BigQuery analytics before making them available externally. Companies like Snap (SNAP), Datadog, Elastic and OpenX are among the initial customers interested in tapping Google’s Arm silicon.

While Google’s cloud business still lags behind Amazon Web Services and Microsoft Azure, representing just 7.5% cloud infrastructure market share in 2022 compared to 62% for the leaders, every bit of performance and cost advantage helps. Custom Arm chips could give Google Cloud a pricing edge to win over more customers in the relentless cloud wars.

For investors, the Axion chips are worth watching as part of Google’s broader strategy to compete more effectively against Amazon and Microsoft in the rapidly growing cloud computing market. While Google generates over 75% of revenue from advertising currently, cloud is growing faster and is already profitable. Any assets like custom silicon that can help Google grab more cloud market share could pay off for the company and its shareholders over time.

The chip ambitions also have implications for other players in the semiconductor space like Arm, Nvidia, AMD and Intel. As cloud heavyweights increasingly go their own way with custom designs, it potentially limits their future chip demand from traditional providers. Arm could be a bright spot as its instruction set architecture becomes more embedded in data centers. But greater in-house chip efforts cast a cloud over prospects for current data center CPU vendors.
