NEW ALBANY, Ohio, Nov. 04, 2024 (GLOBE NEWSWIRE) — CVG (NASDAQ: CVGI), a diversified industrial products and services company, today announced financial results for its third quarter ended September 30, 2024.

As a result of strategic portfolio actions, results from the Cab Structures and Industrial Automation businesses have been reclassified to discontinued operations for current and prior periods. The results and comparisons presented below reflect continuing operations unless otherwise noted.

Third Quarter 2024 Highlights (Results from Continuing Operations; compared with prior year, where comparisons are noted)

  • Revenues of $171.8 million, down 15.3%, due primarily to a global softening in customer demand.
  • Operating loss of $1.1 million, adjusted operating loss of $0.4 million, down compared to operating income and adjusted operating income of $8.9 million. The decrease in operating income was driven primarily by lower sales volumes and operational inefficiencies.
  • New business wins in the quarter of approximately $18 million when fully ramped, bringing the year-to-date total to $95 million; these wins were concentrated in our Electrical Systems segment, and include meaningful wins in our Vehicle Solutions segment.
  • Net loss from continuing operations of $0.9 million, or $(0.03) per diluted share and adjusted net loss of $0.4 million, or $(0.01) per diluted share, compared to net income of $4.7 million, or $0.14 per diluted share and adjusted net income of $4.7 million, or $0.14 per diluted share.
  • Adjusted EBITDA of $4.3 million, down 64.8%, with an adjusted EBITDA margin of 2.5%, down from 6.0%.

Third Quarter 2024 Results

  • Third quarter 2024 revenues were $171.8 million, compared to $202.9 million in the prior year period, a decrease of 15.3%. The overall decrease in revenues was due to lower sales as a result of a softening in customer demand in our Vehicle Solutions and Electrical Systems segments.
  • Operating loss in the third quarter 2024 was $1.1 million compared to operating income of $8.9 million in the prior year period. The decrease in operating income was attributable to the impact of lower sales volumes, unfavorable mix, operational inefficiencies and increased restructuring charges. Third quarter 2024 adjusted operating loss was $0.4 million, compared to adjusted operating income of $8.9 million in the prior year period.
  • Interest associated with debt and other expenses was $2.4 million and $2.5 million for the third quarter 2024 and 2023, respectively.
  • Net loss from continuing operations was $0.9 million, or $(0.03) per share, for the third quarter 2024 compared to net income of $4.7 million, or $0.14 per diluted share, in the prior year period. Third quarter 2024 adjusted net loss was $0.4 million, or $(0.01) per share, compared to adjusted net income of $4.7 million, or $0.14 per diluted share.

On September 30, 2024, the Company had $14.0 million of outstanding borrowings on its U.S. revolving credit facility and no outstanding borrowings on its China credit facility, $30.9 million of cash and $146.3 million of availability from the credit facilities, resulting in total liquidity of $177.2 million.

Third Quarter 2024 Segment Results

Vehicle Solutions Segment

  • Revenues were $97.3 million compared to $115.2 million for the prior year period, a decrease of 15.6%, due to lower sales volume as a result of decreased customer demand and the wind-down of certain programs.
  • Operating income was $5.1 million, compared to $8.3 million in the prior year period, a decrease of 37.9%, primarily attributable to lower customer demand, operational remediation investments, and increased freight costs, partially offset by lower SG&A expenses due to the gain on the sale of a building of $3.5 million. Third quarter 2024 adjusted operating income was $3.8 million compared to $8.3 million in the prior year period.

   Electrical Systems Segment

  • Revenues were $43.4 million compared to $53.9 million in the prior year period, a decrease of 19.5%, primarily due to a global softening in the Construction & Agriculture end-markets and the phase out of certain lower margin business.
  • Operating loss was $0.4 million compared to operating income of $5.9 million in the prior year period, a decrease of 106.6%. The decrease in operating income was primarily attributable to lower sales volumes, restructuring activities, and unfavorable foreign exchange. Third quarter 2024 adjusted operating income was $0.9 million compared to $5.9 million in the prior year period.

Aftermarket & Accessories Segment

  • Revenues were $31.1 million compared to $33.8 million in the prior year period, a decrease of 8.0%, primarily as a result of lower sales volume due to a reduction of backlog in the prior period as well as decreased customer demand.
  • Operating income was $3.1 million compared to $4.3 million in the prior year period, a decrease of 27.0%. The decrease in operating income was primarily attributable to lower sales volumes, operational inefficiencies and restructuring activities. Third quarter 2024 adjusted operating income was $3.9 million compared to $4.3 million in the prior year period.

(1) This outlook excludes any contribution from CVG’s Cab Structures or Industrial Automation businesses in 2024. On October 1, 2024, CVG closed the previously announced sale of the Cab Structures business, and received the final installment of the purchase price. Separately, CVG closed the sale of the Industrial Automation business on October 30, 2024.

This outlook reflects, among others, current industry forecasts for North America Class 8 truck builds. According to ACT Research, 2024 North American Class 8 truck production levels are expected to be at 316,000 units. The 2023 actual Class 8 truck builds according to the ACT Research was 340,247 units.

Based on industry data, we continue to project global agriculture market demand for our customers’ products to be down 15% to 20% and construction market demand to be down 10% to 15% in 2024.

According to SITC, a late-breaking abstract (LBA) submission is solely for abstracts with late-breaking data from interventional clinical trials in humans. The reference does not refer to abstracts that are submitted “late,” as in after submission deadlines.

As of August 1, 2024, 16 patients in the THIO-101 trial had survival follow-up surpassing 12 months, including 9 in third line treatment (3L). Interim median survival follow-up in 3L was 10.6 months. THIO’s substantial survival benefit in third line NSCLC surpasses current standard-of-care overall survival of 5.8 months.1

About THIO

THIO (6-thio-dG or 6-thio-2’-deoxyguanosine) is a first-in-class investigational telomere-targeting agent currently in clinical development to evaluate its activity in Non-Small Cell Lung Cancer (NSCLC). Telomeres, along with the enzyme telomerase, play a fundamental role in the survival of cancer cells and their resistance to current therapies. The modified nucleotide 6-thio-2’-deoxyguanosine (THIO) induces telomerase-dependent telomeric DNA modification, DNA damage responses, and selective cancer cell death. THIO-damaged telomeric fragments accumulate in cytosolic micronuclei and activates both innate (cGAS/STING) and adaptive (T-cell) immune responses. The sequential treatment with THIO followed by PD-(L)1 inhibitors resulted in profound and persistent tumor regression in advanced, in vivo cancer models by induction of cancer type–specific immune memory. THIO is presently developed as a second or later line of treatment for NSCLC for patients that have progressed beyond the standard-of-care regimen of existing checkpoint inhibitors.

About THIO-101, a Phase 2 Clinical Trial

THIO-101 is a multicenter, open-label, dose finding Phase 2 clinical trial. It is the first trial designed to evaluate THIO’s anti-tumor activity when followed by PD-(L)1 inhibition. The trial is testing the hypothesis that low doses of THIO administered prior to Regeneron’s PD-1 inhibitor cemiplimab (Libtayo®) will enhance and prolong immune response in patients with advanced NSCLC who previously did not respond or developed resistance and progressed after first-line treatment regimen containing another checkpoint inhibitor. The trial design has two primary objectives: (1) to evaluate the safety and tolerability of THIO administered as an anticancer compound and a priming immune activator (2) to assess the clinical efficacy of THIO using Overall Response Rate (ORR) as the primary clinical endpoint. Treatment with THIO followed by cemiplimab (Libtayo®) has been generally well-tolerated to date in a heavily pre-treated population. A Record Quarter. Record revenue, net income, and adjusted EBITDA were driven by the Company’s alignment to well funded, critical missions. V2X’s full spectrum capabilities across the mission lifecycle continue to serve as a differentiator. 3Q24 Results. Revenue rose 8% to $1.08 billion, with continued double digit growth in the Indo-Pacific and Middle East areas. Solid FY Q1 results. The company reported fiscal Q1 revenue growth of 26% to $292.3 million, better than our estimate of $275.1 million. Margins were also better than we anticipated; an adj. EBITDA loss of $1.7 million was significantly better than our estimate of a loss of $6.6 million.  

Agents performing well. The company has a high concentration of tenured agents, who performed well in the quarter. A combination of efficient marketing and strong close rates primarily led to the better-than-expected revenue and profitability. Interim Update From Phase 2 Trial Scheduled For SITC. MAIA is scheduled to present a data update from the ongoing THIO-001 trial at a Late-Breaker session of the STIC (Society For The Immunotherapy of Cancer) Annual meeting on Saturday, November 9. The presentation could include data on endpoints and measures of efficacy such as disease control rate, overall survival, and median survival with additional patients and longer treatment times.

Trial Treats Patients With THIO and A Checkpoint Inhibitor. The THIO-001 trial enrolled advanced non-small cell lung cancer (NSCLC) patients that had progressive disease and no longer responded after two or more standard-of-care therapy regimens. Patients were treated with the combination of 3-week cycles of THIO and the standard dose of cemiplimab (350 mg Libtayo, an anti-PD-1 checkpoint inhibitor from Regeneron). Patient enrollment was completed in February 2024.

Solid Q3 results. The company reported revenue of $646.3 million and adj. EBITDA of $176.8 million, both of which were record highs. Notably, the quarter was driven by strong political revenue of $125.2 million, which exceeded expectations. Furthermore, the company was able to capitalize on the influx of high-margin political revenue and pay down $115 million of debt in the quarter.

Record political advertising. The company generated $125.2 million in political revenue for Q3, a record high, and increased its full year political revenue guidance from $270 million – $290 million to a minimum of $340 million. The company’s increased 2024 political revenue guidance reflects a roughly 30% increase over its highest political advertising year, 2020.

Another Challenging Quarter. Third quarter revenue decreased 15.3% to $171.8 million from $202.9 million in the prior year. Operating loss was $1.1 million and adjusted operating loss was $0.4 million, down from operating and adjusted operating income of $8.9 million last year. Net loss was $0.9 million, or $0.03/sh, and adjusted net loss totaled $0.4 million, or $0.01/sh, compared to net income of $4.7 million, or $0.14/sh. Adjusted EBITDA was $4.3 million, down 64.8%. Note: results from the sold Cab Structures and Industrial Automation businesses have been reclassified to discontinued operations.

Soft Customer Demand. Continuing from the second quarter, the agricultural and construction end markets have had softer demand, impacting the Electrical Systems segment. The Vehicle Solutions and Aftermarket & Accessories segments also experienced decreased customer demand, alongside a lower margin business phase out and a reduced backlog, respectively.

Off to a good start. Fiscal Q1 end Sept. results were better than expectations. Revenues were $260.2 million versus our $240.0 million estimate. Adj. EBITDA was $62.9 million versus our $59.0 million estimate. The key revenue upside driver was a solid performance in Food & Beverage, up a strong 17.3% y-o-y and beating our estimate by a solid 10.7%. Figure #1 Q1 Results highlight the quarter versus our estimates. 

Raises low end of fiscal 2025 guidance. Management increased its total revenue guidance for fiscal 2025 by $10 million on the low end of its previous guidance range of $1.22 billion to $1.28 billion, now $1.23 billion to $1.28 billion. The guidance implies attractive mid-single digit to 10% plus year over year revenue growth. Adj. EBITDA margins are expected to be 32% to 34%, or adj. EBITDA between $390 million to $430 million.

MSA Signed. Yesterday, Bit Digital announced that the Company executed its Master Service Agreement (MSA) with Boosteroid Inc. This follows the previously signed binding term sheet with Boosteroid in August 2024. Importantly, the MSA is a five-year term and the Company has placed an initial purchase order of 300 GPUs for its servers.

Performance Impact. The purchase order translates to approximately $4.6 million over five years, or $0.9 million annualized. Management noted that the GPUs are expected to be delivered and begin earning revenue by the end of November. The GPUs will be installed in U.S. datacenters, with management noting there are another 600 GPUs in the pipeline for European datacenters. With the Enovum datacenter fully leased, the machines will go into third party locations, at least in the short-term.

Major Drilling Expands South American Presence with Acquisition of Explomin

In a strategic move to bolster its drilling capabilities and expand its footprint in South America, Major Drilling Group International Inc. has announced the acquisition of Explomin Perforaciones, a leading drilling contractor based in Lima, Peru. The deal, valued up to $85 million USD, is expected to significantly enhance Major Drilling’s access to the copper market and increase its service offerings in specialty drilling.

Explomin is one of the largest specialty drillers in South America, offering deep-hole, directional, high-altitude, and underground drilling services. The acquisition strengthens Major Drilling’s portfolio in copper and other essential minerals, which aligns with its growth strategy focused on geographical and service expansion.

In the twelve months ending October 31, 2024, Explomin generated approximately $95 million USD in revenue, with an EBITDA of $16 million USD, underscoring its solid standing in the industry. Around 90% of Explomin’s revenue is derived from partnerships with senior mining companies, a client base that Major Drilling expects to build upon.

Major Drilling’s CEO, Denis Larocque, highlighted the strategic value of this acquisition, noting that it aligns with the company’s long-term growth objectives, supports sustainable development goals, and builds on both companies’ shared cultural and operational values. Carlos Urrea, Chairman of Explomin, emphasized the potential for continued growth and praised the contributions of Explomin’s team, stating that the partnership would position both companies to thrive.

Under the acquisition agreement, Major Drilling paid an upfront cash amount of $63 million USD with the potential for an additional $22 million USD contingent on Explomin meeting specific EBITDA milestones over the next three years. This structure incentivizes Explomin to achieve an average annual EBITDA of $21 million USD during the earn-out period. Funding for this acquisition is supported by Major Drilling’s current cash reserves and debt facilities, reflecting the company’s strong financial position.

This acquisition positions Major Drilling to capitalize on increasing demand in the copper market and enhances its service portfolio in high-growth regions. Release – Aurania’s Sampling of Sea Bottom Indicates Potential for Greater Extent of Nickel at Corsica

Research News and Market Data on AUIAF

Toronto, Ontario–(Newsfile Corp. – November 4, 2024) – Aurania Resources Ltd. (TSXV: ARU) (OTCQB: AUIAF) (FSE: 20Q) (“Aurania” or the “Company”) reports that further to its news release dated October 3, 2024, Jean-Paul Pallier, P. Geo., VP Exploration of Aurania, and Stefan Ansermet, Geological Consultant to Aurania, have completed first pass sea bottom sampling offshore of the Nonza and Albo Beaches, Cap Corse suggesting that the nickel potential is not confined to the beach alone, but extends significantly offshore Using a high-intensity rare earth magnet lowered to the seabed, very abundant black sands were collected as much as 600 metres offshore of Nonza Beach and up to 300 metres offshore of Albo Beach. The black sands are believed to be composed of awaruite (Ni3Fe) and magnetite (Fe3O4), and preliminary analysis of a concentrate of black beach sand at Nonza yielded 40.1% nickel.

LiDAR is a remote sensing technology that penetrates through vegetation and water, producing detailed 3D images of the Earth’s surface both above and below water. Examination of the black and white LiDAR1 image below (Figure 1), which shows Nonza Beach and the sea bottom immediately to the west of the beach, indicates a markedly different submarine topography in front of the beach. You can see the submarine areas to the north and south have an irregular topography which is due to rocky seabed. The sea bottom west of the beach is mostly smooth; the hollows have been filled in with sand. As demonstrated by historical air photos (Figure 2), it is believed that the waste from the historic Canari Mine, which had filled in the port of Nonza, also filled in and covered the sea bottom at Albo and Nonza Beaches.

One day was spent in reconnaissance sampling of the sea bottom to test this hypothesis (Figures 3 and 4). A high field strength Sm-Nd magnet was used on the end of fishing line and an innovative reel to retrieve it was put together from a power drill by Stefan. A total of four samples were collected in front of Albo Beach and six samples in front of Nonza Beach. In each case, the magnet collected large amounts of magnetic sand off the sea bottom. Samples of this sand have been sent to ALS Chemex in Seville, Spain, for analysis. Since nickel is not present in the magnetite, any nickel in the assays would indicate the presence of awaruite.

The Company has been in touch with WOKO Magnet- und Anlagenbau GmbH of Duisburg, Germany, who manufacture a marine electromagnet that possibly could be used to recover the magnetic sand. This magnet (Figure 5) is used to clean up ordnance from WWII in the sea, and to remove metal trash. We believe the recovery of sand by this method would have minimal disturbance to the environment. The sand is obviously already at the surface and is probably a bottom lag, winnowed by the currents so that the heavy metal grains are preferentially concentrated.
