Lawton Sale. The GEO Group announced it has entered into a purchase agreement to sell its Company-owned Lawton, OK, facility to the Oklahoma Department of Corrections for $312 million. This is one of two facilities GEO management had indicated were up for sale. The sale is expected to close by the end of July 2025.
Value Affirming. The Lawton sale re-affirms our belief in the value of GEO’s real estate assets, a value that significantly exceeds the current stock price. Based on the reported 2,682 beds, the purchase price is equivalent to $116,000/bd. With some 43,000 owned beds in the Safety segment alone, the potential value of the segment real estate would be $5 billion. We do not expect the sale to have a significant impact on reported EBITDA.

Continues Momentum to Increase Utilization Through Existing and New Contracts
BRENTWOOD, Tenn., Sept. 25, 2023 (GLOBE NEWSWIRE) — CoreCivic, Inc. (NYSE: CXW) (“CoreCivic”) announced today it signed a new management contract with Hinds County, Mississippi for up to 250 adult male pre-trial detainees at the Company’s 2,672-bed Tallahatchie County Correctional Facility in Tutwiler, Mississippi. The initial contract term is for two years, which may be extended for an additional year upon mutual agreement.

CoreCivic currently cares for residents at the Tallahatchie County Correctional Facility from the United States Marshals Service, Vermont, South Carolina, the U.S. Virgin Islands, and Tallahatchie County.
Hininger continued, “We continue to see increasing demand for our correctional and detention solutions, evidenced by the new contract with Hinds County. The Tallahatchie County Correctional Facility is a flexible facility, which has capacity to accommodate additional government customers. We have been in discussions with additional federal, state, and local government agencies to utilize capacity in numerous of our facilities, including at the Tallahatchie facility. We have recently accepted approximately 160 additional residents from the state of Idaho under an existing contract at our Saguaro Correctional Facility in Arizona to meet their increasing needs. We have also recently signed contract extensions with the state of Vermont at the Tallahatchie facility, which was scheduled to expire September 30, 2023, with U.S. Immigration & Customs Enforcement at our Elizabeth Detention Center in New Jersey, and with the Texas Department of Criminal Justice for five residential reentry centers in Texas, all of which expired August 31, 2023, and with the state of Montana at our Crossroads Correctional Center in Montana, which expired June 30, 2023.”

Increasing Populations. Management noted ICE populations have increased nearly 26% quarter-to-date. While one month does not make a trend, that is encouraging, especially as we believe there will be further loosening of COVID restrictions and a removal of Title 42, both of which could increase the demand for CoreCivic’s services.
More to Come? In addition to the rising ICE populations, management noted increasing interest from other parties for staffing shortages, as these parties deal with a very tight labor market. With excess bed capacity available and the staff hired, CoreCivic is well positioned to pick up additional business, in our view.

FFO, NFFO, and AFFO Projections. We modestly adjusted our projections for Funds From Operations, Normalized Funds From Operations, and Adjusted Funds From Operations. Our prior estimates reflected a larger estimate for depreciation and amortization and other than we are now using. We are now projecting third quarter FFO at $0.31 per share, versus a prior $0.36, NFFO of $0.31 versus $0.37, and AFFO of $0.31 versus a prior $0.32.
No Change in Business Outlook. We are not currently expecting any major change in the business environment and our projections for revenue and EPS remain unchanged.
