Building an integrated North American phosphate supply platform. First Phosphate is focused on extracting and purifying high-purity igneous phosphate for the lithium iron phosphate (LFP) battery industry. The company is advancing a vertically integrated platform in the Saguenay–Lac-Saint-Jean region of Quebec, targeting the eventual downstream production of purified phosphoric acid and cathode active material (CAM) used in LFP batteries. Warrant exercise enhances capital structure and financial flexibility. First Phosphate Corp. announced the receipt of approximately C$3.07 million following the full exercise of its remaining warrants at C$1.25 per share, marking the exercise of all outstanding external dilutive instruments. This final round of warrant exercises represents a vote of confidence from shareholders and establishes a valuation benchmark for the company. As a result, the company’s capital structure is now notably streamlined, with no remaining dilutive securities other than those held by staff, management, and board members.
Strong balance sheet and funding provide a clear development runway. The company is in a strong financial position with no debt and benefits from a significant C$16.7 million non-repayable and non-dilutive contribution from the Government of Canada. Combined with funds raised since June 2022 totaling approximately C$62.5 million, First Phosphate has built a solid treasury exceeding C$20 million, placing it among a limited group of junior companies with comparable financial strength. This capital position provides a funding runway to advance development activities through to a final investment decision expected within approximately one and a half years.

The Company remains debt-free and is on an accelerated development timeline thanks to a recent non-repayable, non-dilutive contribution of $16.7 million received from the Federal Government of Canada.
Since June 2022, the Company has raised approximately $62.5 million in 10 management-led non-brokered private-placement financings and from funds received from option and warrant exercise.

As previously announced, the Company’s recent infill drilling campaign across the three major zones (Mountain, North and South) has confirmed extensive, continuous mineralization throughout the existing horizon of the initial Mineral Resource Estimate (“MRE”) as well as two new phosphate intersects.
Existing mineralized areas, as well as the two newly discovered intersects, have now been defined in all directions and at depth. Based on the current assay results, the Mineral Resources identified in the Company’s initial MRE, dated September 9, 2024, are now being updated into a current geological model which will be produced next month.
In the Mountain Zone, several intervals exceeding 50 m with grades above 10% P₂O₅ were intersected within the broader composite intervals. Several massive apatite veins reaching up to 2 m in thickness were also encountered.
The Northern Zone highlights the discovery of high-grade phosphate occurring in down-dip continuity. These high grades share mineralogical and visual characteristics (particularly the presence of massive apatite veins) similar to those observed in the Mountain Zone. Several intervals exceeding 50 m with grades above 10% P₂O₅ were intersected within the broader composite intervals.
The Southern Zone highlights high-grade phosphate occurring in down-dip continuity, displaying mineralogical and visual characteristics comparable to those recognized in the Mountain Zone. Several intervals exceeding 50 m with grades above 6% P₂O₅ were intersected within the broader composite intervals.

Sampling, QA/QC and Analytical Methodology
All drill holes were completed using NQ-size diamond drilling. Drill core was logged, photographed, and sampled according to geological boundaries defined by the Laurentia Exploration technical team. Samples were shipped to Activation Laboratories in Ancaster, Ontario, an independent accredited laboratory, for preparation and analysis using methods appropriate for phosphate. The quality assurance and quality control program includes the regular insertion of in-house reference materials, blanks, and duplicates, in accordance with industry best practices.

Advancing financing efforts with international support. First Phosphate has secured a letter of interest (LOI) from the Export and Investment Fund of Denmark (EIFO) for up to €170 million to support equipment and service purchases for its Begin-Lamarche igneous phosphate project in Saguenay–Lac-Saint-Jean, Quebec. EIFO, owned and backed by the Danish government and effectively AAA-rated, would provide a guarantee to participating banks, with its involvement expected to be pro rata and pari passu alongside other senior lenders.

EIFO is backed by the Danish state, and as such, the EIFO guarantee can be considered AAA rated. The guarantee is provided to one or more banks providing the funding and EIFO participation can be expected to be pro rata and pari passu with other senior lenders.

The drilling campaign has confirmed extensive, continuous mineralization across the existing horizon of the initial resource estimate. The drill program has also discovered two new phosphate intersects located in the Northern Zone and in the Southern Zone on the eastern side of the existing mineralized zone. An additional 10,000 meters of targeted drilling was added to the initial drill program of 30,000 meters to solidify an understanding of these new intersects as well as to test additional mineralization located at depth in various areas across the Northern and Southern Zones.
The Company is currently processing the full set of drill results from its original and expanded drill campaign which totalled about 40,000 m with the goal of upgrading the geological model for the Bégin-Lamarche property in the coming weeks.

Steeve has over 20 years of experience in the mineral exploration industry, having worked most recently with Agnico Eagle Mines prior to joining First Phosphate in November 2025.

The project will develop a scalable Canadian process for the production of battery-grade phosphate concentrate, reducing dependence on foreign supply chains.
The project will generate significant economic benefits, including the creation of approximately 277 skilled jobs and the potential establishment of a Canadian phosphoric acid facility supported by local commercial production of phosphate concentrate.
The financial contribution is granted for the completion of a feasibility study of the Company’s integrated Bégin-Lamarche phosphate mine and processing project in Saguenay-Lac-Saint-Jean and covers eligible activities planned through 2028, in accordance with the terms of the agreement.
