Q1 results in line. The company reported Q1 revenue of $34.9 million, in line with our forecast of $35.0 million. Adj. EBITDA for the quarter was $0.2 million, compared with our forecast of $0.5 million as illustrated in Figure #1 Results. Notably, total customers in the quarter increased 95% over the prior year period. 

Definitive merger agreement. On April 1, 2024, the company announced it had entered into a definitive merger agreement to be acquired by privately held Cadent, LLC, a subsidiary of Novacap, for $324 million. The merger is an all cash transaction at $3.21 per share. Notably, the merger agreement includes a 33-day go-shop period, which allows the company to solicit alternative acquisition proposals until its expiration at 11:59 pm ET on May 4.

Blockbuster Music Rights Deal: Blackstone Outbids Concord for Hipgnosis Songs

In a major shakeup in the booming music rights acquisition space, private equity giant Blackstone has emerged victorious in a heated bidding war to acquire Hipgnosis Songs Fund, trumping an earlier offer from music company Concord.

Mixed Q1 Results. The company reported Q1 revenue of $22.0 million, a modest 1.8% increase over the year earlier results and a significant sequential deceleration from 13.7% in the previous quarter. Adj. EBITDA in the latest quarter was $6.1 million, beating our estimate of $5.8 million by 5.0%, a result of lower marketing spend. 

A year of transition.  In January the company switched to a paid subscription, all new members pay a $40 annual fee, while members who joined prior to January 2024 do not pay a subscription fee until January 2025. Travelzoo, the club for travel enthusiasts, today announced financial results for the first quarter ended March 31, 2024. Consolidated revenue was $22.0 million, up 2% from $21.6 million year-over-year. In constant currencies, revenue was $21.8 million, up 1% year-over-year. Travelzoo’s reported revenue consists of advertising revenues and commissions, derived from and generated in connection with purchases made by Travelzoo members, and membership fees.

Net income attributable to Travelzoo was $4.2 million for Q1 2024, or $0.31 per share, compared with $0.23 in the prior-year period. Net income attributable to Travelzoo from continuing operations was $4.2 million for Q1 2024, or $0.31 per share, compared with $0.23 in the prior-year period.

Non-GAAP operating profit was $6.0 million. Non-GAAP operating profit excludes amortization of intangibles ($0.3 million) and stock option expenses ($95,000). Please refer to “Non-GAAP Financial Measures” and the tabular reconciliation below.

Cash Position

Travelzoo North America
North America business segment revenue decreased 4% year-over-year to $14.2 million. Operating profit for Q1 2024 was $4.4 million, or 31% of revenue, compared to operating profit of $4.5 million in the prior-year period.

Travelzoo Europe
Europe business segment revenue increased 13% year-over-year to $6.7 million. In constant currencies, Europe business segment revenue increased 10% year-over-year. Operating profit for Q1 2024 was $1.4 million, or 21% of revenue, compared to operating profit of $457,000 in the prior-year period.

Jack’s Flight Club 
Jack’s Flight Club is a membership subscription service in which Travelzoo has a 60% ownership interest. Revenue from unaffiliated customers increased 16% year-over-year to $1.1 million. The number of premium subscribers increased 11% year-over-year. Jack’s Flight Club’s revenue from subscriptions is recognized ratably over the subscription period (quarterly, semi-annually, annually). Non-GAAP operating loss for Q1 2024 was $24,000, compared to a non-GAAP operating profit of $123,000 in the prior-year period. Non-GAAP operating loss excludes amortization of intangibles ($75,000) related to the acquisition of Travelzoo’s ownership interest in Jack’s Flight Club in 2020. The Q1 2024 operating loss was caused by marketing expenses in connection with growth in members.

New Initiatives
New Initiatives business segment revenue, which includes Licensing and Travelzoo META, was $32,000. Operating loss for Q1 2024 was $130,000.

In June 2020, Travelzoo entered into a royalty-bearing licensing agreement with a local licensee in Japan for the exclusive use of Travelzoo’s brand, business model, and members in Japan. In August of 2020, Travelzoo entered into a royalty-bearing licensing agreement with a local licensee in Australia for the exclusive use of Travelzoo’s brand, business models, and members in Australia, New Zealand, and Singapore. Under these arrangements, Travelzoo’s existing members in Australia, Japan, New Zealand, and Singapore will continue to be owned by Travelzoo as the licensor. Travelzoo recorded $7,000 in licensing revenue from the licensee in Japan in Q1 2024. Travelzoo recorded $10,000 in licensing revenue from the licensee in Australia, New Zealand, and Singapore in Q1 2024. Licensing revenue is expected to increase going forward.

Members and Subscribers
As of March 31, 2024, we were 31.0 million members worldwide, up from 30.5 million as of March 31, 2023. In North America, Travelzoo had 16.2 million unduplicated members as of March 31, 2024, down from 16.3 million as of March 31, 2023. In Europe, Travelzoo had 9.2 million unduplicated members as of March 31, 2024, up from 9.1 million as of March 31, 2023. Jack’s Flight Club had 2.4 million subscribers as of March 31, 2024, up from 2.0 million as of March 31, 2023.

Discontinued Operations
In March 2020, Travelzoo decided to exit its Asia Pacific business and operate it as a licensing business going forward. Consequently, the Asia Pacific business has been classified as discontinued operations.

Income Taxes
A provision of $1.5 million for income taxes was recorded for Q1 2024, compared to an income tax expense of $1.4 million in the prior-year period. Travelzoo intends to utilize available net operating losses (NOLs) to largely offset its actual tax liability for Q1 2024.

Looking Ahead 
For Q2 2024, we expect continued growth in revenue year-over-year, albeit at a smaller pace than in 2023. We also expect for Q2 2024 higher profitability year-over-year. In December 2023, we announced the introduction of a membership fee for Travelzoo beginning January 1, 2024. We recognize membership fee revenue ratably over the subscription period. Legacy Travelzoo members as of December 31, 2023 are exempt from the fee during 2024. Therefore, we do not anticipate to generate membership fee revenue from these members before 2025.

Non-GAAP Financial Measures
Management calculates non-GAAP operating income when evaluating the financial performance of the business. Travelzoo’s calculation of non-GAAP operating income, also called “non-GAAP operating profit” in this press release and today’s earnings conference call, excludes the following items: impairment of intangible and goodwill, amortization of intangibles, stock option expenses and severance-related expenses. Non-compliance notice. On April 17 the company was not able to file its 10-K on time, and, subsequently, received a notification of non-compliance from NASDAQ. Notably, the company has 30 days to submit an actionable plan to regain compliance. Importantly, the failure to file its 10-K on time was attributed to the inability of  its auditor, Marcum, to verify impressions data. 

New auditor expected soon. Marcum is terminating its relationship with the company, citing its inability to verify the company’s impressions data. Importantly, we expect the company to sign a top 10 US accounting firm within the 30-day window. The audit should be able to ramp quickly, given that the company will be able to provide timely access to all the data the was requested by the previous auditor. Additionally, we expect Nasdaq will accept its plan and grant the company up to 6 months to complete the10-K filing, as well as its first quarter 10-Q filing.

Potential Bounce TV sale. The company appears to be currently shopping its Over The Air (OTA) network Bounce TV, a network geared towards African American audiences. The sale of the Network, which would be viewed favorably, could take some of the pressure off of the company’s high debt leverage. Notably, CEO Adam Symson indicated that a deal could take place in the second or third quarter of this year. 

Strategic interest? There are a number of networks and programming companies that are focused on the attractive African American audience and could be strategic buyers for Bounce. We estimate that Bounce has shown attractive growth over the past several years, doubling in revenue since it purchased the network in 2017 to over $150 million in revenue in 2023. We estimate a potential selling price could be between $165 million to $225 million, or 1.1 to 1.5 times revenues.

Amended debt swap. Upon pressure from the majority of its debt holders, the company amended the terms of its debt swap, decreasing the discount on the debt from 80% to 94%, but also decreasing the interest rate from the previous plan of 8.75% to 8.0%. This plan for the debt conversion appears likely to be completed given that it is estimated that 90% plus of the holders have agreed to the terms. The company needs only 95% of its lenders to agree to the new terms by May 1 to complete the conversion. 

Lengthens maturities. The new debt will extend maturities from 2026 to 2029, providing a large runway for the company to execute its growth initiatives and debt reduction efforts.

ATLANTA, April 16, 2024 (GLOBE NEWSWIRE) — The National Association of Broadcasters Leadership Foundation (“NABLF”) selected two television stations owned by Gray Television, Inc. (NYSE: GTN) for this year’s coveted Service to America Awards. The NABLF’s Service to America Awards recognize outstanding community service by local broadcasters each year for their exemplary service to their communities. The NABLF recognizes the winners in each category at an in-person gala in Washington, DC, on June 4, 2024.

WANF (CBS) in Atlanta, Georgia, won the Large Market category for its investigative series “In Plane Sight: an investigation into racial profiling at airports by TSA and DEA.” Atlanta News First Investigates exposed plainclothes drug agents seizing money from innocent passengers at Hartsfield-Jackson Airport, the busiest airport in the world. By employing special investigative techniques to uncover the drug agents and their methods — and using a 360-degree camera, WANF Chief Investigator Brendan Keefe was able to hold local police and the federal government accountable for taking millions in cash from people who were never arrested or charged with crimes, most of whom were people of color. Congress is now poised to pass The FAIR Act, a proposed new law that would no longer force airline passengers to prove themselves innocent just to keep their own money.

WJHG (NBC) in Panama City, Florida, won the Small Market category for its community service program “Chapter Chat,” a campaign to close the reading gap among children that was further widened after Hurricane Michael and the pandemic. This effort began after the WJHG news team reported less than half of third graders in Bay County, Florida could read on grade level, and over 900 children were considered homeless. While the news team asked tough questions to school officials, they also sought solutions. They created the Chapter Chat book club to promote reading and encourage using the public library, they held a book drive that collected over 1000 books for F.L.O.W., a free library on wheels that distributes books to children, and they read to children at local schools. Library officials credit the Chapter Chat campaign with helping improve visitation by almost 20 percent, and they report a 14 percent increase in library card holders since the campaign started. The station’s campaign also helped them secure a grant to get more books in circulation.  WJHG-TV previously won the Service to Community Award for Small Market Television in 2020 for its enterprise series “Remembering the Forgotten” about the lack of federal aid following Hurricane Michael in 2018.
