OLC Achieved Significant Milestones In 3Q24. Unicycive reported a 3Q24 loss of $4.1 million or $(0.05) per share. During the quarter, the NDA was submitted for approval of oxylanthanum carbonate (OLC), its phosphate binder for patients on renal dialysis. After the close of the quarter, the acceptance for filing was announced with a PDUFA date of June 28, 2025. The quarter ended with $32.3 million in cash, which we believe is sufficient to fund operations and launch of OLC in 2025-26.

NDA Submission Was Completed As Expected. In early September, Unicycive submitted the new drug application (NDA) for OLC, its phosphate binder for patients on renal dialysis. On November 11, the company announced FDA acceptance of the application for review and assigned a PDUFA date of June 28, 2025. This is the statutory date for the FDA to answer the application with Market Approval or a denial known as a Complete Response Letter (CRL).

Q3 results. The company reported revenue of $22.5 million, largely in line with our estimate of $25.0 million, and Adj. EBITDA of $0.5 million, below our estimate of $4.0 million. Notably, results benefitted from the Aberration DLC release that was included in the sale of Ark: Survival Ascended (ASA), and part 2 of Bobs Tall Tales. Importantly, the adj. EBITDA miss was a largely a function of lower revenue, given the amount of fixed licensing expenses in its cost structure.

DLC release outlook. With the release of the Aberration DLC in September, there are three DLC packages that were included in the sale of ASA that have yet to be released. The next DLC is expected in Q4 and two more are expected in 2025. Importantly, as DLC packages included in ASA are released, the company will defer less revenue from ASA sales, which should provide investors with a clearer picture of company operating results.

Credit Facility and CMOP Update. Yesterday, DLH announced the Company has amended its credit facility with lenders to modify the borrowing capacity of the facility itself and the financial covenants of the agreement. The credit facility’s maximum capacity is reduced from $70 million to $50 million with the amendment, although no changes were made to the maturity or pricing terms. We would point out that DLH also is expected to transition a portion of its CMOP locations to set-aside, small business contractors, although no further details were given.

Financial Covenants. As for the financial covenants of the agreement, the two that are specifically being changed are the Total Leverage ratio and Fixed Charge Coverage ratio. Importantly, the amendment increases the maximum threshold of the Total Leverage Ratio, with the most recent being to 4.5 to 1.0 in the first quarter next year from a prior 4.25 to 1.00. As for the Fixed Charge Coverage ratio, the minimum threshold is being lowered with the most recent staying the same at less than to 1.25 to 1.00 in the first quarter next year but lowering in subsequent quarters. While the reduction of the capacity of the facility is not ideal, we believe the changes to the covenants provides DLH flexibility in anticipation of the Company’s CMOP locations being moved to small businesses, impacting performance.

Two Trials Expected To Report Data Shortly. Cocrystal reported a 3Q24 loss of $4.9 million or $(0.49) per share. The company made progress in its clinical programs during the quarter, including CC42344, its oral PB2 inhibitor for seasonal and pandemic influenza. We see this an increasingly important product, given the spread of a new variant of the virus known as H5N1, or the avian flu. Data from its Phase 2a human challenge study is expected before year-end.

CC-42344 Could Be Effective Against The New Bird Flu. As discussed in our Research Note on June 21, a new virulent strain of influenza known as avian flu (H5N1) had been detected in dairy cattle. Earlier this year, the first infections in dairy workers showed the virus had mutated enough to begin infecting humans. Preclinical testing with CC-42344 showed it was able to inhibit the virus and has potential for human use against the strain.

Q3 beat. The company reported solid Q3 results, beating our estimates on both revenue and adj. EBITDA. Q3 revenue was $135.3 million, better than our estimate of $130.6 million and adj. EBITDA was $9.2 million, better than our estimate of $7.8 million.

Kiosk re-deployment paying off. After focusing on re-deploying underperforming kiosks during 2023 and in the first half of 2024, the company’s kiosks appear to be gaining traction. This is evident in the median transaction size, which climbed from roughly $200 in the beginning of the year to $250 in Q3. Notably, it takes time for re-deployed kiosks to be discovered by potential users. As a result, newly deployed kiosks tend to have an initial drag on profitability.

Fed Chair Powell: No Rush to Cut Rates Amid Strong U.S. Economy

Federal Reserve Chair Jerome Powell recently signaled that the central bank sees no need to accelerate interest rate cuts, pointing to the resilience of the U.S. economy. Speaking at a Dallas Fed event, Powell highlighted the strength in several key economic indicators—including sustained growth and low unemployment—while acknowledging that inflation remains slightly above the Federal Reserve’s target.

Currently, inflation sits just above the Fed’s preferred 2% target, with October’s Personal Consumption Expenditures (PCE) price index estimated at around 2.3%, while core PCE inflation, which excludes volatile food and energy prices, is anticipated to reach about 2.8%. Although inflation remains higher than the target, Powell emphasized the Fed’s confidence that the economy is on a “sustainable path to 2%” inflation, justifying a gradual, measured approach to any future rate adjustments.

Despite continued economic growth, which Powell described as “stout” at an annualized rate of 2.5%, and a stable job market with a 4.1% unemployment rate, the Fed is maintaining its flexibility. According to Powell, the ongoing strength of the economy allows the Fed to “approach our decisions carefully.” This measured stance contrasts with earlier expectations from financial markets, where investors had anticipated a series of rate cuts for the next year. Now, based on Powell’s remarks, these expectations are being recalibrated, and fewer cuts are anticipated.

The Fed’s cautious stance also reflects broader economic uncertainties as the U.S. awaits potential policy changes from President-elect Donald Trump’s incoming administration, particularly regarding tax cuts, tariffs, and immigration policy. These factors could impact inflation and growth in ways that are still unfolding. Investors are closely watching the economic outlook as they prepare for potential policy shifts that could influence both the domestic economy and inflationary pressures.

Powell’s comments come at a critical time as the Fed’s next policy meeting approaches on December 17-18, with many traders expecting a further quarter-point reduction. However, recent inflation and economic strength may lead the Fed to hold off on more aggressive cuts in the near future. Powell reiterated that the Fed is committed to reaching its inflation goals, stating, “Inflation is running much closer to our 2% longer-run goal, but it is not there yet,” underscoring the Fed’s careful monitoring of inflationary trends, including housing costs.

As markets adjust to the Fed’s deliberate approach, Powell’s emphasis on data-driven, cautious decision-making has given investors insight into the central bank’s priorities. TransAlta Finalizes Acquisition of Heartland Generation in $542 Million Deal

This expanded portfolio is expected to be highly accretive to the company’s cash flow, contributing an estimated $85 to $90 million in annual EBITDA post-synergies and divestitures. Approximately 60% of Heartland’s revenues are under long-term contracts with an average remaining life of 15 years, ensuring steady, reliable income from high-credit, stable clients. According to TransAlta, the acquisition will yield substantial free cash flow and achieve a cash yield backed by low-cost, high-efficiency energy generation, supporting Alberta’s dynamic power needs.

CEO John Kousinioris emphasized the alignment of this acquisition with TransAlta’s growth strategy in Alberta. “The pending acquisition of Heartland will allow TransAlta to incorporate high-demand generation capabilities, enhancing our role in supporting grid reliability. Consistent with our original investment thesis, the Alberta market will increasingly require low-cost, flexible, and fast-responding generation to support grid reliability over the coming years. This transaction supports our competitive position by ensuring we maintain a robust and diversified portfolio,” he noted. The deal allows TransAlta to better meet Alberta’s evolving energy demands and gain an edge in the market by offering reliable power that complements and balances renewable energy sources, particularly as renewables are scaled up across Alberta.

TransAlta will also leverage significant operational and financial synergies by integrating Heartland’s assets. The company expects $20 million in annual synergies through shared corporate and operational costs. With TransAlta’s existing assets, the expanded scale will enable supply chain efficiencies, operational optimizations, and additional synergies that will enhance margins and support long-term growth. Heartland’s portfolio, with critical infrastructure for future hydrogen development, is also well-suited to support sustainable initiatives, aligning with TransAlta’s commitment to advancing clean energy solutions.

The transaction metrics are favorable to TransAlta’s growth outlook, with an estimated $270 per kilowatt valuation for the Heartland assets. Charter to Acquire Liberty Broadband Corporation in $280M All-Stock Deal

(“Bitcoin Depot” or the “Company”), a U.S.-based Bitcoin ATM operator and leading fintech company, today reported financial results for the third quarter ended September 30, 2024. Third Quarter 2024 Financial Results

Revenue in the third quarter of 2024 was $135.3 million, down 25% from $179.5 million in the third quarter of 2023. This decline was largely driven by the impact of unfavorable legislation that was passed in California that went into effect in January 2024, along with the Company’s continued process of relocating underperforming kiosks in order to optimize fleet profitability.

Total operating expenses declined 13% to $16.9 million for the third quarter of 2024, compared to $19.5 million for the third quarter of 2023 due to costs of going public in 2023 that did not recur in 2024.

Net income for the third quarter of 2024 increased 116% to $2.3 million, compared to net income of $1.1 million for the third quarter of 2023. The increase was due to lower operating expenses in 2024, and expenses associated with the PIPE financing in the third quarter of 2023 that did not recur in 2024.

Adjusted gross profit, a non-GAAP measure, in the third quarter of 2024 was $22.4 million, down 17% from $26.9 million for the third quarter of 2023. Adjusted gross profit margin, a non-GAAP measure, in the third quarter of 2024 increased approximately 160 basis points to 16.6% compared to 15.0% in the third quarter of 2023. Adjusted EBITDA, a non-GAAP measure, in the third quarter of 2024 decreased 34% to $9.2 million, compared to Adjusted EBITDA of $13.9 million for the third quarter of 2023. The decline was due to the lower revenue. Please see “Explanation and Reconciliation of Non-GAAP Financial Measures” below.

Cash and cash equivalents were $32.2 million as of the end of the third quarter of 2024. The Company generated $5.8 million in cash flows from operations in the third quarter and $17.3 million for the first nine months of 2024.

During the third quarter of 2024, the Company generated $5.8 million of cash flow from operations compared to $7.0 million in the third quarter of 2023.

BOTHELL, Wash., Nov. 13, 2024 (GLOBE NEWSWIRE) — Cocrystal Pharma, Inc. (Nasdaq: COCP) (“Cocrystal” or the “Company”) reports financial results for the three and nine months ended September 30, 2024, and provides updates on its antiviral product pipeline, upcoming milestones and business activities.

“The coming months are critically important to Cocrystal as we expect to report topline results from two ongoing clinical studies with our best-in-class antiviral candidates in major medical indications,” said Sam Lee, Ph.D., President and co-CEO of Cocrystal. “In the Phase 2a influenza A challenge study with our oral PB2 inhibitor CC-42344, we expect to report topline results before year end. Earlier this year, we received feedback from the U.S. Food and Drug Administration (FDA) on a Pre-IND package that improves our clarity on the regulatory path and requirements for the late-stage influenza A clinical study we plan to conduct in the U.S.

Antiviral Product Pipeline Overview

We apply our proprietary structure-based drug discovery platform technology for developing broad-spectrum antivirals that inhibit viral replication. By designing and selecting antiviral drug candidates that target the highly conserved regions of the viral enzymes, we seek to develop drugs that are effective against the virus and mutations of the virus, and also reduce off-target interactions that may cause undesirable side effects. Our drug discovery process differs from traditional, empirical medicinal chemistry approaches that often require iterative high-throughput compound screening and lengthy hit-to-lead processes.

Influenza Programs

Influenza is a major global health threat that may become more challenging to treat due to the emergence of highly pathogenic avian influenza viruses and resistance to approved influenza antivirals. Each year there are approximately 1 billion cases of seasonal influenza worldwide, 3-5 million severe illnesses and up to 650,000 deathsOn average, about 8% of the U.S. population contracts influenza each seasonIn addition to the health risk, influenza is responsible for an estimated $11.2 billion in direct and indirect costs in the U.S. annually.

  • Oral CC-42344 for the treatment of pandemic and seasonal Influenza A infections
    • Our novel PB2 inhibitor CC-42344 showed excellent in vitro antiviral activity against pandemic and seasonal influenza A strains, as well as strains that are resistant to Tamiflu® and Xofluza®.

COVID-19 and Other Coronavirus Programs

By targeting viral replication enzymes and proteases, we believe it is possible to develop effective treatments for all diseases caused by coronaviruses including COVID-19 and its variants, Severe Acute Respiratory Syndrome (SARS) and Middle East Respiratory Syndrome (MERS). CDI-988 showed potent in vitro pan-viral activity against common human coronaviruses, rhinoviruses and respiratory enteroviruses, as well as against noroviruses. The global COVID-19 therapeutics market is estimated to exceed $16 billion by the end of 2031.

Third Quarter Financial Results

Research and development (R&D) expenses for the third quarter of 2024 were $3.2 million, compared with $4.2 million for the third quarter of 2023, with the decrease primarily due to lower clinical study expenses. General and administrative (G&A) expenses for the third quarters of 2024 and 2023 remained relatively stable at $1.8 million.

The net loss for the third quarter of 2024 was $4.9 million, or $0.49 per share, compared with a net loss for the third quarter of 2023 of $4.2 million, or $0.41 per share, that included a $1.6 million payment to the Company in 2023 for a legal settlement.

Nine Month Financial Results

R&D expenses for the first nine months of 2024 were $10.5 million, compared with $10.9 million for the first nine months of 2023. G&A expenses for the first nine months of 2024 were $4.1 million, compared with $4.6 million for the first nine months of 2023.

The net loss for the first nine months of 2024 was $14.2 million, or $1.40 per share, compared with a net loss for the first nine months of 2023 of $13.5 million, or $1.43 per share.

Cocrystal reported unrestricted cash as of September 30, 2024 of $13.0 million, compared with $26.4 million as of December 31, 2023. Net cash used in operating activities for the first nine months of 2024 was $13.3 million, compared with $11.3 million for the first nine months of 2023. The Company had working capital of $12.3 million and 10.2 million common shares outstanding as of September 30, 2024.

Kratos Led Team Will Design, Implement and Operate Ground Infrastructure Supporting Interoperability Across Multi-Vendor LEO Constellations Using its Kratos OpenSpace® Platform

SAN DIEGO, Nov. 13, 2024 (GLOBE NEWSWIRE) — Kratos Defense & Security Solutions, Inc. (Nasdaq: KTOS), a technology company in the defense, national security and global markets, announced today that it has been awarded a contract valued at a maximum of $116.7 million over five years to create and operate an Advanced Fire Control Ground Infrastructure (AFCGI) for the U.S. Space Development Agency’s (SDA) Advanced Fire Control (AFC) program. The AFC will deliver integrated space and ground elements to demonstrate advanced fire control missions for missile defense.

Advanced fire control brings highly sophisticated systems for space-based sensing. These systems enable precise, real-time coordination for tracking operations in space for effective responses to threats. Among its applications, the AFCGI will support SDA’s Fire-control On Orbit-support-to-the-war Fighter program, also known as FOO Fighter or F2, which is tasked with detecting and tracking advanced missile threats, including hypersonic missiles.

As the AFCGI prime contractor, Kratos will lead a team of partner companies to:

  • Deliver and manage ground segment resources, including ground entry points and terrestrial network connections;
  • Fit-out and manage a government-owned, contractor-operated (GOCO) facility called the Demonstration Operations Center;
  • Manage a government-procured, contractor-operated cloud environment to provide cloud services, including hosting space vehicle mission operations center software and interfacing with mission partner systems; and,
  • Provide program management, systems engineering, integration, verification, and operations and maintenance of the AFC ground infrastructure.

Members of the Kratos-led team include ASRC Federal Systems Solutions, LLC, Peraton, Inc., Sphinx Defense, Inc. and Stellar Solutions, Inc.

Core to the AFCGI, Kratos will provide a Ground Resource Manager (GRM) which will be built for the FOO Fighter program and designed to support any future fire control demonstrations. Built upon Kratos’s OpenSpace Ground Platform, the GRM will ensure interoperability to support new space vehicles built by multiple manufacturers from multiple AFC constellations. OpenSpace is an orchestrated, software-defined and cloud-native platform based on accepted industry standards. With it, these satellite manufacturers will be able to synchronize their Command and Control (C2) missions into the AFCGI infrastructure, and new network elements and software applications will integrate seamlessly into the AFCGI. The GRM will act as the hub for the AFC constellations, serving to demonstrate modern capabilities as they evolve to support increasingly sophisticated operational programs.

NEW ALBANY, Ohio, Nov. 12, 2024 (GLOBE NEWSWIRE) — Commercial Vehicle Group (the “Company” or “CVG”) (NASDAQ: CVGI), a diversified industrial products and services company, announced that Carlos Jimenez, who briefly held the role of Executive Vice President, Global Operations and Supply Chain, is resigning from the Company effective immediately for personal reasons that would prevent him from fulfilling his responsibilities at CVG. Mr. Jimenez’s resignation is not due to any concerns with the Company.

The Company is in the process of conducting a comprehensive search for a permanent replacement to lead Global Operations and Supply Chain. In the interim period, James Ray, President and Chief Executive Officer, will assume oversight responsibilities for Global Operations and Supply Chain.
