Fiscal Year Results. Management reported revenue of CAD$4.7 million for the year from CAD$6,479 last year. This is due to fees earned from technology license, evaluation, and collaboration agreements. The Company had a net loss of CAD$676,940, or a loss of $0.01 per share, from a loss of CAD$5.6 million or $0.11 last year, with the improvement from the increased revenue.

Balance Sheet and Cash Flow. MustGrow ended the year with CAD$6.8 million in cash, slightly down from CAD$7.0 million last year. The Company used CAD$294,764 in CFFO, an improvement from a use of CAD$3.3 million last year. The improvement was due to the revenue from fees earned. Barring any additional revenue, we estimate that the Company currently has an approximate 15-month runaway before needing new capital.

Agreement executed with RenFuel K2B AB. Comstock completed agreements to invest up to $3 million in RenFuel K2B AB over a three-year period. The investment will support commercialization of joint development applications and renewable fuel technologies, along with the development of a 100 thousand tonnes per year (TPY) biorefinery joint venture project in Sweden. The agreements call for the purchase of up to $3 million in 7% senior secured convertible notes funded in quarterly installments of $250 thousand for three years.

The power of partnership. Comstock’s partnership with RenFuel has accelerated the commercialization of its technologies. The companies’ joint venture project is strategic to Comstock’s plan to commercialize its proprietary Bioleum product. Non-compliance notice. On April 17 the company was not able to file its 10-K on time, and, subsequently, received a notification of non-compliance from NASDAQ. Notably, the company has 30 days to submit an actionable plan to regain compliance. Importantly, the failure to file its 10-K on time was attributed to the inability of  its auditor, Marcum, to verify impressions data. 

New auditor expected soon. Marcum is terminating its relationship with the company, citing its inability to verify the company’s impressions data. Importantly, we expect the company to sign a top 10 US accounting firm within the 30-day window. The audit should be able to ramp quickly, given that the company will be able to provide timely access to all the data the was requested by the previous auditor. Additionally, we expect Nasdaq will accept its plan and grant the company up to 6 months to complete the10-K filing, as well as its first quarter 10-Q filing.

Potential Bounce TV sale. The company appears to be currently shopping its Over The Air (OTA) network Bounce TV, a network geared towards African American audiences. The sale of the Network, which would be viewed favorably, could take some of the pressure off of the company’s high debt leverage. Notably, CEO Adam Symson indicated that a deal could take place in the second or third quarter of this year. 

Strategic interest? There are a number of networks and programming companies that are focused on the attractive African American audience and could be strategic buyers for Bounce. We estimate that Bounce has shown attractive growth over the past several years, doubling in revenue since it purchased the network in 2017 to over $150 million in revenue in 2023. We estimate a potential selling price could be between $165 million to $225 million, or 1.1 to 1.5 times revenues.

Agreement to sell the flagship Kingsway project. Labrador Gold agreed to sell its 100% interest in the Kingsway project to New Found Gold Corp. (TSXV: NFG) for C$20 million in NFG shares, including all property and mining rights. The number of shares received will be determined by dividing the purchase price by the closing price of NFG shares on the last trading day prior to the closing of the transaction.

Closing expected in the third quarter of 2024. The transaction is expected to close in the third quarter of 2024 and is subject to certain conditions, including receipt of regulatory and stock exchange approvals and approval from a 66 2/3% majority of the votes cast by Labrador Gold shareholders at a special meeting to be scheduled in early July 2024. Directors, officers, and certain shareholders of Labrador Gold have entered into voting support agreements with NFG and have agreed to vote their shares in favor of the transaction. According to the company’s corporate presentation, insiders own approximately 13.2% of Labrador’s outstanding shares and institutional investors own 23.0%.

Energy Fuels is a leading U.S.-based uranium mining company, supplying U3O8 to major nuclear utilities. Energy Fuels also produces vanadium from certain of its projects, as market conditions warrant, and is ramping up commercial-scale production of REE carbonate. Its corporate offices are in Lakewood, Colorado, near Denver, and all its assets and employees are in the United States. Energy Fuels holds three of America’s key uranium production centers: the White Mesa Mill in Utah, the Nichols Ranch in-situ recovery (“ISR”) Project in Wyoming, and the Alta Mesa ISR Project in Texas. The White Mesa Mill is the only conventional uranium mill operating in the U.S. today, has a licensed capacity of over 8 million pounds of U3O8 per year, has the ability to produce vanadium when market conditions warrant, as well as REE carbonate from various uranium-bearing ores. Energy Fuels agreed to acquire Base Resources (ASX: BSE) for $242 million. Payment would consist of 0.0260 shares of UUUU stock and $0.042 in cash for each BSE share. UUUU management believes the acquisition will be immediately accretive and significantly add to Energy Fuel’s value given BSE assets with a PV10 estimated value close to $2 billion.

BSE’s Toliara project in Madagascar is the key to the purchase. Toliara is a world-class, advanced-stage, low-cost, and large-scale heavy sands project with large quantities of Monazite sand. The monazite will be shipped to UUUU’s White Mesa Mill for processing. Along with other monazite projects (Chemours, Donald, Bahia) Energy Fuels will now have enough monazite to proceed with the mill’s phase II expansion, which will increase capacity 5-6 times and begin separating heavy REEs.

New Award. Kratos subsidiary Micro Systems Inc. was awarded a $24 million ID/IQ contract to produce, test, and deliver a maximum quantity of 375 airborne transponders; 150 ground radio frequency units; 75 airborne relay and 15 test sets. This contract also includes the testing, teardown, and evaluation for a maximum quantity of 625 systems of naval targets control and 375 AN/DSQ-50A. Quarter production rose 16% year over year due to an active fall drilling program. The increase was expected. Extreme weather hurt production in the first few months of 2024 (2024-1Q production was announced below that in our models) but has risen to all-time high levels recently. We have lowered our 2024-1Q production estimate but raised our estimate for the remaining quarter’s of 2024.

Amended debt swap. Upon pressure from the majority of its debt holders, the company amended the terms of its debt swap, decreasing the discount on the debt from 80% to 94%, but also decreasing the interest rate from the previous plan of 8.75% to 8.0%. This plan for the debt conversion appears likely to be completed given that it is estimated that 90% plus of the holders have agreed to the terms. The company needs only 95% of its lenders to agree to the new terms by May 1 to complete the conversion. 

Lengthens maturities. The new debt will extend maturities from 2026 to 2029, providing a large runway for the company to execute its growth initiatives and debt reduction efforts.

Opportunistic kiosk purchase.  On April 18, the company announced the purchase of roughly 2,300 Bitcoin kiosks at a discount of approximately 50% per-kiosk. Notably, the company plans to deploy the majority of these kiosks over the next two quarters. Once all the kiosks from the recent purchase are delivered, the company will have over 10,000 kiosks deployed, ahead of our previous expectations. We view the announcement favorably.

Sizeable profit-share investment. On April 12, the company announced an outside firm made a multi-million dollar investment in 250 Bitcoin kiosks as part of the company’s profit sharing (or franchising) program. Notably, the kiosks will be operated by the company and a percentage of profits will be paid out to participants. The agreement provides an option for additional investment of up to 750 kiosks.

The Event. On Saturday, April 20th, 2024, the ‘halving’ event commenced with BTC. With the event, all miners will earn half of the mining rewards compared to before. According to CoinDesk, the event also brought higher transaction fees at $2.4 million for the ‘halving’ block compared to $40,000-$60,000 from before. The increased fees are partially attributed to network congestion from the launch of a new protocol, Runes. The protocol allows users to “etch” or mint tokens on the blockchain. The price of BTC decreased slightly to just under $64,000 on Saturday from roughly $65,490 last month.

What is the ‘Halving?’ Recall, the ‘halving’ occurs approximately every four years, in which the reward rate of bitcoin is halved. The reward rate is now at 3.125 BTC per block from a previous 6.25. These events will continue to occur until all potential 21 million bitcoin have been mined.

Mineral concession renewal. In March, Aurania filed all appropriate documentation for the renewal of its 42 mineral exploration concessions in Ecuador. The company also filed a request with the government to enter into an agreement for payment of the associated annual concession fees. Aurania’s request was accepted, and the concessions remain in good standing while an agreement is reached. Management anticipates the process could take a couple of months to complete.

The plan forward. Maintaining Aurania’s full concession package is a significant step forward because it will allow the company to advance exploration activities dependent on funding availability and provide time to secure a joint venture or strategic partner to advance the project. Aurania’s management attended the Prospectors & Developers Association of Canada Convention in March which provided an opportunity for Aurania’s management to meet with government officials from Ecuador and potential strategic partners. Given the backdrop of strong metals prices and the significant mineral endowment potential offered by Aurania’s property package, we believe it is only a matter of time before the company secures a partner.
