Proposed Equity Offering. Monday morning, FAT Brands announced an ATM sales agreement to raise a maximum $21.4 million through the sale of Class A common stock and/or the 8.25% Series B Cumulative Preferred. At Friday’s close, a full raise in common would add just under three million shares to the public float.

A Switch. The proposed ATM is a switch from the Class A equity offering floated by the Company just 10 days ago. That offering was tabled after the shares sold off some 17% over the weekend. Under the ATM, FAT can decline to sell shares if the shares cannot be sold at or above a price designated by the Company, which we believe is above $7.00 per share.

Results rise on higher shipping rates and additional ships. Euroseas reported net revenues of $46 million for the quarter ended September 30, 2022 versus $23 million for the same period last year. Higher revenues reflect an increase in the TCE rate to $30,893 from $19,482 and the deployment of 18 vessels versus 14 last year. Results were a few million below our forecast as was adjusted net income of $20.9 million. The company continues to buck industry trends by holding the line on vessel costs per shipping day.

Euroseas is well protected from the recent sharp decline in shipping rates. Euroseas has locked in 99% of its shipping days for the rest of the year, 78% of 2023 shipping days, and 54% of 2024 shipping days. In fact it has even chartered three new builds to be delivered in 2023. Management indicated it is unlikely to lock in rates any time in the near future for the four ships to be delivered in 2024. While realized TCE rates will undoubtedly slip below $30,000 in upcoming quarters, the company will not face the sharp declines most other shippers will face.

Energy Fuels is a leading U.S.-based uranium mining company, supplying U3O8 to major nuclear utilities. Energy Fuels also produces vanadium from certain of its projects, as market conditions warrant, and is ramping up commercial-scale production of REE carbonate. Energy Fuel reached a definitive agreement to sell the Alta Mesa mill to enCore Energy for $120 million. Energy Fuels will receive $60 million in cash upon closing and $60 million in convertible debt bearing an 8% annual interest rate. The mill is one of 11 licensed uranium processing plants and has an operating capacity of 1.5 million pounds per year. UUUU acquired Alta Mesa in 2016 for $13.6 million.

Energy Fuel, which operates Alta Mesa on a standby basis, did not have plans to activate the plant in the near future. Energy Fuel retains three other processing mills including the White Mesa mill which is licensed to produce 8 million pounds of uranium per year. We believe the White Mesa mill is large enough to meet all of UUUU’s uranium production needs in addition to producing vanadium and rare earth elements.The Alta Mesa plant costs approximately $2 million annually to maintain.

Favorable Q3 results. The company reported revenue of $63.8 million, slightly beating our estimate of $63.0 million and at the higher end of its previous guidance range. The revenues benefited from strong digital revenues, up 23%, offset by declines in national advertising. Adj. EBITDA of $7.2 million was slightly lower than our estimate of $7.8 million.



Digital traction.  Digital revenue grew by 23.2% year-over-year and accounted for 16% of total revenue in Q3, an increase from 13% earlier in the year. The Collapse of FTX.  As widely reported, on Friday cryptocurrency exchange FTX filed for Chapter 11 bankruptcy protection in the U.S. Included in the filing is subsidiary FTX US, the entity that had won the auction process for Voyager.

The Old Deal. Recall, back in October, the Bankruptcy Court approved Voyager’s entry into an asset purchase agreement between FTX US and Voyager. FTX US’s bid was valued at approximately $1.422 billion. Voyager’s claims against Three Arrows Capital would have remained with the bankruptcy estate and any recovery on account of the 3AC claims would have been available for additional distribution to Voyager creditors.

3Q 2022 Results. Revenue totaled CAD$4.4 million for the quarter (all figures in CAD), or a decrease from the prior year’s $12.3 million, and is down sequentially from $7.3 million the previous quarter. The decrease from the prior year and quarter is due to the continuation of the macro trend in cryptocurrency with decreasing prices. Net loss for TAAL was $4.9 million, or diluted EPS of ($0.14), compared to net income of $2.1 million last year, or $0.05. Maple Gold site visit. The company recently hosted a site visit for sell-side analysts and institutional investors. Mr. Matthew Hornor, CEO, and Mr. Fred Speidel, V.P. of Exploration provided a corporate update, including the company’s strategic priorities and an overview of the drilling program. The visit provided an opportunity to tour the property and core shack where participants were able to examine core samples and view technologies employed, including handheld/portable X-ray fluorescent (XRF) equipment.

Up to five rigs operating into 2023. Maple Gold recently secured a third drill rig to begin a 5,000-meter Phase III drill program at its 100%-controlled Eagle Mine property to follow up on the first two phases and test additional targets. Two rigs are deployed for the deep drilling program beneath and adjacent to historic underground mine workings in the Telbel area at the Joutel project, which is held in the company’s joint venture with Agnico Eagle Mines Limited. A 10,000-meter deep drilling program at Douay will commence in November with the deployment of a fourth rig. Management indicated that a fifth rig could be deployed at Douay.

3Q22. Revenue of $1.17 billion was down 2.3% year-over-year (up 0.3% in constant currency). Consensus was $1.22 billion and we were at $1.23 billion. Kelly took a $30.7 million asset impairment charge related to its RocketPower acquisition during the quarter. As a result, GAAP EPS loss was $0.43 compared to net income EPS of $0.88 in 3Q21. Adjusted EPS for the third quarter was $0.25 versus $0.26 last year. We had projected adjusted EPS of $0.24.

GP Rate Continues to Improve. Management continues to drive gross profit rate. GP rate for the quarter was 20.6%, up 140 basis points y-o-y, with all segments once again reporting increased gross profit rate. The improvement has come from a combination of steps to improve organic GP and the addition of higher margin specialty business through recent acquisitions. We believe GP rate can continue to increase.

EuroDry reported 2022-3Q revenues, EBITDA and net income below comparable periods and our estimates. Net revenues of $15.8 million were below that of the same period last year ($19.5 million), the 2022-2Q ($21.0 million) and our estimate ($19.5 million). Results reflect a decline in TCE rates to $20,637 and a reduction in voyage days due to 92 scheduled off days. Adjusted ebitda was $9.5 million as the $4-5 million revenue shortfall versus previous periods and our estimate carried down to the ebitda line. Adjusted net income was $5.7 million, or $1.93 per share, well below our $9.5 million or $3.27 per share estimate.

The company’s sensitivity to shipping rates is apparent as it locks in rates at lower prices. EuroDry has locked in 53% of 2022-4Q shipping days but virtually no days beyond 2022. Shipping contracts agreed in recent months have largely been below $15,000 reflecting a 35-50% drop in pricing since the second quarter. Management remains confident shipping rates will eventually improve as global economic conditions improve but near-term comps will be tough. As such, this quarter’s decision to schedule off days for repairs and ship improvements while rates are low seems logical.

Previewing Fiscal Q1. We are adjusting our forecast for Bowlero ahead of the company’s Q1 earnings release next Wednesday, November 16. For Q1, we are lowering our adj. EBITDA estimate, as we anticipate lower gross profit margins compared with the prior year period. We believe staffing costs in centers will be up over the prior year period, which was affected by COVID related staffing issues. 

Building in more seasonality. In our updated model, we are giving more credence to the seasonality of the business. Notably, the reduction in our adj. Permex announced it has received approval to uplist to the NYSE. Shares are expected to begin trading on November 15 under the symbol OILS (warrants will trade under OILSW). The uplisting follows a October 31st announcement that Permex would consolidate outstanding shares on the basis of a one for every sixty pre-consolidation shares. We indicated at the time that we believed management was doing a reverse stock split as a prerequisite to uplisting on the NYSE. We believe listing on the NYSE will greatly enhance the company’s ability to attract investor attention and unlock Permex’s hidden value.

Permex has filed an offering registration. On November 4th, Permex file a S-1 Registration Statement with the SEC to offer 2 million common shares (post reverse stock split currently trading under the symbol OIL on the Toronto exchange and on the OTC under the symbol OILCD.) On November 9th, the company filed an addendum increasing the share offering to 3.6 million shares which now include a warrant to purchase shares at a 125% premium to the offering price. The offering is being done in conjunction with the uplisting implying it will be completed by November 15th.

Genco Shipping & Trading Limited, incorporated on September 27, 2004, transports iron ore, coal, grain, steel products and other drybulk cargoes along shipping routes through the ownership and operation of drybulk carrier vessels. The Company is engaged in the ocean transportation of drybulk cargoes around the world through the ownership and operation of drybulk carrier vessels. As of December 31, 2016, its fleet consisted of 61 drybulk carriers, including 13 Capesize, six Panamax, four Ultramax, 21 Supramax, two Handymax and 15 Handysize drybulk carriers, with an aggregate carrying capacity of approximately 4,735,000 deadweight tons (dwt). Of the vessels in its fleet, 15 are on spot market-related time charters, and 27 are on fixed-rate time charter contracts. As of December 31, 2016, additionally, 19 of the vessels in its fleet were operating in vessel pools.

Locking in shipping rates when prices were high is paying off. Genco reported revenues of $136 million for the 2022-3Q. While revenues were below 2021-3Q levels of $155 million, they were close to 2022-2Q levels and our expectations. TCE rates were $23,624 down slightly from the previous quarter due to lower spot rates, but reflective of management’s strategy of locking in rates for roughly 75% of shipping days. With spot rates now having fallen below $15,000, such a strategy is proving to have paid off.

Costs are rising but shipping rates are still well above Genco’s break-even point. Genco, like most of the industry, is facing higher costs as labor, steel, and fuel costs rise. That said, shipping rates (even lower spot rates) are well above Genco’s break-even point of roughly $9,000/shipping day. The company continues to generate large significant free cash flow which it has used to reduce debt ($261 million since 2021) and pay a dividend ($2.74 per share in the last four quarters). Free cash flow will most likely decline in future quarters, but should be ample enough to continue to reduce debt and pay a dividend.
