Permex completed a 1 for 4 common share consolidation. The consolidation, which was effective October 23, 2023, was initially announced on October 19, 2023. The consolidation affects Permex shares on the Canadian Securities Exchange (CSE), the Frankfurt Stock Exchange and the OTCQB. With the consolidation, the number of outstanding shares has been reduced from approximately 2 million to 400,000. The consolidation was needed to be listed on the Nasdaq Capital Market. If completed at an assumed post-consolidation price of $7.64 per share, the offerings would generate $29 million.

Permex to issue common equity and warrants. On October 20, 2023, Permex filed a prospectus to issue up to 1.9 million common units with accompanying warrants and to issue up to 1.9 million pre-funded units and warrants. The warrant associated with the common units does not have a set exercise price, which we will assume will be near the common stock offer price. The warrants for the pre-funded common shares will have an exercise price of $0.01 per share. The new shares, if approved, will trade on the Nasdaq Capital Market under the symbols OILS and OILSW.

Permex reported a loss of $0.74 per share as drilling delays put the company behind our original production schedule. Permex reported $157,019 in revenues for the fiscal third quarter ended June 30, 2023, a 43% decline from third quarter revenues last year. Permex receives sales from ownership interest in 78 wells in the Permian Basin as well as royalty interests in 73 wells. It completed its first well in the Breedlove Field (a transformative acquisition) in January and is working to turn the well into a horizontal well. We had hoped the well would be producing and Permex would have started on a second well by now.

The extension and repricing of a warrant program and subsequent exercises resulted in 273,410 addition shares and generated $688,092 in net proceeds. The number of fully diluted shares including warrants is now more than 3 million versus basic shares of less than 2 million. The proceeds, along with a $847,000 positive change in working capital, helped offset a $865,000 net loss in operating cash. Permex’s cash position at the end of the quarter was $764,386, not enough to drill a well. The balance sheet remains debt free. Management shelved plans for an equity offering and uplisting. Liquidity remains an issue.

DALLAS, June 16, 2023 (GLOBE NEWSWIRE) — Permex Petroleum Corporation (CSE: OIL) (OTCQB: OILCF) (FSE: 75P0) (“Permex” or the “Company“), is pleased to announce the extension of its early warrant exercise program (the “Program”), as initially announced by the Company in its news release dated May 18, 2023 (the “Initial News Release”).

The Program was announced with the intention to encourage the exercise of up to 1,015,869 unlisted common share purchase warrants of the Company (the “Eligible Warrants”). Pursuant to the Program, the Company amended the exercise price of the outstanding Eligible Warrants to USD$2.86 per Eligible Warrant, from May 18, 2023, at 9:00 a.m. (Vancouver time) until June 16, 2023 at 5:00 p.m. (Vancouver time). The Company now wishes to extend the Program until June 30, 2023 at 5:00 p.m. (the “Extended Exercise Deadline”).

As part of the Program, the Company will also offer, to each holder of Eligible Warrants (the “Warrant Holders”) who exercises any Eligible Warrants until the Extended Exercise Deadline, the issuance of one additional common share purchase warrant for each such exercised Eligible Warrant (each, an “Incentive Warrant”). Each Incentive Warrant entitles the Warrant Holder to purchase one common share of the Company (each, a “Share”) for a period of 5 years from the date of issuance, at a price of USD$4.50 per Share. The Company may also issue pre-funded common share purchase warrants (each, a “Pre-Funded Warrant”) in lieu of Shares, upon the exercise of Eligible Warrants, to certain Warrant Holders. Each Pre-Funded Warrant will allow the holder thereof to acquire one Share at a nominal exercise price of USD$0.01 and will not expire.

The Eligible Warrants which remain unexercised following the completion of the Extended Early Deadline will continue to be exercisable, on the terms existing immediately prior to the implementation of the Program, and no further Incentive Warrants will be granted on the exercise of the Eligible Warrants following the Extended Exercise Deadline.

CEO/P Mehran Ehsan made a presentation at the Planet Microcap Showcase on April 26. The short, ten-minute presentation largely restated the company’s case that there is a disconnect between its asset value and its stock price. Mr. Ehsan once again pointed to a reserve study of its properties that values its properties at $428 million using a 10% discount rate versus the stock’s current enterprise value of $9 million. If one were to value the company based on just proved reserves, the value would still be $128 million. In fact, the value from only wells currently producing is $12 million, still above the current market capitalization.

Management believes the disconnect stems from its listing on the OTCQB exchange which limits manager investments in the company. The company has dropped plans to list on the New York Stock Exchange and now plans to list on the NASDAQ exchange. We believe such a move is prudent and that it will help reduce the valuation disconnect. This is especially important given Permex’s need for capital to drill out additional wells. Along those lines, management indicated that it plans to convert a vertical well drill last fall to a horizontal well. The drilling will use $1.1 million of the $1.67 million in cash on hand and take a few months to complete.

DALLAS, Feb. 15, 2023 (GLOBE NEWSWIRE) — Permex Petroleum Corporation (CSE: OIL) (OTCQB: OILCF) (FSE: 75P) (“Permex” or the “Company”), an independent energy company engaged in the acquisition, exploration, development, and production of oil and natural gas properties on private, state and federal land in the United States, today issued a letter to shareholders from its President & CEO, Mehran Ehsan.

Dear Fellow Shareholders:

Building upon the strong foundation laid in prior years, our team continued to advance our evolving position in the North American oil and gas market during 2022, executing our strategy to add sustainable marginal production through low risk, low cost recompletions while preparing for drilling programs for continued growth.

Within our current portfolio of 78 oil and gas wells, our near-term focus remains on recompletions and stimulations of approximately 30 wells that we believe have the potential in coming online at an average of 5 to 10 barrels of oil equivalent per day (BOEPD). Across our properties in west Texas and southeast New Mexico, we successfully recompleted seven wells in 2022 that have collectively stabilized at a rate of 71 BOEPD.

In January 2022, we began the pilot re-entry on the West Henshaw well #15-3 in New Mexico. The recompletion was successful, came online at an initial rate of 30 barrels of oil per day (BOPD), and has stabilized at 15 BOPD. We believe production rates from this mature, long-life well will continue with less than 10% decline year over year.

We also successfully recompleted the West Henshaw well #6-10 in the first half of 2022 with production coming online at an initial rate of 15 BOPD and stabilizing at 10 BOPD, a rate which we also believe can continue with less than 10% decline year over year.

The Railroad Commission of Texas approved our permit application for drilling on our flagship property in Martin County, Texas, in August 2022, reviewing and approving our request for well development.

Also in 2022, we continued our re-entry and stimulation program on our Henshaw Premier Unit and Oxy Yates properties situated in Eddy County, New Mexico. The re-entry and stimulations involved targeting the Grayburg formation in the Henshaw well numbers 107, 2L, 3B, while targeting the Yates formation in Oxy yates 14-3 well. We also recompleted the Mabee Breedlove Clearfork Unit #12 on our Breedlove field within the Clearfork formation located in Martin County. The recompletions were successful, came online at a combined initial production rate of 50 BOPD, and have stabilized at a rate of 35 BOPD. In addition to the re-entry and stimulation of the wells, we have begun an extensive enhanced oil recovery study on the Clearfork formation for our Martin County asset. This includes a review of all injection wells, downhole pressure, and communication between injectors and receiving wells.

In August, we commenced drilling our Martin County flagship property – the 7,780 gross acre Breedlove oilfield in September 2022 with two initial wells permitted. In November, we announced the successful completion of the first phase of drilling on our Eoff PPC#3 well which is the formation test on a vertical basis. We achieved a target depth of 8,100 ft (2468 meters) with the casing run to total depth. It is worth noting that the hole is pre cased with 8 5/8 casing which prepares the wellbore for lateral drilling and converting it to a horizontal well. The electric wireline logging sequence of the wellbore was also completed, and we believe the results to be positive and favorable as all indications from the drilling show multiple zones which allows us to proceed with the next steps of perforation, conversion, and completion.

We believe that there is significant value to be created by drilling the identified undeveloped opportunities on our properties in conjunction with the stimulation and rework of our shut-in wells. While our near-term plans are focused on drilling wells on our existing 11,700 acres to develop the potential contained therein, our long-term plans also include continuing to evaluate acquisition and leasing opportunities that can earn attractive rates of return on capital employed.

Looking at our financial position, we closed a $7.5 million brokered private placement in the first half of 2022 enabled us to considerably strengthen our balance sheet and ending us to end the fiscal year with $3.3 million in cash and cash equivalents, up more than tenfold year-over-year.

Turning to the broader markets, oil prices began rallying off their lows at year end, after declining for much of the second half of 2022, in part due to OPEC+ production cuts that began in November. Importantly, OPEC+ pledged to continue to support the market at a recent meeting in early February, with producers reconfirming their commitment to cut production by 2 million barrels per day (BPD) through the remainder of 2023. While fears of global recession remain a drag on prices, a potential rebound in Chinese demand could further support an upward trajectory on prices moving forward.

Finally, we further strengthened our team in 2022 with great additions to both our management and board. On the management side, we welcomed Greg Montgomery as our new Chief Financial Officer in May. Greg has served on our board since 2020 and provided our leadership team with invaluable guidance. In addition to his existing knowledge of Permex’s operations, he has vast experience in the oil and gas industry, including prior CFO and management roles with public companies. This makes Greg uniquely qualified to lead our financial strategy. In October, we also welcomed Melissa Folz P.E. as the newest member of our board. Melissa brings an extensive background from the oil and gas industry, and I believe she will contribute meaningfully to our strategic plans and growth as an organization.

Permex announced it has received approval to uplist to the NYSE. Shares are expected to begin trading on November 15 under the symbol OILS (warrants will trade under OILSW). The uplisting follows a October 31st announcement that Permex would consolidate outstanding shares on the basis of a one for every sixty pre-consolidation shares. We indicated at the time that we believed management was doing a reverse stock split as a prerequisite to uplisting on the NYSE. We believe listing on the NYSE will greatly enhance the company’s ability to attract investor attention and unlock Permex’s hidden value.

Permex has filed an offering registration. On November 4th, Permex file a S-1 Registration Statement with the SEC to offer 2 million common shares (post reverse stock split currently trading under the symbol OIL on the Toronto exchange and on the OTC under the symbol OILCD.) On November 9th, the company filed an addendum increasing the share offering to 3.6 million shares which now include a warrant to purchase shares at a 125% premium to the offering price. The offering is being done in conjunction with the uplisting implying it will be completed by November 15th.

Permex announced that it had reached target depth on its Eoff PPC #3 well with positive results. The well, the first drilled by Permex in the Breedlove Field, encountered multiple pay zones with favorable results according to management. A decision regarding drilling horizontally (cost of $3-4 million versus $2-3 million for a vertical well) has not been made. Permex acquired the Breedlove Field property in October 2021 which included 12 producing wells, 9 shut-in wells, and significant fill-in drilling opportunities. The Breedlove Field is in Martin County, one of the most successful counties for drilling in the Permian Basin. Successful results were expected but are a positive development, nonetheless.

Reworked wells continue to produce at high volumes. Permex recompleted five wells earlier this year. Initial production of 50 BOEPD has stabilized at 35 BOEPD, increasing total firm production to 71 BOEPD. This is ahead of our projections and meets our expectations for production for the first quarter of next year. We view well completions as a quick and favorable way to generate additional free cash flow in today’s high oil price environment. We expect the company to perform several well recompletions each quarter in addition to drilling a vertical or horizontal well.

DALLAS, Nov. 02, 2022 (GLOBE NEWSWIRE) — Permex Petroleum Corporation (CSE: OIL) (OTCQB: OILCF) (FSE: 75P) (“Permex” or the “Company“), a junior oil and gas company, is pleased to announce an update to its previous news release with respect to the drilling of the Eoff PPC #3 well on its Breedlove Oilfield located in Martin County, Texas.

On September 28th, Permex announced that drilling had commenced and that the well spudded on Wednesday, September 14, 2022. It is the first well drilled by Permex on the 7,780 gross acre Breedlove Oilfield. October 4, 2022, marked the final day of drilling of the Eoff PPC #3 well. The target depth of 8,100 ft (2468 meters) was achieved, and the casing was run to total depth. The electric wireline logging sequence of the wellbore was completed, and the results are positive and well-received by the Company. All indications from the drilling show to be favorable as multiple zones have been found which allows the Company to proceed with the next steps of perforation and completion.

During the Eoff PPC #3 well’s operations, the Company successfully implemented environmentally safe practices. The fluids used are water-based and biodegradable mud. This method is environmentally safe, while also providing samples that are used to locate potential places for future drilling. The pits are lined to ensure no leakage into the surrounding ground.

Currently, the well is positioned vertically but set up for a horizontal well should the Company decide to pursue. The Company believes that the results reveal a future of growth and development for Permex. Should the results from this drilling continue to be beneficial, the Company expects to replicate them across the 7,780 gross acres of the Breedlove Field. In addition, Permex plans to further expand into the Eoff PPC #3 well’s 40-acre spacing available to create additional drilling programs. Such additional wells are already permitted and expected to begin drilling operations in the near future.

Since the beginning of 2022, the Company successfully recompleted five oil and gas wells, which came online at a combined initial production rate of 50 barrels of oil equivalent per day (“BOEPD”) and have stabilized at a rate of 35 BOEPD, increasing the Company’s total production to 71 BOEPD. The Company has access to an additional 62 shut-in oil, gas and saltwater disposal wells that the Company intends to also be brought online. Management believes that many of these wells have the potential to yield similar results, thereby increasing the Company’s total daily production solely by re-entering shut-in wells.

VANCOUVER, British Columbia, Sept. 28, 2022 (GLOBE NEWSWIRE) — Permex Petroleum Corporation (CSE: OIL) (OTCQB: OILCF) (FSE: 75P) (“Permex” or the “Company“), a junior oil and gas company, is pleased to announce that the Company has started drilling on its Breedlove Field Prospect located in Martin County, Texas.

The PPC Eoff #3 well, operated by Permex Petroleum, is the first well to be drilled on the 7,780 gross acre Breedlove oil field. Two initial wells have been permitted and are expected to be drilled and completed on the property in the short term.
