SAN DIEGO, Sept. 17, 2024 (GLOBE NEWSWIRE) — Kratos Defense & Security Solutions, Inc. (Nasdaq: KTOS), a technology company in Defense, National Security and Global Markets, today announced that Kratos has received a $79,870,161.48 Firm Fixed Price delivery order for the Lot 20 procurement of 60 aircraft, mission kits, certain flight consumables, and technical data for the BQM-167A Air Force Subscale Aerial Target (AFSAT) under a five-year base contract. The award incorporates Gas, Aero, Payload, Power (GAPP) enhancements that include the largest capability upgrade to date for the BQM-167A Product Baseline. The increased capabilities provided by the GAPP upgrade marks an indisputable enhancement in the BQM-167A’s evolution to keep pace replicating more advanced threats, thereby improving the weapon systems verification and training efforts the BQM-167A helps enable for the USAF. This contract also represents the largest single buy of BQM-167As by the Air Force Life Cycle Management Center, Eglin AFB, Florida.

Raising Price Target. With KTOS shares hitting our prior $22 price target, we are raising our price target to $26. We are maintaining our Outperform rating on the shares. We view the recent awards and demonstrations as further confirmation of the Kratos strategy in providing leading edge disruptive technology products and systems.

CR Concern. Although we remain confident in the long-term success of the Company, the potential for another extended Continuing Resolution remains a concern in the near-term. The Federal government’s fiscal year ends September 30th and we do not expect a 2025 budget to be passed before then. The concern is for an extended CR, like we had in fiscal 2024, which pushes new awards and contracts to the right.

A Sale. Last week, V2X announced an offering of 2 million shares, with an additional 300,000 shares potentially sold, at $48/sh by American Industrial Partners. AIP will continue to beneficially own approximately 54.4% of the outstanding common stock, or 16,967,286 shares (or approximately 53.4% if the underwriters exercise their option to purchase additional shares in full). Noble Capital was a co-manager of the offering. V2X did not receive any proceeds from the share sale.

Expected. AIP received its shares in the Vectrus/Vertex merger, and we had expected AIP eventually to begin to sell off its stake. V2X shares reacted negatively to the announcement, declining from the $54 level prior to the announcement to the current $49 level. We believe the sell-off to be unwarranted given V2X’s strong operating performance and AIP’s still substantial holdings in V2X shares.

Continued Strong Results. Revenue was reported at $300.1 million, beating out our estimate of $270 million by a wide margin and last year’s revenue of $256.9 million. Organic growth was 16.7%. Net income totaled $7.9 million from a prior net loss of $2.7 million last year. We estimated net income of $0.4 million. Adjusted EBITDA was $29.9 million.

KUS. For the quarter, Unmanned Systems was the star performer, generating revenues of $85.8 million, as compared to $52.1 million in the second quarter of 2023, with organic revenue growth of 61.8% driven primarily by increased domestic target drone production and a certain international target drone delivery which contributed $17.4 million.

2Q24 Results. Record revenue of $1.07 billion, up 9.7% from $977.9 million in 2Q23. We had estimated $1.02 billion. Adjusted EBITDA totaled $72.3 million, or a 6.7% margin, compared to $77.8 million and 8.0% last year, driven by contract mix. V2X reported a GAAP net loss of $6.5 million, or a loss of $0.21/sh, versus net income of $1.8 million, or $0.06/sh, in 2Q23. Adjusted EPS was $0.83 versus $1.10. We had estimated adjusted EPS at $0.87.

Revenue Drivers. Revenue growth in the quarter was achieved through continued expansion of existing business in the Pacific and Middle East regions, as well as new programs. Revenue growth in both areas grew by 29% year-over-year. Notably, in the quarter V2X had over $500 million of on contract growth.

This enables alignment to critical missions with an ability to operate at scale around the globe.”

Mr. Wensinger continued, “Demand remains strong for our mission based full lifecycle solutions and was demonstrated through several recent awards valued at over $4 billion. This includes a new five-year award valued at $3.0+ billion to deliver next generation readiness. In addition, we received a new production award from the U.S. Army for our Gateway Mission Routers valued at $49 million, an award valued at $265 million to support NASA’s operations in preparation for human spaceflight missions at the Johnson Space Center, and the award of the F-5 adversarial aircraft program from the U.S. Navy valued at $747 million.”

Second Quarter 2024 Results 

“V2X reported record revenue of $1.07 billion in the quarter, which represents 10% year-over-year growth,” said Shawn Mural, Senior Vice President and Chief Financial Officer. “Revenue growth in the quarter was achieved through continued expansion of existing business in the Pacific and Middle East regions, as well as new programs. Revenue growth in the Pacific was 29% year-over-year and 23% on a sequential basis, driven by continued expansion of scope and services in the region. Revenue growth in the Middle East was also 29% year-over-year, driven primarily by expansion in Qatar and the continued phase-in of our longer-term Saudi Aviation Training and Support Services program.”

“For the quarter, the Company reported operating income of $27.4 million and adjusted operating income1 of $65.8 million. Adjusted EBITDA1 was $72.3 million with a margin of 6.7%. Second quarter GAAP diluted EPS was ($0.21). Adjusted diluted EPS1 for the quarter was $0.83. The adjusted tax rate in the second quarter was 28% due to the executive transition. Absent this, our adjusted tax rate would have been approximately 23% yielding adjusted EPS of $0.88.”

“Year to date, net cash used by operating activities was $31.6 million, reflective of working capital requirements to support growth. Adjusted net cash used by operating activities1 was $137.3 million, adding back approximately $12.1 million of M&A and integration costs and removing the contribution of the master accounts receivable purchase or MARPA facility of $117.8 million.”

“At the end of the quarter, net debt for V2X was $1,150 million.  Net leverage ratio1,2 was 3.56x, essentially flat  compared to the first quarter 2024. We expect to achieve a net leverage ratio of 3.0x, by the end of 2024. During the quarter, we successfully repriced and extended our $904 million Term Loan B. This outcome is a testament to the strength in our business and is yielding additional interest expense savings while lowering our overall cost of capital.”

“Total backlog as of June 28, 2024, was $12.2 billion. Funded backlog was $2.9 billion. Bookings in the quarter were $759 million. We expect backlog to increase in the second half of the year due to awards and contract definitizations.”

Raising 2024 Revenue Guidance

Mr. Mural concluded, “Given our strong revenue performance in the first half of the year we are updating our total year guidance.”
