FY 2026 first quarter financial results. AZZ reported adjusted net income of $53.8 million or $1.78 per share compared to $44.0 million or $1.46 per share during the prior year period. We had forecast adjusted net income of $50.1 million or $1.66 per share. Compared to the first quarter of FY 2025, sales increased 2.1% to $422.0 million. Adjusted EBITDA increased 13.1% to $106.4 million, representing 25.2% of sales compared to 22.8% of sales during the prior year period. We had projected adjusted EBITDA of $99.5 million. 

Meaningful debt reduction. Cash from operations during the fiscal first quarter amounted to $314.8 million, including proceeds of $273.2 million received from AVAIL’s sale of the Electrical Products Group. Following debt reduction of $285.4 million, AZZ ended the quarter with a net leverage ratio of 1.7x TTM adjusted EBITDA. As of May 31, long-term debt, gross was $614.9 million compared to $900.3 million on February 28. Net of unamortized debt issuance costs, long-term debt was $569.8 million on May 31 compared to $852.4 million on February 28.

Fiscal Year 2026 First Quarter Overview (as compared to prior fiscal year first quarter(1)):

Tom Ferguson, President, and Chief Executive Officer of AZZ, commented, “We are off to a great start in the fiscal year as sales grew to $422.0 million, up 2.1% over the prior year, with Adjusted diluted EPS of $1.78 up 21.9%. Consolidated Adjusted EBITDA grew to $106.4 million, or 25.2% of sales, primarily driven by higher volume for hot-dip galvanized steel and operational productivity over the prior year. Metal Coatings benefited from improved zinc utilization and delivered an Adjusted EBITDA margin of 32.9%.  Precoat Metals’ Adjusted EBITDA margin improved to 20.7%, primarily due to favorable mix and improved operational performance. While volumes were slightly lower for Precoat Metals, customer demand improved, as shipments of customer inventories increased compared to first quarter of last year.

Our fiscal first quarter cash from operations of $314.8 million, including proceeds from AVAIL’s sale of the Electrical Products Group, allowed us to reduce debt by $285.4 million. We ended the quarter with a net leverage ratio of 1.7x. Subsequent to the quarter, we successfully closed a bolt-on acquisition within our Metal Coatings segment and announced the increase of our quarterly cash dividend to common shareholders from $0.17 to $0.20 per share. Segment Performance

First Quarter 2026 Metal Coatings

Sales of $187.2 million increased by 6.0% over the first quarter of last year, primarily due to increased volume supported by infrastructure related project spending in several end markets, including construction, industrial, and electrical transmission and distribution. Segment Adjusted EBITDA of $61.5 million resulted in Adjusted EBITDA margin of 32.9%, on increased volume and improved zinc utilization, an increase of 200 basis points from the prior year first quarter.

First Quarter 2026 Precoat Metals 

Sales of $234.7 million were 0.8% lower than the first quarter of last year on decreased volume in certain end markets, including construction, HVAC, and appliance. Segment EBITDA of $48.5 million resulted in EBITDA margin of 20.7%, an increase of 50 basis points from the prior year first quarter.

Balance Sheet, Liquidity and Capital Allocation

The Company generated significant operating cash of $314.8 million for the first three months of fiscal year 2026 through improved earnings, which included a distribution of $273.2 million from the AVAIL JV following AVAIL’s sale of its Electrical Products Group, coupled with our disciplined working capital management.  At the end of the first quarter, the Company’s net leverage was 1.7x trailing twelve months Adjusted EBITDA.  During the first three months of fiscal year 2026, the Company paid down debt of $285.4 million and returned cash to common shareholders through cash dividend payments totaling $5.1 million. Capital expenditures for the first three months of fiscal year 2026 were $20.9 million, including $3.2 million of spending related to the new Washington, Missouri facility, and full fiscal year capital expenditures are expected to be approximately $60 – $80 million. Pursuant to the Company’s existing $100 million Share Repurchase Program, the Company has a remaining balance of $53.2 million available for repurchases.

    Receiving Taliskers ore via Stromsten Enterprises

    On July 7, 2025, Talisker announced the shipment of approximately 3,100 tonnes of high-grade gold ore from the Mustang Project to Nicola’s Merritt Mill (also known as the Craigmont Mill) for processing. 

    Talisker is actively developing the 1060, 1075, 1105 and 1120 levels. In-vein development is underway on the BK vein at the 1075 level, and both on the BK and BK9870 veins at the 1105 Level.

    Talisker also commenced long-hole drilling in preparation for the mining and extraction of the first stope, with extraction expected to begin later  this week.

    CHICAGO–(BUSINESS WIRE)– MAIA Biotechnology, Inc. (NYSE American: MAIA), a clinical-stage biopharmaceutical company focused on developing targeted immunotherapies for cancer, today announced dosing of the first patient in Taiwan in the expansion phase of its THIO-101 Phase 2 trial for advanced non-small cell lung cancer (NSCLC). The trial’s entry into another continent marks a key milestone for MAIA, opening a significantly larger patient pool for its evaluations of ateganosine (THIO). Screening for the trial is ongoing in Europe and Asia.

    Trial Design: The expansion study evaluates ateganosine in heavily pre-treated patients in third-line (3L) NSCLC who have previously failed treatment with checkpoint inhibitors (CPIs) and chemotherapy. Two treatment arms are being studied: ateganosine sequenced with cemiplimab (Libtayo®) and ateganosine monotherapy. Regeneron is supplying Libtayo for the combination cohort.

    Strategic Opportunity: NSCLC represents one of the largest global oncology indications. The market was valued at $34.1B in 2024, and is projected to reach $68.8B by 2033 with a projected CAGR of 8.1%.1

    Current Data: As of May 15, 2025, the median overall survival (OS) for the 22 patients in the third-line treatment was 17.8 months, with a 95% confidence interval (CI) lower bound of 12.5 months and a 99% CI lower bound of 10.8 months. The treatment has been generally well-tolerated in the trial’s heavily pre-treated population.2

    Other studies of chemotherapy for NSCLC in a similar setting have shown overall survival of 5-6 months.3

    Ateganosine (THIO, 6-thio-dG or 6-thio-2’-deoxyguanosine) is a first-in-class investigational telomere-targeting agent currently in clinical development to evaluate its activity in Non-Small Cell Lung Cancer (NSCLC). Telomeres, along with the enzyme telomerase, play a fundamental role in the survival of cancer cells and their resistance to current therapies. The modified nucleotide 6-thio-2’-deoxyguanosine induces telomerase-dependent telomeric DNA modification, DNA damage responses, and selective cancer cell death. Ateganosine-damaged telomeric fragments accumulate in cytosolic micronuclei and activates both innate (cGAS/STING) and adaptive (T-cell) immune responses. The sequential treatment with ateganosine followed by PD-(L)1 inhibitors resulted in profound and persistent tumor regression in advanced, in vivo cancer models by induction of cancer type–specific immune memory. Ateganosine is presently developed as a second or later line of treatment for NSCLC for patients that have progressed beyond the standard-of-care regimen of existing checkpoint inhibitors.

    About THIO-101, a Phase 2 Clinical Trial

    THIO-101 is a multicenter, open-label, dose finding Phase 2 clinical trial. It is the first trial designed to evaluate ateganosine’s anti-tumor activity when followed by PD-(L)1 inhibition. The trial is testing the hypothesis that low doses of ateganosine administered prior to cemiplimab (Libtayo®) will enhance and prolong immune response in patients with advanced NSCLC who previously did not respond or developed resistance and progressed after first-line treatment regimen containing another checkpoint inhibitor. The trial design has two primary objectives: (1) to evaluate the safety and tolerability of ateganosine administered as an anticancer compound and a priming immune activator (2) to assess the clinical efficacy of ateganosine using Overall Response Rate (ORR) as the primary clinical endpoint. The expansion of the study will assess overall response rates (ORR) in advanced NSCLC patients receiving third line (3L) therapy who were resistant to previous checkpoint inhibitor treatments (CPI) and chemotherapy. Treatment with ateganosine followed by cemiplimab (Libtayo®) has been generally well-tolerated to date in a heavily pre-treated population.     Pharma Shake-Up: Trump Threatens 200% Tariffs on Drug Imports

    President Donald Trump announced on Tuesday his intention to impose tariffs of up to 200% on imported pharmaceutical products, a move that could dramatically reshape the pharmaceutical landscape. While the tariffs would not go into effect immediately, the president indicated they could be implemented “very soon,” with a grace period of roughly a year to a year and a half for companies to adapt.

    The proposed tariffs come as part of a broader economic strategy aimed at bolstering domestic manufacturing and reducing U.S. reliance on foreign pharmaceutical production. Trump has long criticized the pharmaceutical industry for outsourcing production, and this latest proposal aligns with his “America First” trade agenda. The administration believes steep tariffs would incentivize companies to bring more manufacturing operations back to the United States.

    Commerce Secretary Howard Lutnick confirmed that the final details of the pharmaceutical tariffs will be revealed by the end of July, following the conclusion of studies on pharmaceuticals and semiconductors currently under Section 232 of the Trade Expansion Act. This legal framework allows the administration to impose trade barriers on national security grounds—one of the same avenues used for previous tariffs on steel and aluminum.

    Pharmaceutical companies and industry groups reacted swiftly to the announcement. Major firms, including Eli Lilly, Johnson & Johnson, and AbbVie, have warned that such a move could lead to unintended consequences. Critics argue the tariffs would raise the cost of essential medicines, disrupt global supply chains, and potentially limit access to critical drugs for patients.

    Industry leaders have also expressed concern that the new tariffs could stifle innovation by diverting funds away from research and development.
