ATHA Energy and Latitude Uranium Complete Merger to Create Uranium Powerhouse

In a major development in the uranium mining sector, ATHA Energy Corp. and Latitude Uranium Inc. announced the successful completion of their merger on March 7, 2024. Through this strategic transaction, ATHA has acquired 100% of the outstanding common shares of Latitude Uranium, making the latter a wholly-owned subsidiary.

The merger brings together two promising uranium players, combining their complementary assets and expertise to create a formidable force in the industry. Latitude Uranium shareholders received 0.2769 ATHA common shares for each share held, resulting in ATHA issuing approximately 64.4 million new shares.

This deal marks a significant milestone for ATHA, adding historical resources to its portfolio and expanding its reach across multiple high-grade uranium jurisdictions. The combined company now boasts a diverse range of exploration catalysts, including the Angilak and CMB uranium discoveries, with historical resource estimates of 43.3 million lbs and 14.5 million lbs U3O8, respectively.

Moreover, ATHA now holds the largest cumulative exploration package in both the Athabasca Basin and Thelon Basin, two of the world’s most prominent basins for uranium discoveries, with a total of 6.5 million acres. Additionally, the company has a 10% carried interest in a portfolio of claims in the Athabasca Basin operated by industry leaders NexGen Energy Ltd. and IsoEnergy Ltd.

Energy Fuels (UUUU) – Results In Line – Value of REE Plan Becoming Clearer

Energy Fuels is a leading U.S.-based uranium mining company, supplying U3O8 to major nuclear utilities. Energy Fuels also produces vanadium from certain of its projects, as market conditions warrant, and is ramping up commercial-scale production of REE carbonate. Energy Fuels reported 2023-1Q results in line with expectations absent non-recurring items. UUUU reported revenues of $19.6 million (versus our $18 million est.) largely due to the previously-announced sale of uranium to the government. Net income was $114.7 million ($0.72 per share) with a $116.5 million net gain on the sale of the Alta Mesa project. Absent the gain, the company would have reported a slight loss, in line with our projections.

UUUU’s rare earth elements (REE) plan is becoming clearer. Phase 1 of a plan to separate rare earth elements such as the valuable NdPr. has begun. When completed in 2023/24, UUUU will be able to produce 800-1,000 metric tons (0.8-1.0 million kg) of “commercial quantities of separated NdPr.” At the current spot price of $64 per kg, sales could approach $64 million. Sales of other separated REE would be incremental. And, production is expected to grow 2-3 times upon completion of Phase 2 in 2026 leading us to believe annual sales from REE could be several hundred million. For a company that has not generated annual revenues above $30 million the last ten years, the prospect of generating hundreds of million in sales is exciting.

Energy Fuel reached a definitive agreement to sell the Alta Mesa mill to enCore Energy for $120 million. Energy Fuels will receive $60 million in cash upon closing and $60 million in convertible debt bearing an 8% annual interest rate. The mill is one of 11 licensed uranium processing plants and has an operating capacity of 1.5 million pounds per year. UUUU acquired Alta Mesa in 2016 for $13.6 million.

Energy Fuel, which operates Alta Mesa on a standby basis, did not have plans to activate the plant in the near future. Energy Fuel retains three other processing mills including the White Mesa mill which is licensed to produce 8 million pounds of uranium per year. We believe the White Mesa mill is large enough to meet all of UUUU’s uranium production needs in addition to producing vanadium and rare earth elements.The Alta Mesa plant costs approximately $2 million annually to maintain.
