Release – Eskay Mining and Seabridge Gold Terminate Amended Cost Sharing Agreement to Finance Coulter Creek Access Road

Research News and Market Data on ESKYF

June 7, 2023

TORONTO, ON / ACCESSWIRE / June 7, 2023 / Eskay Mining Corp. (“Eskay” or the “Company”) (TSXV:ESK) (OTCQX:ESKYF) (Frankfurt:KN7)(WKN:A0YDPM) wishes to announce that, further to its News Release of November 12, 2021, Eskay, Seabridge Gold Inc. (“Seabridge”) and Seabridge’s wholly-owned subsidiary, KSM Mining ULC (“KSM”), have signed an agreement (the “Termination and Mutual Release Agreement”) to terminate the amended agreement (the “Amended Cost Sharing Agreement”) whereby Seabridge and Eskay were to fund the costs of construction of the first 9 kilometres (the “First Segment of the CCAR”) of the Coulter Creek Access Road (“CCAR”), estimated to cost $12.5 million, with a limit on Eskay’s contribution to a maximum of $6,250,000. Seabridge provided Eskay with a $3 million revolving loan facility at an interest rate of 3% per year to give Eskay flexibility with funding its share of the costs of construction.

At the end of 2022, the costs incurred in respect of the construction of the First Segment of the CCAR were approximately $6 million. Seabridge had suspended delivering cash calls before year end and Eskay’s share of cash calls to year end was funded through the drawdown of approximately $2.7 million of the loan facility provided by Seabridge pursuant to the Amended Cost Sharing Agreement. Seabridge completed 3.2 km of the road in 2022 and due to Seabridge concentrating its current road building activities on its Treaty Creek Access Road, it is uncertain when Seabridge will complete the First Segment of the CCAR.

Eskay will not have access to or use of the First Segment of the CCAR for its 2023 exploration program. Therefore, Eskay, Seabridge and KSM agreed to terminate the Amended Cost Sharing Agreement and release each other from all obligations under the Amended Cost Sharing Agreement including any obligations relating to the completion of the First Segment of the CCAR, any obligation of Eskay to contribute to construction costs relating to the First Segment of the CCAR or any obligation of Seabridge to provide further loans or of Eskay to repay loans provided by Seabridge, or interest thereon. In addition, the 500,000 Bonus Warrants issued to Seabridge were cancelled.

Pursuant to the terms of the Termination and Mutual Release Agreement, Eskay will have the right after completion of the First Segment of the CCAR, as long as KSM or its assignee operates the relevant CCAR segment, to request a road use agreement for the use of the First Segment of the CCAR. Pursuant to the terms of the road use agreement, Eskay will be required to pay an industry standard portion of maintenance costs and $100,000 per year for up to eight years (which may be non-consecutive years) for use of the First Segment of the CCAR.

Maple Gold Mines (MGMLF) – Telbel Deep Drilling Program Highlights Resource Potential at Depth

Wednesday, June 07, 2023

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Results from Telbel deep drilling program. Maple Gold released complete gold assay results from the first phase of deep drilling at the Telbel Mine area of the Joutel Gold Project which is held in the 50/50 joint venture between Maple and Agnico Eagle Mines Limited. Multi-element assay results are pending. The joint venture completed a total of 7,343 meters of drilling in three master drill holes and four wedge drill holes with holes TB-22-001 and TB-22-003 and their respective wedges testing the down-plunge extension of gold mineralization beneath the historic Telbel workings. Hole TB-22-002 was a step-out to test the southeast continuity of the Eagle-Telbel system.

High-grade potential at depth. Results from the deep drilling program support the strike and depth continuity of the Eagle-Telbel Mine Horizon beyond the current limits of drilling and the presence of multiple mineralized horizons along with the presence of high-grade gold mineralization beneath the underground mine workings and deepest historical gold intercepts. All three holes intersected significant horizons of semi-massive to massive sulfides, with Hole TB-23-003W2 intersecting significant gold mineralization approximately 575 meters below the lowest level of historic mining at Telbel.

Refer to the full report for the price target, fundamental analysis, and rating.

Pilot plant program. The Wicheeda REE project pilot plant is being configured to produce a high purity rare earth precipitate suitable as feed stock for a rare earths element (REE) separation plant. The objective of the pilot plant is to demonstrate, at a larger scale, the processing of Wicheeda flotation concentrate to produce rare earths using the acid bake hydrometallurgy process and to collect data for a preliminary feasibility study (PFS) which is expected to be completed during the first half of 2024.

Phase II completed. Defense Metals recently completed Phase II hydrometallurgical pilot plant test work and has commenced work on the Wicheeda preliminary feasibility study. Phase II operations were performed by SGS Canada Inc. at Lakefield, Ontario and were completed in early May and entailed processing 370 kilograms (kg) of flotation concentrate produced in an earlier flotation pilot plant operation. The recent work provided the metallurgical test data required for Defense Metals’ engineering consultants to commence the design work that is an important part of the PFS.

Garibaldi Resources Corp. (GGIFF) – Thoughts on the Upcoming Drill Program

Friday, June 02, 2023

Garibaldi Resources Corp. is an active Canadian-based junior exploration company focused on creating shareholder value through discoveries and strategic development of its assets in some of the most prolific mining regions in British Columbia and Mexico.

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Building on the 2022 program. In 2022, Garibaldi tested targets from the 2021 Geotech deep-penetrating Z-Axis Tipper Electromagnetic (ZTEM) survey at the company’s E&L nickel-copper-cobalt massive sulphide project. Two holes were successful, including a deep hole which intersected two intervals of E&L gabbro more than 200 meters down plunge from previous drilling and nickel-bearing disseminated and semi-massive sulphide mineralization. The two successful drill holes are lined with polyvinyl chloride (PVC) and Garibaldi intends to conduct a geophysical borehole electromagnetic (BHEM) survey to aid the 2023 drilling program. We will be interested in the outcomes from the BHEM survey, particularly if it reveals any conductors off-hole.

Upcoming drill program. Drilling in 2023 will test for mineralization associated with broad low-resistivity anomalies identified in the Geotech survey. While subject to change, the 2023 drill program will likely commence in early July and entail three to four holes at the E&L target, two holes of approximately 500 meters depth at the B1 target, and two holes at the Palm Springs property. Drilling at E&L will focus on areas within the ZTEM anomaly tested in 2022. We expect the drill program to conclude at the end of October.

Aurania Resources (AUIAF) – Exploration Plans for the Remainder of 2023

Thursday, June 01, 2023

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

The Lost Cities project. Aurania’s Lost Cities project is in the Cordillera de Cutucu range of Ecuador which represents the underexplored extension of a rich mineral belt believed to run through the Cordillera del Condor range to the south; an area that has been more widely explored and the source of several major gold and copper discoveries. The project is comprised of 42 mineral exploration concessions encompassing 207,764 hectares in southeastern Ecuador and would be difficult to replicate. To date, Aurania’s exploration and drilling activities have underscored its rich mineral potential for epithermal gold-silver, copper porphyries, sediment-hosted copper-silver, and carbonate-replacement silver-zinc-lead-barite mineralization.

Private placement financing closed. Aurania recently closed the third and final tranche of a non-brokered private placement. In the third tranche, the company sold 224,703 units at a price of C$0.46 per unit for gross proceeds of C$103,363.52. An aggregate of 9,253,811 units were sold during the private placement financing for total gross proceeds of C$4,256,753.20.

Newrange Gold (NRGOF) – On Its Way To Creating Pinnacle Silver & Gold Corp.

Tuesday, May 30, 2023

Newrange is focused on district-scale exploration for precious metals in the prolific Red Lake District of northwestern Ontario. The past-producing high-grade Argosy Gold Mine is open to depth, while the adjacent North Birch Project offers additional blue-sky potential. Focused on developing shareholder value through exploration and development of key projects, the Company is committed to building sustainable value for all stakeholders. Further information can be found on our website at www.newrangegold.com .

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Creating a new Americas-focused silver-gold exploration company. Newrange executed a binding Scheme Implementation Deed (SID) with Mithril Resources Limited (ASX: MTH) to acquire 100% of Mithril in a reverse takeover (RTO). The transaction will be completed via a Scheme of Arrangement in Australia and the resulting company will be named Pinnacle Silver & Gold Corp. and will be listed on the TSX Venture exchange. Mithril will be delisted from the ASX exchange. We anticipate the transaction could close in September 2023 following planned shareholder meetings in August.

Flagship project. The Copalquin gold-silver project is in Durango State, Mexico and covers an entire mining district containing several dozen historic gold and silver mines and workings. The district is within the Sierra Madre Gold-Silver Trend which extends north-south along the western side of Mexico and hosts many world-class gold and silver deposits. At the El Refugio target area, there is a historic maiden JORC-compliant mineral resource estimate highlighting indicated resources of 121,000 ounces of gold and 2,538,000 ounces of silver and inferred resources of 252,000 ounces of gold and 8,414,000 ounces of silver.

LithiumBank Resources (LBNKF) – Compelling Boardwalk Preliminary Economic Assessment Provides an Excellent Starting Point

Friday, May 26, 2023

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Initial preliminary economic assessment. LithiumBank Resources released highlights from the initial preliminary economic assessment (PEA) for its Boardwalk lithium brine project in Alberta, Canada. The PEA was based on average annual production of 31,350 tonnes of battery grade lithium hydroxide monohydrate (LHM) over a 20-year period, an average price of US$26,000 per tonne of LHM, operating expense of US$6,807 per tonne LHM, and annual EBITDA of US$586 million. The net present value of the project is estimated at US$2.7 billion on a pre-tax basis and US$1.7 billion on an after-tax basis. The initial capital cost of the project is expected to be US$2.1 billion. The expected payback period is 4.1 years on a pre-tax basis and 4.5 years on an after-tax basis.

An excellent starting point. While the preliminary economic assessment differs in many respects to our own initial assumptions, in many ways it is in the ballpark. Importantly, it compares favorably with preliminary economic assessments of similar projects. Management has identified multiple opportunities to significantly enhance project economics that we think could increase the pre-tax net present value to over US$3.0 billion, including annual EBITDA of US$700 million.

Century Lithium Corp. (CYDVF) – From Nevada Claystone to Battery Grade Lithium Carbonate

Friday, May 26, 2023

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Consistency is key. Century Lithium produced lithium carbonate grading 99.87% from lithium-bearing claystone sourced from its Clayton Valley Lithium project. Several kilograms of high purity lithium carbonate were made from lithium solution produced at Century’s pilot lithium extraction facility. Following leaching and direct lithium extraction at the pilot plant, solutions were shipped to Saltworks Technologies Inc. for final processing. The results were in line with those reported in September 2022 when lithium carbonate grading 99.94% was produced.

Feasibility study expected in 2H 2023. The Clayton Valley feasibility study is expected to be completed in the second half of 2023. Major areas of the study are finished and estimates for capital and operating cost estimates have been received, including those for the chlor-alkali plant portion of the project. The estimates are being consolidated and reviewed, along with opportunities for further optimization and cost reduction.

Labrador Gold Corp. (NKOSF) – Drilling To Resume Next Week

Thursday, May 25, 2023

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Hitting on all cylinders. Drilling at Labrador Gold’s 100%-owned Kingsway gold project continues to target the Appleton Fault over a 12-kilometer strike length. The drilling is part of the company’s ongoing 100,000-meter diamond drilling program of which approximately 69,000 meters are complete. Assays are pending for approximately 3,500 meters of core. Most of the drilling has occurred at the Big Vein target which has been drilled over a 722-meter northeast-southwest strike length and remains open in both directions.

Drilling to resume next week. Following the seasonal thaw, drilling is expected to resume next week at the Drop Kick target, previously known as Home Pond South, where 10 to 12 holes representing approximately 2,000 meters of drilling will be completed. Following Drop Kick, the drill could move to the Pristine target where Labrador may drill 5 or 6 holes representing approximately 1,200 meters of drilling. Following Pristine, the drill could move either to the Gap Zone between Pristine and Big Vein or to the Peter Easton target, depending on receipt of drill permits for the Gap Zone. We expect the company to operate with three drill rigs, including two rigs at Big Vein to test for extensions of the mineralization to the northeast and southwest.

Eskay Mining Corp. (ESKYF) – 2023 Exploration Program Informed by Robust Geophysical Analysis

Friday, May 19, 2023

Mark Reichman, Managing Director, Equity Research Analyst, Natural Resources, Noble Capital Markets, Inc.

Refer to the full report for the price target, fundamental analysis, and rating.

Focus on geophysics. In March, Mr. Riaz Mirza was appointed as a Geophysical Advisor to Eskay Mining’s exploration team. Mr. Mirza is the founder of Simcoe Geoscience Limited, a global geophysical service provider, and has significant experience exploring a variety of deposit types including volcanogenic massive sulfide (VMS) deposits. Mr. Mirza and Simcoe Geoscience Limited were engaged to review Eskay Mining’s geophysical data from its Consolidated Eskay Project area with the goal of drawing direct comparisons to the original Eskay Creek precious metal-rich VMS deposit which is considered among the world’s most precious metal-rich volcanogenic massive sulfide deposits.

Cut from the same cloth. The Eskay Mining and Simcoe teams quickly identified compelling similarities. The same distinct magnetic signatures observed at the Eskay Creek deposit are visible at numerous locations across the Consolidated Eskay Property.
