Lilly Expands Immunology Footprint with $3.2 Billion Morphic Acquisition

Pharmaceutical giant Eli Lilly and Company (NYSE: LLY) announced on July 8, 2024, its plans to acquire Morphic Holding, Inc. (NASDAQ: MORF) for $3.2 billion, marking a significant expansion of its presence in the immunology space. This strategic move aims to enhance Lilly’s pipeline in inflammatory bowel disease (IBD) treatments and broaden its portfolio of oral integrin therapies.

Under the agreement, Lilly will pay $57 per share in cash for all outstanding Morphic shares, representing a substantial 79% premium over Morphic’s closing stock price on July 5, 2024. The transaction, approved by both companies’ boards of directors, is expected to close in the third quarter of 2024, pending customary closing conditions and regulatory approvals.

At the heart of this acquisition is Morphic’s lead program, MORF-057, a selective oral small molecule inhibitor of α4β7 integrin. This promising compound is currently undergoing multiple Phase 2 studies for the treatment of ulcerative colitis and Crohn’s disease, two prevalent forms of IBD. The oral nature of MORF-057 could offer significant advantages over existing injectable therapies, potentially improving patient compliance and quality of life.

Dr. Daniel Skovronsky, Chief Scientific Officer of Lilly and President of Lilly Research Laboratories, highlighted the potential impact of oral therapies in IBD treatment. “Oral therapies could open up new possibilities for earlier intervention in diseases like ulcerative colitis, and also provide the potential for combination therapy to help patients with more severe disease,” he stated. This acquisition underscores Lilly’s commitment to developing first-in-class molecules in gastroenterology, an area where the company has been making substantial investments.

The deal also brings Morphic’s preclinical pipeline into Lilly’s fold, including molecules targeting autoimmune diseases, pulmonary hypertensive diseases, fibrotic diseases, and cancer. Incyte Shells Out $750M for Escient’s Immunology Assets

In a move that further solidifies its position in the inflammatory disease space, Incyte Corporation has agreed to acquire Escient Pharmaceuticals for $750 million. The deal, announced on Tuesday, will add two promising immunology and inflammation candidates to Incyte’s pipeline, complementing its existing dermatology portfolio.

The star assets in the acquisition are EP262 and EP547, both of which have shown promising early results in clinical trials. EP262, the more advanced of the two, is currently being evaluated for the treatment of various inflammatory skin conditions, including atopic dermatitis, psoriasis, and vitiligo. Preclinical data has demonstrated EP262’s ability to improve atopic dermatitis-like lesions and reduce inflammation, making it a potentially valuable addition to Incyte’s dermatology lineup.

EP547, while in an earlier stage of development, is being studied for the treatment of itching associated with kidney and liver diseases – a condition known as pruritus, which can significantly impact a patient’s quality of life. With two phase 1 trials currently underway, EP547 could address a significant unmet need in these patient populations.

For Incyte, the acquisition of Escient Pharmaceuticals represents a strategic move to strengthen its position in the lucrative dermatology market. The company already has an approved JAK1/JAK2 inhibitor cream, Opzelura, which is indicated for atopic dermatitis and vitiligo. With EP262 and additional pipeline candidates, Incyte aims to expand its offerings and capture a larger share of the growing inflammatory skin disease market.

The deal also follows Incyte’s recent acquisition of the cancer drug Monjuvi from MorphoSys, further demonstrating the company’s commitment to bolstering its portfolio through strategic partnerships and acquisitions.

Escient Pharmaceuticals, a relatively young company founded in 2018, had already attracted significant investor interest, raising over $200 million in private financing rounds from the likes of Sanofi. New Data Puts TNX-601 ER In The Spotlight. Tonix will be presenting data from the Phase 2 UPLIFT study at the American Society of Clinical Psychopharmacology (ASCP) meeting from May 30 to June 2, 2023. The presentation will provide an update on the UPLIFT trial testing TNX-601 EP, including data on the mechanism of action and the development of TNX-4300, the purified (S)-isomer of tianeptine.

Phase 2 UPLIFT Trial In Major Depression Disorder. TNX-601 is an extended-release formulation of tianeptine hemioxalate, a drug used for depression in Europe for over 30 years. Product Pipeline Has Been Trimmed. Tonix announced that it will be focusing on developing pipeline products with near-term clinical milestones and plans to stop development of some early-stage programs. Development will continue for the CNS, infectious disease, and immunology products, but some research and COVID-19 programs will be discontinued. This allocates resources and funding to products that are most likely to impact the stock.

The CNS, Infectious Disease, and Immunology Programs Will Continue. Tonix will continue development of its CNS programs in fibromyalgia, depression, migraine, and cocaine intoxication. Financial Results. Maia Biotechnology reported a 4Q22 loss of $5.1 million or $(0.47) per share and a FY2022 loss of $15.7 million or $(1.75) per share. The Phase 2 THIO-101 trial continues to enroll and treat patients at its clinical sites, with several clinical milestone ahead during FY2023. The company ended FY2022 with $10.9 million in cash.

THIO-101 Reached Expected Milestones During 4Q22.  MAIA began patient treatment in the THIO-101 trial in NSCLC (non-small cell lung cancer) in July 2022. The first patients were treated in Australia, with European country approvals announced in December 2022. These approvals allow opening clinical sites in Hungary, Poland, and Bulgaria to support European approval. MAIA reported that two European patients have been begun treatment.

Tonix Reported FY2022 and Gave Clinical Milestone Updates. Tonix reported a loss of $34.1 million or ($0.56) per share for 4Q22 and $116.9 million or $(3.27) per share for FY2022. The company reaffirmed its guidance for a 2Q23 announcement of interim analysis for TNX102 SL in the Phase 3 RESILIANT trial testing in fibromyalgia. The full analysis is expected in 4Q23, one of several clinical milestones expected in 2023. Tonix had $120.2 million in cash on December 31.

Interim Analysis Expected For Phase 3 in Fibromyalgia. The RESILIANT Phase 3 trial is a double-blind, placebo-controlled study for fibromyalgia. It reached the 50% patient milestone in December 2022, with the interim analysis results expected in 2Q23. If successful, the RESILIANT trial could lead to an NDA filing for product approval.

New Antibodies For COVID-19. Tonix has in-licensed new monoclonal antibodies for treatment or prophylaxis of SARS-CoV-2, the virus that causes COVID-19. The agreement with Curia Global includes three humanized murine monoclonal antibodies that will be developed as second-generation therapy for high-risk patients, including immunocompromised and organ transplant patients.  

Antibodies May Have Broader Efficacy Against Variants. The licensed technology is based on humanized murine antibodies rather than antibodies derived from the blood of COVID-19 patients or (genetically engineered) humanized mice. This may result in a broader immune response that neutralizes more variants and is more difficult for the virus to evade. Only one antibody product with Emergency Use Authorization (EUA) is currently recommended for COVID-19 prophylaxis.

Study Supports Use of TNX102-SL in Long COVID Symptoms.  Tonix presented a large, retrospective study to determine the incidence of symptoms in patients with Long COVID (PASC, or Post-Acute Sequelae of COVID-19).  The findings showed a significant overlap between symptoms of Long COVID and fibromyalgia, including multi-site pain, fatigue, and insomnia.  It also found significantly higher opioid use in patients that have multi-site pain.  Since TNX-102 SL has been shown to relieve symptoms of fibromyalgia, we believe the study supports the Phase 2 PREVAIL trial of TXN-102 SL in Long COVID.

Retrospective Analysis of Patient Database Identifies Long COVID Symptoms.  Tonix analyzed a large patient database using published criteria to identify Long COVID patients in a network of health care providers.  In the sample of 260,082 COVID patients, 20.1% (n=52,322) had Long COVID symptoms.  Of these 41.5% (n=21,694) had multi-site pain.
