HOUSTON, Aug. 29, 2024 (GLOBE NEWSWIRE) — Great Lakes Dredge & Dock Corporation (“Great Lakes” or the “Company”) (NASDAQ: GLDD), the largest provider of dredging services in the United States, announced today that the Company’s issuer credit rating has been upgraded to “B-” from “CCC+” by S&P Global Ratings (“S&P”).

S&P based its ratings upgrade in part due to the Company’s improved revenue and profitability in the first half of 2024. S&P also cited that the Company’s strong backlog and recent awards gives visibility into improved cash flows through 2025. The stable rating reflects S&P’s expectation that the Company will continue to expand revenue and improve profitability throughout the remainder of 2024 and into 2025.

New Awards. Yesterday, Great Lakes issued a press release revealing receipt of $256.2 million of dredging awards, including the $120 million of awards we highlighted last week. The six awards the Company noted included two capital projects, three coastal protection, and one maintenance award.

Pipeline Over $1 Billion. In addition to the noted awarded projects, Great Lakes has approximately $318 million in low bids and options pending award, according to the release, which includes two jobs on which the Company was low bidder on this month. Recent DOD Awards. Great Lakes has been awarded over $120 million in two new contracts since August 9th, according to the Department of Defense daily contract release. We believe the additional awards highlight the amount of opportunity available to Great Lakes.

Mobile Harbor. Yesterday, Great Lakes was awarded a $65.9 million firm-fixed-price contract to deepen and widen Mobile Harbor, with an estimated completion date of April 27, 2025. Fiscal 2020 civil construction funds and fiscal 2024 civil operation and maintenance funds in the amount of $65.9 million were obligated at the time of the award. 2Q24. Revenue totaled $170.1 million, up from $132.7 million a year ago. We had forecast $166 million. Higher capital and coastal protection project revenues drove the increase. Gross margin improved to 17.5% from 13.5%. Adjusted EBITDA for the quarter increased $9.2 million to $25.8 million. Great Lakes recorded net income of $7.67 million, or EPS of $0.11, compared to $1.73 million, or $0.03/sh in 2Q23.

Backlog. Quarter-end dredging backlog totaled $807.9 million, with an additional $273.1 million in low bids and options pending award and another $44.6 million of offshore wind backlog. Post quarter-end, Great Lakes was the low bidder on approximately $181.6 million of additional work.

Strong Performance. Limited drydockings during the quarter and record backlog led the charge in a strong first quarter. The Galveston Island, the Company’s new hopper dredge, also started operations during the quarter, contributing to the performance. The record backlog, consisting mostly of capital projects which carry higher margin, provides Great Lakes with revenue visibility throughout the fiscal year and improved margins, in our view.

Improved Environment. With the passage of the budget, the overall dredging environment has improved, in our view. We expect to see an uptick in project awards in the second and third quarters, with a couple of major capital projects to be included. Great Lakes is well positioned to win its fair share of the awards.

Results. Great Lakes reported strong revenue of $198.7 million, beating out our expectation of $170 million. Higher capital and coastal protection project revenues led to the $40.7 million increase y-o-y, partially offset by lower rivers and lakes project revenue. Gross profit improved $33.5 million to $45.6 million for the quarter through improved utilization and project mix, resulting in a margin of 22.9%, beating out our expectation of 10.6%.

An Improved Bottom-Line. Following the topline, Great Lakes’ bottom-line greatly improved from last year, beating our estimates, including operating margin of 15.8% from a negative 0.5% (estimated a 2.4% margin) and net income of $21.0 million, or EPS of $0.31, from a net loss of $3.2 million, or a loss of $0.05/sh. We estimated net income of $0.8 million, or EPS of $0.01.

New Credit Agreement. Last week, Great Lakes entered into an $150 million 5-year, senior secured second-lien credit agreement with Guggenheim Credit Funding, LLC. The new agreement provides the Company with flexibility to fund its new vessel build out program as well as optionality on borrowing, although the interest rate is higher than the existing debt.

Use of Funds. The Company borrowed $100 million under the agreement on the closing date, which was used to repay amounts outstanding under the existing ABL. Great Lakes has the option to draw an additional $50 million for a period of 12 months following the closing date of the initial loan. The optional $50 million, if drawn, will be used to fund future new build payments, ongoing working capital, and other general corporate purposes.

HOUSTON, April 24, 2024 (GLOBE NEWSWIRE) — Great Lakes Dredge & Dock Corporation (“Great Lakes” or the “Company”) (NASDAQ: GLDD), the largest provider of dredging services in the United States, announced that it has entered into a $150,000,000 5-year, senior secured second-lien credit agreement (“Second Lien Credit Agreement”) with Guggenheim Credit Funding, LLC, on behalf of one or more clients. The Company borrowed $100,000,000 under the Second Lien Credit Agreement on the Closing Date and has the option to draw an additional $50,000,000 for a period of 12 months following the closing date of the initial loan. The loans under the Second Lien Credit Agreement funded on the Closing Date were used to repay amounts outstanding under the ABL Credit Agreement and to pay fees associated with the transactions and will be used to fund upcoming newbuild payments. The delayed draw portion of the term loans, if funded, will be used to fund future newbuild payments, ongoing working capital and other general corporate purposes.

The Second Lien Credit Agreement contains customary representations and affirmative and negative covenants as well as customary events of default. The obligations under the Second Lien Credit Agreement are secured on a second-priority basis by substantially all of the Company’s assets. Further details on the terms of the Second Lien Credit Agreement can be found in the Company’s Form 8-K for the Second Lien Credit Agreement which will be filed within the next four business days.

4Q23 Results. Fourth quarter revenue came in at $181.7 million, slightly below our $190 million estimate, due to a delay in some work which has since commenced, but above the $146.7 million in 4Q22. Reported gross margin jumped to 21.3% from a negative last year. Net income came in at $21.6 million, or $0.32/sh, from a loss of $31.2 million, or a loss of $0.47/sh in 4Q22, which was impacted by the write-down of the Terrapin Island. Adjusted EBITDA came in at $40.8 million, up from a $24.2 million loss last year.

Solid Operating Environment. The dredging bid environment remains strong, with proposed increased funding and a number of key capital projects coming to bid in 2024. While the wind and LNG segments are more challenged, we believe both markets will prove fruitful for Great Lakes in the long-term.
