Innovative products for producing renewable fuels. Comstock Fuels, a wholly owned subsidiary, converts lignocellulosic biomass into cellulosic ethanol and proprietary Bioleum bio-intermediate blends at yields exceeding 100 gallons per dry tonne of biomass on a gasoline gallon equivalent (GGE) basis with low market-leading carbon intensity scores.

Market leading yields coupled with low carbon intensities. Comstock recently achieved two significant milestones within its cellulosic fuels business. These include biofuel production yields of more than 100 gallons per dry tonne of woody biomass on a gasoline gallon equivalent (GGE) basis and market-leading low carbon intensity (CI) scores of 16 or below for cellulosic ethanol and 15 for the company’s proprietary hydro-deoxygenated Bioleum oil (HBO). The CI score is measured in grams of carbon dioxide equivalent per megajoule of energy.

Differentiation provides a key competitive advantage. HBO is a proprietary drop-in bio-intermediate used in the production of sustainable aviation and renewable diesel fuels. It increases the diversity of hydro-processed, fat-based feedstock and significantly reduces carbon intensity scores from what is currently commercially achievable. For example, the carbon intensity of fossil fuels is industry-benchmarked between 80 and 95. Moreover, yields of over 100 GGE exceed the U.S. Department of Energy’s production goals of less than 75 GGE per tonne. While the higher yields are a key selling point in that they surpass existing cellulosic-derived biofuel production yields, leading biofuel refiners have indicated that lower CI scores are what significantly reduce the carbon footprint of their overall portfolios.

Sale of battery recycling facility. Comstock’s LINICO subsidiary sold its battery recycling facility in the Tahoe Reno Industrial Center and associated assets to American Battery Technology Company (OTCQX: ABML) for $27 million comprised of cash and ABML shares. LINICO had leased the facility with an option to purchase for $15.25 million, of which $3.25 million was paid. Comstock made the remaining $12.0 million payment to Aqua Metals, Inc. (Nasdaq: AQMS) to purchase the facility prior to closing its transaction with ABML. American Battery Technology Company initiated a 1-for-15 reverse split of its common stock effective at 9:00 am ET on September 11, 2023.   

Sale of American Battery Technology Company shares. Comstock recently sold its 9,076,923 ABML common shares for approximately $5.5 million. Related to the sale of the battery recycling business, Comstock has now generated total and net cash proceeds of $26.5 million and $14.5 million, respectively, representing a net gain on the sale of ~$7 million that will be reflected in the company’s third quarter financial statements. American Battery Technology Company will make a final payment of $0.5 million in cash during the fourth quarter of 2023.

Innovative feedstocks for renewable fuel producers. Comstock Fuels demonstrated the production of lignocellulosic bio-intermediates suitable for use in existing renewable fuel refineries at pilot scale and the capability for ongoing operations. A baseline lifecycle carbon analysis (LCA) model has also been developed with a third-party to validate industry-leading carbon intensity scores for fuel produced through its pathways. Management is engaged with multiple potential customers and partners for early adopter commercial agreements and expects one or more agreements to be completed this year.

Advancing toward commercialization. Comstock Metals has leased an operating facility in Silver Springs, Nevada and submitted all permits for operating its proprietary metal processing and recycling system. Comstock anticipates full deployment of its entire production system by the end of 2023 with operations commencing upon receipt of the permits. Comstock Metals has engaged suppliers to secure photovoltaic feedstocks and expects initial supply-revenue agreements in advance of production.

Lease agreement with Mackay Precious Metals. Comstock’s wholly owned subsidiary, Comstock Northern Exploration, entered into a mineral exploration and mining lease agreement, dated June 30, 2023, with Mackay Precious Metals. The lease encompasses Comstock’s northernmost mining claims, mineral exploration rights, and town lots referred to as the Northern Targets, including the Gold Hill and northern Occidental Lode claim groups in the Comstock Mining District.

Primary lease term is 20 years. Mackay is expected to explore the properties through geophysical surveys, geochemical sampling, exploration drilling, and other means of exploration. Release – Comstock Announces Mineral Exploration and Mining Lease Revenues

VIRGINIA CITY, NEVADA, JULY 6, 2023 – Comstock Inc. (NYSE: LODE) (“Comstock” and the “Company”), an innovator of technologies that enable systemic decarbonization, today announced that its wholly-owned subsidiary Comstock Northern Exploration, LLC has entered into a Mineral Exploration and Mining Lease Agreement (the “Mineral Lease”) with Mackay Precious Metals Inc. (“Mackay”), to lease the northernmost patented mining claims, mineral exploration rights and town lots (the “Northern Targets”) controlled by Comstock.

The Northern Targets encompass both the Gold Hill and northern Occidental Lode claim groups in the historic, world-class, Comstock Mining District located in Storey County, Nevada.


“Mackay has shown a keen understanding and interest in the geologic exploration associated with some of the most prospective and historically rich precious metal claims on the Comstock,” said Corrado De Gasperis, Comstock’s executive chairman and chief executive officer. “The ongoing revenue resulting from this agreement enhances our strategy to leverage physics based artificial intelligence to enable more efficient and effective mineral and materials discovery.”


The Mineral Lease has a term of 20 years and would automatically continue once mine feasibility is established and for so long as Mackay is engaged in mining operations and in full compliance with the Mineral Lease. The fees associated with the Mineral Lease included a $1.25 million initiation fee that was fully paid at signing plus $1.5 million per annum for the first four years, and $1 million per annum thereafter, in all cases plus expense reimbursements of approximately $200,000 per year. Comstock also retains a 1.5% net smelter return royalty from all future precious metal production.

The Mineral Lease contains non-competition restrictions prohibiting Mackay from staking property within two miles of any of the property owned or leased by Comstock in the District (including both Lyon County and Storey County properties) and mutual rights of first refusal with respect to the sale of certain mining assets for both parties.

Investor webinar. Comstock recently hosted a virtual investor meeting to provide a business update, including a discussion of first quarter financial results and upcoming milestones. Executing a license agreement(s) associated with its biorefining technologies and commencing development of commercial scale projects remains the most significant revenue opportunity in 2023. Within its mining segment, Comstock expects to publish preliminary economic assessments for the Lucerne and Dayton resource areas. Comstock Fuels

“Our fuels team is unblocking the most meaningful bottleneck in renewable fuel production with proven breakthrough lignocellulosic fuel technology and patented woody-biomass-based feedstock processing solutions,” stated David Winsness, President of Comstock Fuels. “Our team recently demonstrated commercial readiness with unprecedented yields approaching 100 gallons of fuel per dry ton of feedstock on a gasoline gallon equivalent basis.”

  • Advanced our grant award from the U.S. Department of Energy of Comstock’s $2,000,000 grant application to build a pre-pilot scale system to demonstrate one of Comstock’s unique new pathways to produce renewable diesel, sustainable aviation fuel, gasoline, and marine fuel from forestry residues and other forms of lignocellulosic biomass at dramatically improved yield, efficiency, and cost in comparison to known methods.
  • Presented at the 2023 Advanced Bioeconomy Leadership Conference, where David Winsness, president of our fuels business, received a leadership award for his bioeconomy contributions and was named to The 2023 Bioeconomy 500.
  • Advanced our current process such that we can now turn one tonne of woody biomass into more than 45 GGE (gasoline gallon equivalent), of cellulose derived fuels and more than 50 GGE of Bioleum™ derived fuels.

GenMat is accelerating the commercialization of disruptive AI generated materials with the help of quantum-probabilistic software solutions that integrate proprietary hyperspectral technology solutions that (a) increase certainty in mineral discovery targets, (b) reduce costs of traditional drill programs, with ground penetrating scans and analytics, and (c) increase discernment for categorizing mineral resources and plans on launching a hyperspectral imager into orbit for mineral imaging later this year.

Artificial Intelligence

 “Our goal is to build and commercialize artificial general intelligence for physics with powerful, science-based capabilities when compared to other known large language and other conventional AI models,” stated Deep Prasad, GenMat’s Chief Executive Officer. “Our AGI will enable the sensing, simulation, and engineering of matter at speeds previously unimaginable.”

  • Developed and launched a new, generative AI for physics to simulate critical properties of known materials during calibration testing late last year. Remarkably, GenMat also used its AI to simulate new material characteristics.
  • GenMat’s physics-based generative AI models can be deployed today, for commercial use on GenMat’s existing high-performance computing platform, well before quantum computers become mainstream.
  • In 2023, GenMat will, among other things, elevate new material simulation to commercial readiness by synthesizing and directly testing new AI simulated materials in high value applications with early adopting customers.

Battery recycling facility sale. Recall that Comstock’s LINICO subsidiary agreed to sell its battery recycling facility in the Tahoe Reno Industrial Center and associated assets to American Battery Technology Corporation (OTCQX: ABML). LINICO had leased the facility with an option to purchase for $15.25 million, of which $3.25 million was paid. Comstock recently made the remaining $12.0 million payment to Aqua Metals, Inc. (Nasdaq: AQMS) to purchase the facility prior to closing its transaction with ABML.

Sale results in net cash inflows.  As of April 21, Comstock has received $18 million in cash and 10 million restricted shares of American Battery Technology Corporation stock with the guarantee that Comstock will receive additional cash and/or shares if the proceeds for the shares are less than $6.6 million. Based on the April 27 closing price, the ABML shares are worth over $7.7 million. Comstock expects to receive an additional $3.0 million in cash on or before May 12, 2023.

Release – Comstock Advances Purchase and Sale Of Facility

VIRGINIA CITY, NEVADA, April 27, 2023 – Comstock Inc. (NYSE: LODE) (“Comstock” and the “Company”) today announced the receipt of an additional $7 million toward the sale of the LINICO Battery Recycling Facility (the “Facility”) to American Battery Technology Company, a Nevada corporation (“ABTC”), bringing total cash received to date to $18 million of the $27.6 million purchase price.  Comstock has successfully completed the purchase of Facility and is now scheduled to receive the remaining net proceeds of over $8 million dollars over the next three months, with $3 million due in the next two weeks.

“We are thrilled with accomplishing a majority of the critical milestones related to this transaction. The sale of this asset became strategic once we secured our permitted 200-acre battery metal storage facility in Mound House, Nevada, and expanded our metals recycling business into photovoltaics and other electronic devices, in addition to lithium-ion batteries,” stated Mr. Corrado De Gasperis, Comstock’s executive chairman and chief executive officer. “We have already received $6 million in net proceeds after the purchase of the building, with another $3 million due next week and over $5 million in additional proceeds to be received in the next few months. We are now very well positioned to well exceed our $30 million asset sale target for this year.” 

Overall, ABTC will pay $27.6 million for the 2500 Peru building and related assets, of which $18 million in cash and 10 million restricted shares of ABTC common stock has been received as of April 21, 2023. The Company is entitled to receive an additional $3.0 million in cash on or before May 12, 2023.   After the Company’s payment of $12.0 million to AQMS for Facility purchase and $1.5 million in escrow related to environmental liabilities, the Company expects to net over $14.0 million in cash from this transaction.

As previously contemplated in the First Amended and Restated Agreement, the Shares will be registered for resale pursuant to a registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission by ABTC.
