Leading Mexican operator leverages provider’s content ecosystem to diversify casino offering

Below are the main financial and operating metrics of the period.

Aviv Sher, Chief Executive Officer of Codere Online, commented, “In the fourth quarter of 2025, our net gaming revenue reached €60.7 million, marking the highest quarterly figure in the Company’s history.” This increase was mostly driven by Mexico, where our net gaming revenue grew 31% on the back of a 43% increase in our portfolio of active customers in the country. In December, we hit a record of 100,000 active players in the country, positioning us well for the upcoming World Cup this summer”.

Marcus Arildsson, CFO of Codere Online, commented, “Beyond the strong top line performance in the fourth quarter, we also had a significant uplift in Adj. EBITDA to €6.7 mm in the period, allowing us to meet the upper part of the 2025 outlook range we provided last year.”

Board Appointments

  • On December 1, 2025, Mr. Oscar Iglesias, who previously served as the Company’s Chief Financial Officer, was appointed as member of the Company’s board of directors (the “Board”).

Colombia License Renewal

  • On November 13, 2025, the Company renewed its online gaming license in Colombia for a period of 5 years.

Changes in Gaming Taxes

  • Effective January 1, 2026, the statutory excise tax rate applicable to gaming in Mexico (“IEPS”) was increased from 30 to 50%.

Luxembourg, Grand Duchy of Luxembourg, September 2, 2025 – (GLOBE NEWSWIRE) Codere Online (Nasdaq: CDRO / CDROW, the “Company”), a leading online gaming operator in Spain and Latin America, today announced that Oscar Iglesias, the Company’s Chief Financial Officer, notified the Company of his decision to step down from his role for personal reasons, effective upon the earlier of the completion of an orderly transition to his successor or December 31, 2025.

In connection with the transition and subject to shareholder approval, the Company’s Board of Directors (the “Board”) shall appoint Mr. Iglesias to the Board, where he formerly served between 2021 and 2023 and where he will remain actively engaged in driving Codere Online’s strategic direction.

Mr. Iglesias has been with Codere Online since 2021 and has played a central role in its growth and transformation. Among his many contributions, he was instrumental in leading the Company through its successful 2021 public listing via a merger with DD3 Acquisition Corp. II, thereby strengthening its capital position and enhancing its visibility in the market. Prior to that, Mr. Iglesias spent six years at Codere Group, Codere Online’s parent company, where he served as Global Head of Corporate Development and Deputy CFO.

Solid Q2 results. The company reported second quarter revenue of  €54.8 million, up 0.7% over the prior year period and largely in line with our estimate of €55.5 million. Adj. EBITDA in the quarter was €2.3 million, up 77% over the prior year period and better than our estimate of €0.1 million.  Importantly, the top line results do not fully capture the company’s strong performance in Q2, given the devaluation of the Mexican Peso. On a constant currency basis, revenue was up 12%. 

Mexico continues to grow nicely. The company’s operations in Mexico had a strong quarter that was muted by a 19% devaluation of the Peso compared to the prior year period. Notably, the company grew active customers in Mexico by a strong 36% over the prior year period, and revenue was up 23% on a constant currency basis. In our view, the company had a solid quarter in Mexico and top line results should improve as it comps year earlier Peso valuations.

Compliance with Nasdaq Listing Requirements

Repurchases under the Share Buyback Plan

  • The Company has repurchased $0.7 million of the Company’s shares at an average price of $6.89 per share under its $5.0 million authorized share buyback plan through July 30, 2025.
