VIRGINIA CITY, Nev., Dec. 19, 2022 (GLOBE NEWSWIRE) — Comstock Inc. (NYSE: LODE) (“Comstock” or the “Company”) provided an update today on previously announced asset sales anticipated to close during the first quarter of 2023. The Company now expects more than $30 million in proceeds from the sale of certain non-mining properties and non-strategic investments, as well as collection of advances receivable. The Company is directly engaged with multiple parties and expects these transactions to close during the first quarter of 2023.

“We have made major advancements in just the past month on multiple fronts toward finalizing agreements and monetizing our non-strategic assets,” stated Mr. Corrado De Gasperis, Comstock’s executive chairman and chief executive officer.  “These transactions enable our growth businesses for meaningful decarbonization.”

The Company also announced today the closing of bridge financing in anticipation of completing the transactions above, pursuant to which the Company issued an 8.0% Convertible Promissory Note due March 16, 2024 (the “Convertible Note”) to an investor (the “Investor”). The Convertible Note was issued with an original aggregate principal amount of $3,150,000 (the “Face Value”) and a 5% original issue discount, corresponding to net proceeds of $3,000,000. Up to $2,000,000 of the Convertible Note is redeemable for cash 30-days following closing at 110% of the Face Value, plus interest.

DeGasperis added: “We have secured an excellent, safe financing that ensures the consummation of our asset sales with the flexibility to manage and minimize dilution, including the ability to redeem the substantial majority of the note upon receipt of proceeds from our asset sales while we maintain our pace of business commercialization.”

The Convertible Note is initially convertible into common stock of the Company at a price per share of $0.50. Starting 30 days after the closing for the Convertible Note, the conversion price is equal to 90% of the average of the five (5) lowest daily volume weighted average prices of the stock during the “Measurement Period.” The “Measurement Period” means the period starting on the trading day immediately after the day that the Investor receives common shares upon conversion of the Convertible Note and ending on the trading day immediately following the date upon which the aggregate dollar volume of the Company’s common stock traded on the trading market equals five (5) times the amount converted by the Investor on the relevant conversion, subject to a five (5) trading day minimum.

The Securities Purchase Agreement pursuant to which the Convertible Note was issued (the “Securities Purchase Agreement”) included customary representations and covenants for the sale and purchase of securities. In addition, the Securities Purchase Agreement has a covenant of the Investor not to take short positions in the Company’s stock while the Convertible Note is outstanding.

Coeur Mining (CDE) – Investor Day Highlights

Investor Day. During a recent investor day webinar, Coeur provided more details about the progress of its Rochester expansion and Silvertip development projects. Additionally, the company provided gold and silver production forecasts through 2025, along with estimates for costs applicable to sales and development capital expenditures. Coeur projects that gold and silver will account for 65% and 35%, respectively, of its 2025 metals mix compared to 70% and 30% in 2021.

Rochester expansion. The expansion is intended to extend the life of the Rochester mine in Nevada. It is roughly 69% complete with construction on track to be completed in mid-2023. Production will steadily increase in the second half of 2023. The total estimated cost is $650 million to $670 million with fourth quarter 2022 and full year 2023 expenditures expected to be in the range of $80 million to $90 million and $197 million to $207 million, respectively. Coeur anticipates de-levering the balance sheet once the Rochester expansion is completed in mid-2023.

2022 exploration and drilling program. The 2022 exploration program focused on identifying new precious metal-rich volcanogenic massive sulphide (VMS) deposits, often found in district scale clusters, across the Consolidated Eskay project. Much of the focus was on defining the extent of VMS systems along the eastern and western limbs of the Eskay Anticline. Eskay Mining completed 29,500 meters of diamond drilling along the TV-Jeff corridor and along the Scarlet Ridge-Tarn Lake trend.

Assay results released. Eskay Mining released assay results for 42 holes drilled along the TV-Jeff corridor, including north of the Jeff deposit. Assays returned from holes completed in areas close to the TV deposit yielded significant intercepts of gold and silver mineralization. Wide-spaced drilling approximately 800 meters north of Jeff encountered a new zone of mineralization that yielded high-grade gold and silver values, some within longer intervals of lower grade mineralization. The company is awaiting assay results from maiden drilling in the Scarlet Valley-Tarn Lake area where several new VMS targets were drill tested in 2022.

Allegiant Gold (AUXXF) – Excitement Builds

Allegiant owns 100% of 10 highly-prospective gold projects in the United States, seven of which are located in the mining-friendly jurisdiction of Nevada. Three of Allegiant’s projects are farmed-out, providing for cost reductions and cash-flow. Allegiant’s flagship, district-scale Eastside project hosts a large and expanding gold resource and is located in an area of excellent infrastructure. Preliminary metallurgical testing indicates that both oxide and sulphide gold mineralization at Eastside is amenable to heap leaching.

Drilling at the East Pediment prospect. In late November, Allegiant Gold commenced a follow-up reverse circulation drilling program at the company’s East Pediment prospect to follow up on this year’s discovery of mineralized rhyolite with assays from Hole ES-258 returning intercepts of up to 4.4 grams of gold per tonne. Permits allow for up to 27 reverse circulation drill holes. To allow time for analysis of assay results, the program will be conducted in phases with the first phase comprised of  5 to 6 holes representing 2,000 meters of drilling.

Discovery Hole ES-258. The new discovery led Allegiant to stake an additional 194 mining claims covering parts of the pediment near Hole ES-258. Importantly, mineralization is open at depth where the bottom of Hole ES-258 returned 4.5 meters averaging 0.26 grams of gold per tonne and 13.66 grams of silver per tonne.

Eagle drill results. Maple Gold Mines released assay results for four drill holes and partial assay results for five additional holes from the company’s 2022 drilling program at its 100%-controlled Eagle Mine property. All reported drill holes returned over one gram of gold per tonne and seven of the nine intersected at least two grams of gold per tonne. Assay results associated with ~2,250 meters of drilling at Eagle are pending. Maple Gold expects to complete an additional 1,500 meters of drilling at Eagle by year end.

Multi-gram gold intercepts. Hole EM-22-10 intersected 14 grams of gold per tonne over 0.5 meters from 539.5 meters downhole and 8.3 grams of gold per tonne over 1.0 meter from 543 meters downhole. Release – Maple Gold Intersects Near-Surface Gold Mineralization of 3.1 g/t Gold Over 7.3 Metres and 2.3 g/t Gold Over 10.4 Metres Confirming Continuity of the South Mine Horizon at Eagle

Vancouver, British Columbia–(Newsfile Corp. – December 13, 2022) – Maple Gold Mines Ltd. (TSXV: MGM) (OTCQB: MGMLF) (FSE: M3G) (“Maple Gold” or the “Company“) is pleased to report complete assay results for four (4) drillholes and partial assay results for five (5) additional drillholes from the Company’s ongoing 2022 drilling at its 100%-controlled Eagle Mine Property (“Eagle”) located in Québec, Canada. Previously completed digitization and modelling of historical drill results and a further review of drill logs identified a potential southern splay of the main mine horizon (the “South Mine Horizon”) located northwest of the past-producing Eagle mine in an area targeted for follow-up drilling. The new results confirm the continuity of the South Mine Horizon at relatively shallow (< 275 metre (“m”)) vertical depths, suggest local widening of the mineralized zone in this area, and further demonstrate the potential for additional subparallel gold trends at Eagle.

Highlights:

  • 2022 drilling results, including new results detailed below, demonstrate vertical continuity of the South Mine Horizon over a 350 m vertical interval from surface; known mineralization extends to approximately 800 m vertical depth on adjacent sections and remains open along strike to the northwest as well as at depth (see Figures 1 and 2):
    • Drill hole EM-22-13 intersected 2.3 grams per tonne (“g/t”) gold (“Au”) over 10.4 m, including 5.0 g/t Au over 3.2 m (from 257 m downhole).
    • Drill hole EM-22-16 intersected 3.1 g/t Au over 7.3 m, including 4.0 g/t Au over 3.6 m (the latter from 193 m downhole).
  • Drill hole EM-22-10 intersected 14 g/t Au over 0.5 m (from 539.5 m downhole) and 8.3 g/t Au over 1.0 m (from 543 m downhole); this hole also tested the South Mine Horizon more than 200 m further to the southeast.
  • All reported drillholes contained gold mineralization (over 1 g/t Au) and seven (7) of the nine (9) reported drillholes contained multi-gram gold intercepts (2 g/t Au or better).
  • There are still approximately 2,250 m of assays currently pending at Eagle, with a further approximately 1,500 m of remaining drilling to be completed this year.

“These new results at Eagle confirm our modelling interpretations and demonstrate the potential to define significant zones of gold mineralization beyond what was historically mined at Eagle during a much lower gold price environment,” stated Fred Speidel, VP Exploration of Maple Gold. “Encountering relatively shallow multi-gram gold intercepts in an area that remains open for roughly 200 m along strike within the Eagle property boundary and a further 1.5 km beyond that on JV-controlled ground highlights the exploration upside that remains along this past-producing mine trend.”

Interpretation and Summary of Results

The Company’s previously reported contoured longitudinal section (see news releases from October 7, 2021 and January 17, 2022) followed the northern splay in this area of the Eagle deposit. The new drill results support earlier interpretations that gold mineralization occurs over multiple sub-parallel horizons extending along a northwest-southeast orientation, over an actual stratigraphic thickness of more than 100 m (see Figure 2). Historical drillholes located approximately 1.7 km to the northwest of the reported intercepts are associated with semi-massive to banded pyrite with quartz and Fe-carbonate, with several intercepts over 1 g/t Au, including historical hole F-19 that intersected 3.1 g/t Au over 3.5 m (see Figure 1).

Once all assays have been received from the Company’s 2022 drilling at Eagle, the 3D model and longitudinal sections will be updated with the corresponding grade contouring including all results from the 2022 drilling campaigns.

Updated technical report. Endeavour’s Pitarrilla project is an undeveloped silver, lead, and zinc property in Durango State, Mexico and encompasses 4,950 hectares across five concessions with well-developed infrastructure and access to utilities. Endeavor recently published an updated technical report highlighting total open pit and underground indicated mineral resources of 491.6 million ounces of silver, 1.1 million pounds of lead, and 2.6 million pounds of zinc, representing 693.9 million silver equivalent ounces. Total inferred resources include 99.4 million ounces of silver, 281.0 million pounds of lead, and 661 million pounds of zinc, representing 151.2 million silver equivalent ounces.

Next steps. In January, Endeavour will provide more detail regarding 2023 exploration plans at Pitarrilla. We expect it will represent the largest exploration expenditure in 2023, with Terronera shifting to development. Marshall as Senior Vice President and Chief Financial Officer effective April 1, 2023. The appointment follows the Partnership’s previously announced retirement and succession plan for Brian L. Cantrell, current Chief Financial Officer. Mr. Cantrell will remain with Alliance through March 31, 2023, to facilitate an orderly transition.

First tranche of funding closed. Garibaldi closed the first tranche of a private placement financing announced in late November. Garibaldi sold a total of 8,836,666 flow-through units at C$0.30 per unit for aggregate gross proceeds of C$2,651,000. Each unit is comprised of one flow-through common share and one-half of one common share purchase warrant. Each whole warrant is exercisable at C$0.45 per common share for a period of three years. The first tranche included the sale of 800,000 non-flow-through units at C$0.25 per unit for total proceeds of C$200,000. Each unit is comprised of one non-flow-through common share and one-half of one common share purchase warrant. Each whole warrant is exercisable at C$0.40 per common share for a period of three years.

Looking back on the 2022 drilling program. The 2022 drill program at E&L tested targets from the 2021 Geotech deep penetrating Z-Axis Tipper Electromagnetic (ZTEM) survey. Drilling intersected sulphide nickel-copper mineralization coincident with newly identified ZTEM anomalies. Allegiant Gold (AUXXF) – Successful Diamond Drilling Program Affirms Eastside’s High-Grade Potential

Allegiant owns 100% of 10 highly-prospective gold projects in the United States, seven of which are located in the mining-friendly jurisdiction of Nevada. Three of Allegiant’s projects are farmed-out, providing for cost reductions and cash-flow. Allegiant’s flagship, district-scale Eastside project hosts a large and expanding gold resource and is located in an area of excellent infrastructure. Preliminary metallurgical testing indicates that both oxide and sulphide gold mineralization at Eastside is amenable to heap leaching.

Diamond drilling program. Allegiant released results from its seven-hole, 3,457-meter diamond core drill program within the high-grade zone at Eastside. The drill program targeted deeper high-grade gold-silver mineralization within the core of the Eastside Rhyolite complex as well as deeper portions of the contact between the rhyolite complex and the surrounding volcanic host rocks. The program followed up on high-grade results identified in 2021 reverse circulation (RC) drilling, including Holes ES-239 and ES-243.

Results reaffirm presence of high-grade zones. The program confirmed high-grade gold-silver mineralization that was observed in earlier drill Holes ES-239 and ES-243 and the occurrence of high-grade zones within the Eastside Deposit’s rhyolite host rock. Hole ES-280 returned 9.9 grams of gold per tonne over 1.5 meters and 5.3 grams of gold per tonne over 1.5 meters within a broader intercept of 0.63 grams of gold per tonne over 99 meters. Holes ES-281 and ES-282 returned 1 gram of gold per tonne over 12 meters and 49 meters, respectively, while Hole ES-285 intersected 2 grams of gold over 9 meters within a broader intercept of 0.46 grams of gold per tonne over 105 meters.

Last week, Comstock announced the publication of the initial technical report for the Company’s Dayton Consolidated Project detailing an estimated mineral resource constrained within an open pit economic shell based on a gold price of $1,800 per ounce. The estimate includes Measured and Indicated resources containing 293,000 ounces of gold and 2,120,000 ounces of silver, plus an additional Inferred resource containing 90,000 ounces of gold and 480,000 ounces of silver.

The Dayton project has long been known for high grade assays, with gold assays as high as 2.95 ounces per ton, and silver assays as high as 6.68 ounces per ton. Drilling by Comstock has also encountered significant thicknesses of mineralization, including 135 feet averaging 0.218 ounces per ton Au and 0.685 ounces per ton Ag (hole D11-21), 145 feet averaging 0.056 ounces per ton Au and 0.352 ounces per ton Ag (hole D11-33), 50 feet averaging 0.030 ounces per ton Au and 1.072 ounces per ton Ag (hole D94-17), 295 feet averaging 0.027 ounces per ton Au and 0.087 ounces per ton Ag (hole D10-01), and 235 feet averaging 0.031 ounces per ton Au and 0.102 ounces per ton Ag (hole SV12-05).

Initial resource estimate for Dayton. Comstock published a SEC S-K 1300 compliant initial technical report for the company’s Dayton project. The estimated mineral resources include measured and indicated resources of 293,000 ounces of gold and 2,120,000 ounces of silver and inferred resources of 90,000 ounces of gold and 480,000 ounces of silver.

Plans for exploration and drilling. The Dayton resource is approximately one mile south of the company’s Lucerne mining properties and includes the historic Dayton, Alhambra, Metropolitan, and Kossuth mines. Additional areas for exploration include Oest, the Amazon extension of Oest, and Spring Valley. Comstock intends to develop the Dayton resource through a series of phased drilling programs and engineering studies. The first phase of drilling could include up to 70 reverse circulation holes totaling 31,500 feet to test for high grade mineralization and step out exploration into Spring Valley.

Crude Prices vs. Energy Company Prices –  Will the Gap Narrow?

The Argument for Higher Oil Market Prices is Fairly Straightforward

The price of oil is near its 2022 low. This lower per barrel cost is normal when the commodities market perceives the economy as slowing or that it will slow. What is surprising is that the price is near the low for the year when the Chinese are easing Covid restrictions and will soon be requiring more fuel; at the same time, a Russian oil cap, which is sure to bring less supply to the market, was just instituted this week. In the meantime, energy producers, up 60.8% on the year, are not sinking at the pace of oil prices.

Energy shares have been the big winners for 2022. And it is rare that they are flying solo, without the help of price increases of their underlying product. According to Bespoke Investment Group, last month marked the first time since 2006 that the S&P 500 energy sector has traded within 3% of a 12-month high while the price of West Texas Intermediate retreated more than 25% from its one-year peak.. 

The divergence has caught the attention of investors. Since drillers and miners tend to rise and fall with the prices of the commodities they produce, many expect the gap to narrow to its more historical norm. Most are looking for oil to rise rather than drillers to fall.

Pressures that could cause oil to rise include the EU winter season, the U.S. Strategic Reserves bumping up against depletion, OPEC+ keeping production quotas unchanged, and Western governments’ $60-a-barrel price cap on Russian crude. These, taken together, are expected to put upward pressure on per-barrel prices. The commodities market is not moving in accordance with these factors. Futures contracts for U.S. crude closed Monday 3.8% lower at $76.93 a barrel, its fourth-lowest settle of the year.

Working against the argument for higher crude prices is the expected slowing of world economies. The possibility of a recession in many global economies while central banks raise interest rates, is unknown. Any impact remains to be seen.
