Cyberattack disrupts shipments. On June 10th, Haynes experienced a cyber-driven network outage. By June 21st, the company’s manufacturing operations were restored along with administrative, sales, financial, and customer service functions. While Haynes has not quantified the full financial impact, the event caused some delay in product shipments.

Updating estimates. We have lowered our June quarter adjusted EBITDA and EPS estimates to $22.8 million and $0.97 per share from $26.5 million and $1.19 per share. Our full year fiscal 2023 EBITDA and EPS estimates have been lowered to $89.6 million and $3.82 per share from $93.3 million and $4.04 per share. Our estimates assume 10 days of lost shipments. While these will likely be made up in future quarters, it may take some time for shipments to normalize given that the company has been operating at high capacity driven by a strong order book. We have not adjusted our fourth quarter fiscal year 2023 or fiscal year 2024 estimates.

Location, location, location. Drilling at Labrador Gold’s 100%-owned Kingsway gold project continues to target the Appleton Fault over a 12-kilometer strike length. The drilling is part of the company’s ongoing 100,000-meter diamond drilling program of which approximately 72,000 meters of drilling has been completed. Assays are pending for approximately 4,370 meters of core. Most of the drilling has occurred at the Big Vein target where recent drilling returned near surface gold values. Hole K-23-225 intersected 1.06 grams of gold per tonne over 9.63 meters, including 2.28 grams of gold per tonne over 2.25 meters. Hole K-23-221 returned 3.66 grams of gold per tonne over 1.04 meters.

Outstanding results at Dropkick. Highlights from initial drilling at the Dropkick target included Hole K-23-228B which returned 1.97 grams of gold per tonne over 9.45 meters, including 3.13 grams of gold per tonne over 5.45 meters and 31.86 grams of gold per tonne over 0.45 meters that contained visible gold. Hole K-23-227 intersected 1.15 grams of gold per tonne over 4.0 meters and 1.06 grams of gold per tonne over 5.27 meters. Hole K-23-224 intersected 1.74 grams of gold per tonne over 5.07 meters, including 2.72 grams of gold per tonne over 3.16 meters. The Dropkick target is approximately 3.4 kilometers northeast of Big Vein.

All resolutions passed. Aurania Resources hosted an Annual and Special Meeting on June 14th during which shareholders approved all resolutions, including the election of directors, the appointment of Aurania’s external auditor, the incentive stock option plan for the upcoming year, and amendments to the company’s restricted stock unit plan. The formal part of the meeting was followed by an update from Aurania’s Chairman, President and CEO, Dr. Keith Barron. We anticipate the company may elaborate on Dr. Barron’s comments during the meeting shortly.

The Company also announces that its Chairman, President and Chief Executive Officer, Dr. Keith Barron (the “Lender”) completed a loan of C$2,000,000 to the Company. The loan is unsecured, bears interest at 2% per annum and matures upon notice of twelve months and one day from the Lender.  The loan will help fund the Company’s working capital and general corporate purposes as well as any exploration expenses in Ecuador.

Dr. Keith Barron is a related party of the Company by virtue of the fact that he is the Chairman, the President and Chief Executive Officer, a promoter and a principal shareholder of the Company, and as a result, each of the Loan constitutes a “related party transaction” for the purposes of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101”). The Company is relying upon an exemption from the formal valuation and minority shareholder approval requirements under MI 61-101 in respect of the Related Party Transactions, in reliance on Sections5.5(a) and 5.7(1) of MI 61-101, respectively, as the fair market value of the Related Party Transaction, collectively, does not exceed 25% of the Company’s market capitalization, as determined in accordance with MI 61-101. The Company did not file a material change report related to the Loan more than 21 days before the expected closing of the Loan as required by MI 61-101, as the Company required the funds from closing on an expedited basis for sound business reasons.

The Loan and the Insider Participation were approved by the members of the board of directors of the Company who are independent for purposes of the Related Party Transactions, being all directors other than Dr. Barron. No special committee was established in connection with the Loan and the Insider Participation, and no materially contrary view or abstention was expressed or made by any director of the Company in relation thereto.

Release – Eskay Mining and Seabridge Gold Terminate Amended Cost Sharing Agreement to Finance Coulter Creek Access Road

TORONTO, ON / ACCESSWIRE / June 7, 2023 / Eskay Mining Corp. (“Eskay” or the “Company”) (TSXV:ESK) (OTCQX:ESKYF) (Frankfurt:KN7)(WKN:A0YDPM) wishes to announce that, further to its News Release of November 12, 2021, Eskay, Seabridge Gold Inc. (“Seabridge”) and Seabridge’s wholly-owned subsidiary, KSM Mining ULC (“KSM”), have signed an agreement (the “Termination and Mutual Release Agreement”) to terminate the amended agreement (the “Amended Cost Sharing Agreement”) whereby Seabridge and Eskay were to fund the costs of construction of the first 9 kilometres (the “First Segment of the CCAR”) of the Coulter Creek Access Road (“CCAR”), estimated to cost $12.5 million, with a limit on Eskay’s contribution to a maximum of $6,250,000. Seabridge provided Eskay with a $3 million revolving loan facility at an interest rate of 3% per year to give Eskay flexibility with funding its share of the costs of construction.

At the end of 2022, the costs incurred in respect of the construction of the First Segment of the CCAR were approximately $6 million. Seabridge had suspended delivering cash calls before year end and Eskay’s share of cash calls to year end was funded through the drawdown of approximately $2.7 million of the loan facility provided by Seabridge pursuant to the Amended Cost Sharing Agreement. Seabridge completed 3.2 km of the road in 2022 and due to Seabridge concentrating its current road building activities on its Treaty Creek Access Road, it is uncertain when Seabridge will complete the First Segment of the CCAR.

Eskay will not have access to or use of the First Segment of the CCAR for its 2023 exploration program. Therefore, Eskay, Seabridge and KSM agreed to terminate the Amended Cost Sharing Agreement and release each other from all obligations under the Amended Cost Sharing Agreement including any obligations relating to the completion of the First Segment of the CCAR, any obligation of Eskay to contribute to construction costs relating to the First Segment of the CCAR or any obligation of Seabridge to provide further loans or of Eskay to repay loans provided by Seabridge, or interest thereon. In addition, the 500,000 Bonus Warrants issued to Seabridge were cancelled.

Pursuant to the terms of the Termination and Mutual Release Agreement, Eskay will have the right after completion of the First Segment of the CCAR, as long as KSM or its assignee operates the relevant CCAR segment, to request a road use agreement for the use of the First Segment of the CCAR. Pursuant to the terms of the road use agreement, Eskay will be required to pay an industry standard portion of maintenance costs and $100,000 per year for up to eight years (which may be non-consecutive years) for use of the First Segment of the CCAR.

Results from Telbel deep drilling program. Maple Gold released complete gold assay results from the first phase of deep drilling at the Telbel Mine area of the Joutel Gold Project which is held in the 50/50 joint venture between Maple and Agnico Eagle Mines Limited. Multi-element assay results are pending. The joint venture completed a total of 7,343 meters of drilling in three master drill holes and four wedge drill holes with holes TB-22-001 and TB-22-003 and their respective wedges testing the down-plunge extension of gold mineralization beneath the historic Telbel workings. Hole TB-22-002 was a step-out to test the southeast continuity of the Eagle-Telbel system.

High-grade potential at depth. Results from the deep drilling program support the strike and depth continuity of the Eagle-Telbel Mine Horizon beyond the current limits of drilling and the presence of multiple mineralized horizons along with the presence of high-grade gold mineralization beneath the underground mine workings and deepest historical gold intercepts. All three holes intersected significant horizons of semi-massive to massive sulfides, with Hole TB-23-003W2 intersecting significant gold mineralization approximately 575 meters below the lowest level of historic mining at Telbel.

Pilot plant program. The Wicheeda REE project pilot plant is being configured to produce a high purity rare earth precipitate suitable as feed stock for a rare earths element (REE) separation plant. The objective of the pilot plant is to demonstrate, at a larger scale, the processing of Wicheeda flotation concentrate to produce rare earths using the acid bake hydrometallurgy process and to collect data for a preliminary feasibility study (PFS) which is expected to be completed during the first half of 2024.

Phase II completed. Defense Metals recently completed Phase II hydrometallurgical pilot plant test work and has commenced work on the Wicheeda preliminary feasibility study. Phase II operations were performed by SGS Canada Inc. at Lakefield, Ontario and were completed in early May and entailed processing 370 kilograms (kg) of flotation concentrate produced in an earlier flotation pilot plant operation. The recent work provided the metallurgical test data required for Defense Metals’ engineering consultants to commence the design work that is an important part of the PFS.

Blockchain Beyond Cryptocurrency: The Potential of Distributed Ledger Technology

Does blockchain have a future beyond crypto? Since its beginning as the underlying technology for Bitcoin (BTC) and later other cryptocurrencies, blockchain has been the necessary, behind-the-scenes, engine that allow these fintech currencies to function. Dogecoin (DOGE), Ethereum (ETH), and even the 18 G20 countries developing a central bank digital currency (CBDC) need blockchain to exist.  

But what non-finance industries are being impacted or will be disrupted by blockchain? It is not with exaggeration to say blockchain has the power to revolutionize various industries and redefine everyday transactions, manage data, and establish trust. Long-term investing requires knowledge of current trends and where the future may take them. Below we explore many of the possibilities of blockchain aside from cryptocurrency and delve into its promising future.

What is Blockchain?

At its core, blockchain is a decentralized (no single control) and immutable (unable to be changed) ledger that records activity across multiple computers. This distributed character replaces the need for institutional intermediaries to ensure transparency, security, and efficiency. A person or an entity can function, even across borders directly, without the need for a middleman. Verification of activity is recorded and remains a part of a blockchain ledger.

Uses beyond cryptocurrency, or the speculative investment that crypto and non-fungible tokens (NFT) have become, include health care, finance, voting, real estate titles, and smart communities.

Health Care

The HIPAA Privacy Rule sets national standards to protect individuals’ medical records and other identifiable health information. It applies to health plans, healthcare clearinghouses, and healthcare providers that conduct certain medical transactions electronically. The purpose is to keep data ownership from improperly being passed and to maintain privacy in the industry. Current centralized systems are not able to meet the many needs of patients, health service providers, insurance companies, and governmental agencies. Blockchain technology enables a decentralized system for access control of medical records where all stakeholders’ interests are protected.

Blockchain systems not only allow healthcare service providers to securely share patients’ medical records but patients may also track who has accessed their records and determine who is authorized to do so. If blockchain-driven, all transactions can become transparent to the patient.

And blockchain-powered interoperability can enable the seamless sharing of medical data between healthcare organizations, improving patient care, research, and drug development.

Supply Chain Management

Complex global supply chains involve numerous stakeholders, some sending, others receiving, and others verifying the source of food or products. Verifying the authenticity and improving traceability of products can be a challenging task. Blockchain’s ability to create an immutable record of every transaction and movement along the supply chain enables transparency and accountability. A company will be able to securely track the origin, manufacturing process, and movement of goods. Consumers can be equipped with verified information, among other benefits, this will increase trust and reduce the risk of receiving counterfeit products.

Storing information regarding movement on a blockchain improves integrity, accountability and traceability. For example, IBM’s Food Trust uses a blockchain system to track food items from the field to retailers. The participants in the food supply chain record transactions in the shared blockchain, which simplifies keeping track.

Entertainment Products

As technology has allowed greater reproduction and distribution, including music and art, blockchain may provide creators with more control over their work. The whole entertainment industry may undergo a significant transformation with blockchain technology. Artists can tokenize their efforts, creating a digital certificate of ownership that can be bought, sold, and shared on blockchain platforms. This will enable artists to have tight control over their intellectual property, receive fair compensation, and even establish a direct connection with their followers. Beyond ownership infringement, blockchain can facilitate transparent royalty distribution, this could ensure that artists receive their rightful earnings without an intermediary and the cost that comes with anyone getting in the middle of a transaction.

The Energy Sector

Blockchain is likely to play a transformative role in all forms of energy. As renewable energy sources continue their trend, blockchain can enable peer-to-peer energy trading. Individuals and organizations will be able to directly exchange surplus energy with those expecting an energy deficit. This could create a decentralized energy market.

Smart contracts executed on the blockchain can automatically verify and settle transactions, ensuring transparency. This democratization of energy, if broadly implemented, could accelerate the adoption of sustainable practices, provide energy where needed, and reduce waste.

Governments

While the government is often the intermediary that the blockchain makes less needed or unneeded, recognizing the potential of blockchain to enhance transparency and efficiency in public services may become its greatest use. Land registries, taxation, voting systems, and identity certainty can all be improved through blockchain’s tracking and tamper-resistant design. Immutable records of land ownership can reduce disputes and increase trust in property transactions. Digital identities stored on a blockchain can streamline processes such as passport verification and border control, making them more secure and efficient. Blockchain-based voting systems have the potential to eliminate voter fraud, ensuring fair and transparent elections.

Potential

Much of what is described above has either barely been implemented or has not been put to use. This is a period in any technological advancement when most long-term investors would like to be involved. Efficiencies and improved products are poised to help the industries mentioned, and pure blockchain companies, large and small, can benefit from developing uses for their technology.

Despite its potential, blockchain technology still faces challenges. Scalability, energy consumption, and regulatory frameworks require further development and refinement. However, ongoing research and collaborations among businesses, academia, industry, and policymakers are actively finding avenues around these concerns, driving the maturation of blockchain technology.

Blockchain is still in its infancy, and industries are just becoming aware of its power to help them. As the paradigm shifts, it could become a technology businesses could not imagine doing without. Blockchain’s decentralized, transparent, and secure nature makes it a powerful tool for revolutionizing healthcare, supply chain management, entertainment, governing, and energy sectors. As the technology evolves, we can expect innovative use and widespread adoption of blockchain that serves to elevate trust, efficiency, and transparency. And maybe the now-developed cryptocurrencies will survive within these changes.

Building on the 2022 program. In 2022, Garibaldi tested targets from the 2021 Geotech deep-penetrating Z-Axis Tipper Electromagnetic (ZTEM) survey at the company’s E&L nickel-copper-cobalt massive sulphide project. Two holes were successful, including a deep hole which intersected two intervals of E&L gabbro more than 200 meters down plunge from previous drilling and nickel-bearing disseminated and semi-massive sulphide mineralization. The two successful drill holes are lined with polyvinyl chloride (PVC) and Garibaldi intends to conduct a geophysical borehole electromagnetic (BHEM) survey to aid the 2023 drilling program. We will be interested in the outcomes from the BHEM survey, particularly if it reveals any conductors off-hole.

Upcoming drill program. Drilling in 2023 will test for mineralization associated with broad low-resistivity anomalies identified in the Geotech survey. While subject to change, the 2023 drill program will likely commence in early July and entail three to four holes at the E&L target, two holes of approximately 500 meters depth at the B1 target, and two holes at the Palm Springs property. Drilling at E&L will focus on areas within the ZTEM anomaly tested in 2022. We expect the drill program to conclude at the end of October.
