Announces a “poison pill.” Cumulus Media adopted a limited-duration shareholder rights plan with the goal of discouraging an investor from increasing its stake beyond 15% of total shares outstanding. We view the move as shareholder friendly given that it prevents the investment group from a “creeping,” opportunistic takeover of the company at depressed stock valuations. 

What does the pill do? The plan is to issue one right for each share of Class A and Class B common stock as of the close of business March 4, 2024. The right will become exercisable if any person or affiliate group acquires 15% or more of the company’s stock. Each right holder will be able to acquire shares at a 50% discount or exchange the right for common stock. The move would significantly dilute the investor’s interest and make a takeover of the company prohibitively expensive.

Updating our financial model. We have lowered our 2024 EBITDA and EPU estimates to $846.9 million and $3.98 from $935.9 million and $4.64, respectively. Our revisions are due mostly to changes in and our treatment of coal royalty revenue and equity method investment income. In our model, coal royalty revenues are included in other revenues. Because equity method investment income fluctuates, we decided not to include it in our forward estimates for the time being. Lastly, we updated our oil and gas price deck which reflects modestly lower forward gas prices.

A strong growth track record. In 1999, the partnership went public in an initial public offering. In 2000, ARLP generated revenue of $363.5 million, EBITDA of $71.3 million and net income of $15.6 million or $0.98 per unit. In 2023, the partnership generated revenue of $2.6 billion, EBITDA of $933.1 million and net income of $636.2 million or $4.81 per unit. While ARLP’s coal sales increased from 15.0 million tons to 34.4 million tons in the intervening years, ARLP’s revenue streams have also become more diversified.

A Mixed Fiscal Year. A weaker macroenvironment globally, mixed with softer technology demand, lower than anticipated return to office trends and, in some quarters, a stronger U.S. dollar led to a decline in net sales from the prior year. However, increases in the Company’s gross and operating margin is attributable to management’s cumulative global price increases and cost reduction initiatives. With the recent announcement of a multi-year restructuring and cost savings program, we expect these increases to continue over the next year.

Results. Net sales for the fourth quarter were $488.6 million compared to $499.4 million last year and above our estimate of $475 million. Comparable sales decreased 4.6%. Net loss for ACCO was $59.4 million, or $0.62/sh, compared to net income of $18.8 million, or $0.20/sh, last year. An $89.5 million impairment charge and an increase in restructuring charges were the primary drivers of the 4Q23 loss. Adjusted net income was $37.5 million, or $0.39 per share, compared with $30.5 million, or $0.32, in 2022.

CHICAGO, IL, Feb. 22, 2024 (GLOBE NEWSWIRE) — MAIA Biotechnology, Inc., (NYSE American: MAIA) (“MAIA”, the “Company”), a clinical-stage biopharmaceutical company developing targeted immunotherapies for cancer, today announced that enrollment is now complete in its Phase 2 THIO-101 go-to-market clinical trial evaluating THIO sequenced with the immune checkpoint inhibitor (CPI) cemiplimab (Libtayo®) in advanced non-small cell lung cancer (NSCLC).

The trial reached the enrollment target of 41 patients for the 180mg/dose on February 19, 2024. As of the latest data available for the trial, 79 patients had received either 60mg (24 patients), 180mg (41 patients) or 360mg (14 patients). The original trial design targeted up to 182 patients, including all patients in the safety lead-in and 41 patients in each of the 3 tested doses (60mg, 180mg, and 360mg). Following the selection of 180 mg/cycle as the optimal dose in December 2023, all patients were subsequently enrolled at the 180mg/cycle dose and trial enrollment was completed ahead of schedule.

The main objectives of the THIO-101 trial are to evaluate the safety, tolerability, and preliminary clinical efficacy of THIO in patients with advanced NSCLC who have experienced disease progression or relapse after initial treatments with an immune CPI alone or in combination with chemotherapy.

About THIO

THIO (6-thio-dG or 6-thio-2’-deoxyguanosine) is a first-in-class investigational telomere-targeting agent currently in clinical development to evaluate its activity in Non-Small Cell Lung Cancer (NSCLC). Telomeres, along with the enzyme telomerase, play a fundamental role in the survival of cancer cells and their resistance to current therapies. The modified nucleotide 6-thio-2’-deoxyguanosine (THIO) induces telomerase-dependent telomeric DNA modification, DNA damage responses, and selective cancer cell death. THIO-damaged telomeric fragments accumulate in cytosolic micronuclei and activates both innate (cGAS/STING) and adaptive (T-cell) immune responses. The sequential treatment with THIO followed by PD-(L)1 inhibitors resulted in profound and persistent tumor regression in advanced, in vivo cancer models by induction of cancer type–specific immune memory. THIO is presently developed as a second or later line of treatment for NSCLC for patients that have progressed beyond the standard-of-care regimen of existing checkpoint inhibitors.

About THIO-101, a Phase 2 Clinical Trial

THIO-101 is a multicenter, open-label, dose finding Phase 2 clinical trial. It is the first trial designed to evaluate THIO’s anti-tumor activity when followed by PD-(L)1 inhibition. The trial is testing the hypothesis that low doses of THIO administered prior to cemiplimab (Libtayo®) will enhance and prolong immune response in patients with advanced NSCLC who previously did not respond or developed resistance and progressed after first-line treatment regimen containing another checkpoint inhibitor. The trial design has two primary objectives: (1) to evaluate the safety and tolerability of THIO administered as an anticancer compound and a priming immune activator (2) to assess the clinical efficacy of THIO using Overall Response Rate (ORR) as the primary clinical endpoint. Treatment with cemiplimab (Libtayo®) followed by THIO has been generally well-tolerated to date in a heavily pre-treated population. SAN DIEGO, Feb. 21, 2024 (GLOBE NEWSWIRE) — Kratos Defense & Security Solutions, Inc. (“Kratos”) (NASDAQ: KTOS), a Technology Company in the Defense, National Security and Global Markets, today announced that it intends to offer for sale $300,000,000 of shares of its common stock in an underwritten offering pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission (the “SEC”). The underwriters will have a 30-day option to purchase up to an additional $45,000,000 of shares of common stock from Kratos. All of the shares in the offering are to be sold by Kratos. The proposed offering is subject to market and other conditions.

Euroseas trades on the NASDAQ Capital Market under the ticker ESEA. Euroseas operates in the container shipping market. Euroseas’ operations are managed by Eurobulk Ltd., an ISO 9001:2008 and ISO 14001:2004 certified affiliated ship management company, which is responsible for the day-to-day commercial and technical management and operations of the vessels. Euroseas reported a 14% year-over-year increase in revenues, net during the quarter ended December 31, 2023 due mainly to the addition of a vessel and increased fleet utilization rates. Shipping rates were largely unchanged from last year and generally predictable given a high charter coverage.

Costs were generally in line with expectations. Drydocking expenses were higher than expected due to the retrofitting of the MV Synergy Busan. Interest and financing costs continue to rise with a $23 million year-over-year increase in debt as the company makes payments on six newbuilds. In total, the company is spending $220 million on the newbuilds with $65 million already paid and an additional $130 million to be financed. Bottom-line results were near expectations.

Fed in No Rush to Cut Rates While Inflation Remains Elevated

The minutes from the Federal Reserve’s latest Federal Open Market Committee (FOMC) meeting reveal a cautious stance by policymakers toward lowering interest rates this year, despite growing evidence of cooling inflation. The minutes underscored the desire by Fed officials to see more definitive and sustainable proof that inflation is falling steadily back towards the Fed’s 2% target before they are ready to start cutting rates. This patient approach stands in contrast to market expectations earlier in 2024 that rate cuts could begin as soon as March.

The deliberations detailed in the minutes point to several key insights into the Fed’s current thinking. Officials noted they have likely finished raising the federal funds rate as part of the current tightening cycle, with the rate now in a range of 4.5-4.75% after starting 2022 near zero. However, they emphasized they are in no rush to start cutting rates, wanting greater confidence first that disinflation trends will persist. Members cited the risks of easing policy too quickly if inflation fails to keep slowing.

The minutes revealed Fed officials’ desire to cautiously assess upcoming inflation data to judge whether the recent downward trajectory is sustainable and not just driven by temporary factors. This patient approach comes despite recent encouraging reports of inflation slowing. The latest CPI and PPI reports actually came in above expectations, challenging hopes of more decisively decelerating price increases.

Officials also noted the economy remains resilient with a strong job market. This provides the ability to take a patient stance toward rate cuts rather than acting preemptively. How to manage the Fed’s $8 trillion balance sheet was also discussed, but details were light, with further debate expected at upcoming meetings.

Moreover, policymakers stressed ongoing unease over still elevated inflation and the harm it causes households, especially more vulnerable groups. This reinforced their cautious posture of needing solid evidence of controlled inflation before charting a policy shift.

In response to the minutes, markets have significantly pushed back expectations for the Fed’s rate cut timeline. Traders are now pricing in cuts starting in June rather than March, with the overall pace of 2024 cuts slowing. The minutes align with recent comments from Fed Chair Jerome Powell emphasizing the need for sustained proof that inflationary pressures are abating before rate reductions can begin.

The minutes highlight the tricky position the Fed faces in navigating policy uncertainty over how quickly inflation will decline even after aggressive 2023 rate hikes. Officials debated incoming data signals of potentially transitory inflation reductions versus risks of misjudging and overtightening policy. With the economy expanding solidly for now, the Fed has the leeway to be patient and avoid premature policy loosening. But further volatility in inflation readings could force difficult adjustments.

Looking ahead, markets will be hyper-focused on upcoming economic releases for evidence that could support a more decisive pivot in policy. Any signs of inflation slowing convincingly toward the Fed’s 2% goal could boost rate cut bets. Yet with labor markets and consumer demand still resilient, cooling inflation to the Fed’s satisfaction may take time. The minutes clearly signaled Fed officials will not be rushed into lowering rates until they are fully convinced price stability is sustainably taking hold.
