A Closing and a New Store. Yesterday, Schwazze announced the closing of the Lightshade Labs LLC transaction in Colorado and another opening of a dispensary in New Mexico. As a reminder, the Lightshade Labs LLC acquisition was for two Colorado dispensaries for US$2.75 million paid in cash.

Keep On Comin’. The new New Mexico location, this one located at  110 Yale Blvd SE in  Albuquerque, officially opened its doors on December 15th. The dispensary is under its retail banner R. Greenleaf, and represents the fifth dispensary opened in the last 90 days in the state. The opening also increases the total amount of dispensaries Schwazze operates to 40. We expect further openings from the Company in the future, as the Company is still looking into more locations in New Mexico, especially around the perimeter of the state, and Colorado.

Kandi received a letter of intent from Coleman Powersports to purchase 4,800 electric golf carts for a value of $27.6 million. Coleman Powersports, a division of Newell Brands (a distributor of various camping and outdoor living gear) began purchasing the Kandi golf carts in April for sales through Lowes stores and has increased the order volume steadily up to a rate of 1,000 in September. The sales to Coleman are expected to occur in the 2023 first quarter and thus represent an 60% increase in orders for Coleman over September sales.

What does this mean for Kandi? The Off-road vehicle segment is the fastest growing division of  Kandi growing more than 400% year over year in the September quarter. What’s more, it is the most profitable division for the company with operating margins in excess of 25%. The company has shifted attention away from electric cars and towards off-road vehicles and the shift has clearly paid off. The fact that the sales are going to established brand names such as Coleman and Lowes is significant and lends credence of future sales growth.

Setting Up Shop. Last week, Item 9 Labs announced that the Company’s dispensary franchise, Unity Rd., will be expanding into Franklin Township in Somerset County, N.J. This is the Company’s first dispensary on the East Coast, and fourth state into which the franchise has expanded. 

Additional Detail. The approval of the recreational business license was among the first the state has licensed, outside of existing medicinal cannabis businesses that were converted to recreational. The owner, Dishen Patel, has experience in private equity investing of consumer-driven brands, including restaurant concepts with a franchise infrastructure.

The White Mesa Mill is the only conventional uranium mill operating in the U.S. today, has a licensed capacity of over 8 million pounds of U3O8 per year, has the ability to produce vanadium when market conditions warrant, as well as REE carbonate from various uranium-bearing ores. The Alta Mesa ISR Project is also on standby and has a licensed capacity of 1.5 million pounds of U3O8 per year. In addition to the above production facilities, Energy Fuels also has one of the largest NI 43-101 compliant uranium resource portfolios in the U.S. and several uranium and uranium/vanadium mining projects on standby and in various stages of permitting and development. The sales, along with recently signed utility contracts, will generate cash flow as UUUU starts up operations. Congress allocated $75 million to establish a national uranium security reserve in its 2020 budget. The US Energy Secretary indicated earlier that it expects to make four individual awards of 100,000-500,000 pounds of U3O8 for a total of 1 million pounds. Energy Fuels, as the largest licensed producer of uranium, was in a good position to receive one of the rewards. The UUUU announcement did not indicate a volume level. Peninsula Energy announced that it received an award for 300,000 pounds but did not specify a sales amount. 

The sales can be done right away before mining operations are restarted. The conditions of the DOE award state that the uranium must be physically located at Honeywell’s conversion facilities in Metropolis, IL. Energy Fuels currently holds about 610,000 pounds of U3O8 at Metropolis worth more than $30 million at current uranium spot prices. A volume awards similar to that for Peninsula seems reasonable implying that the DOE is paying a price near $60/lb. or slightly above current spot prices, and be well within current inventory levels.

Strong fiscal Q1 results. The company reported revenue of $8.1 million and adj. EBITDA of $795,000 a year-over-year increase of 115% and 161%, respectively. Revenue was in line with our estimate of $8 million while adj. EBITDA exceeded our estimate of $0.47 million by 71%, illustrated in Figure #1 Q1 Variance.

Next Level & SkyNet. Management stated that they have successfully integrated SkyNet and Next level internet and that improved margins are a result of the integration. While we were anticipating improved margins from the SkyNet acquisition, the improvement was ahead of expectations. Gross margins in the latest quarter were 64.9% versus our estimate of  60%.

Phase 1 Data Announced. Cocrystal has announced data from its Phase 1 study of CC-42344 in seasonal and pandemic influenza. CC-42344 is an inhibitor of PB2, an enzyme that acts early in the viral replication cycle. This early point of action could make it effective against all strains of influenza.

Investor Day. During a recent investor day webinar, Coeur provided more details about the progress of its Rochester expansion and Silvertip development projects. Additionally, the company provided gold and silver production forecasts through 2025, along with estimates for costs applicable to sales and development capital expenditures. Coeur projects that gold and silver will account for 65% and 35%, respectively, of its 2025 metals mix compared to 70% and 30% in 2021.

Rochester expansion. The expansion is intended to extend the life of the Rochester mine in Nevada. It is roughly 69% complete with construction on track to be completed in mid-2023. Production will steadily increase in the second half of 2023. The total estimated cost is $650 million to $670 million with fourth quarter 2022 and full year 2023 expenditures expected to be in the range of $80 million to $90 million and $197 million to $207 million, respectively. Coeur anticipates de-levering the balance sheet once the Rochester expansion is completed in mid-2023.

2022 exploration and drilling program. The 2022 exploration program focused on identifying new precious metal-rich volcanogenic massive sulphide (VMS) deposits, often found in district scale clusters, across the Consolidated Eskay project. Much of the focus was on defining the extent of VMS systems along the eastern and western limbs of the Eskay Anticline. Eskay Mining completed 29,500 meters of diamond drilling along the TV-Jeff corridor and along the Scarlet Ridge-Tarn Lake trend.

Assay results released. Eskay Mining released assay results for 42 holes drilled along the TV-Jeff corridor, including north of the Jeff deposit. Assays returned from holes completed in areas close to the TV deposit yielded significant intercepts of gold and silver mineralization. Wide-spaced drilling approximately 800 meters north of Jeff encountered a new zone of mineralization that yielded high-grade gold and silver values, some within longer intervals of lower grade mineralization. The company is awaiting assay results from maiden drilling in the Scarlet Valley-Tarn Lake area where several new VMS targets were drill tested in 2022.

Axcella Restructures and Reprioritizes Operations. Axcella has announced a corporate restructuring with changes to its development plans for AXA1125. The Phase 2b trial in NASH has been discontinued while the Long COVID Fatigue indication will move forward. Staff has been reduced by 85%. These actions should allow the operations to continue as strategic alternatives are evaluated.

Focus On Long COVID Fatigue. In August 2022, Axcella announced Phase 2a trial data for AXA1125 in Long COVID Fatigue patients, with data showing promising improvements in physical and mental fatigue. Allegiant Gold (AUXXF) – Excitement Builds

Allegiant owns 100% of 10 highly-prospective gold projects in the United States, seven of which are located in the mining-friendly jurisdiction of Nevada. Three of Allegiant’s projects are farmed-out, providing for cost reductions and cash-flow. Allegiant’s flagship, district-scale Eastside project hosts a large and expanding gold resource and is located in an area of excellent infrastructure. Preliminary metallurgical testing indicates that both oxide and sulphide gold mineralization at Eastside is amenable to heap leaching.

Drilling at the East Pediment prospect. In late November, Allegiant Gold commenced a follow-up reverse circulation drilling program at the company’s East Pediment prospect to follow up on this year’s discovery of mineralized rhyolite with assays from Hole ES-258 returning intercepts of up to 4.4 grams of gold per tonne. Permits allow for up to 27 reverse circulation drill holes. To allow time for analysis of assay results, the program will be conducted in phases with the first phase comprised of  5 to 6 holes representing 2,000 meters of drilling.

Discovery Hole ES-258. The new discovery led Allegiant to stake an additional 194 mining claims covering parts of the pediment near Hole ES-258. Importantly, mineralization is open at depth where the bottom of Hole ES-258 returned 4.5 meters averaging 0.26 grams of gold per tonne and 13.66 grams of silver per tonne.

With more than 60 units, RCI Hospitality Holdings, Inc., through its subsidiaries, is the country’s leading company in adult nightclubs and sports bars/restaurants. Clubs in New York City, Chicago, Dallas-Fort Worth, Houston, Miami, Minneapolis, Denver, St. Louis, Charlotte, Pittsburgh, Raleigh, Louisville, and other markets operate under brand names such as Rick’s Cabaret, XTC, Club Onyx, Vivid Cabaret, Jaguars Club, Tootsie’s Cabaret, Scarlett’s Cabaret, Diamond Cabaret, and PT’s Showclub. Sports bars/restaurants operate under the brand name Bombshells Restaurant & Bar.

Acquisitions. Yesterday, RCI Hospitality announced an agreement to acquire five gentlemen’s clubs, two Baby Dolls, one in Dallas and one in Forth Worth, and three Chicas Locas, one each in Arlington, Dallas, and Houston. The proposed acquisition is the second largest in RCI’s history and one of the largest in the nightclub industry.

Details. RCI is paying $66.5 million for the clubs and associated real estate. The $66.5 million breaks out to $25 million in cash, $25.5 million of 10-year 7% seller notes, and 200,000 restricted shares of stock based on a per share price of $80. The clubs are expected to contribute approximately $11 million of EBITDA in year one, growing to $14-$16 million annually once remodeling and expansion projects are complete.
