BUSINESS Update

CHOLESTEROL EFFLUX MEDIATORTM VAR 200 FOR RENAL DISEASE

  • Phase 2a clinical trial in patients with diabetic kidney disease is on target to begin in the first half of 2024.

INFLAMMASOME ASC INHIBITOR IC 100 FOR INFLAMMATORY DISEASES

YEAR END 2023 FINANCIAL RESULTS

Net losses were $98.3 million for the year ended December 31, 2023 (the “2023 Period”), an increase of $84.2 million compared to a net loss of $14.1 million for the “2022 Period,” which is comprised of the financial results of the company containing our operations prior to our business combination from January 1, 2022 through December 12, 2022, and our financial results after the business combination, from December 13, 2022 through December 31, 2022. A deferred tax benefit of $9.5 million for the 2023 Period, compared to $0.7 million tax benefit during the 2022 Period, resulted from the impairment of the in-process research and development.

Pre-tax losses were $107.8 million for the 2023 Period, an increase of $92.9 million compared to a pre-tax loss of $14.9 million for the 2022 Period. The higher net loss reported for the 2023 Period is primarily due to the impairment of in-process research and development and impairment of goodwill of $81.4 million and $11.9 million, respectively, compared to none for the 2022 Period. The impairment is a result of the decline in stock value and the resulting market capitalization of ZyVersa during the 2023 Period.

Based on its current operating plan, ZyVersa expects its cash of $3.1 million as of December 31, 2023 will be sufficient to fund its operating expenses and capital expenditure requirements on a month-to-month basis. ZyVersa will need additional financing to support its continuing operations. ZyVersa will seek to fund its operations through public or private equity or debt financings or other sources, which may include government grants and collaborations with third parties. 

Research and development expenses for the 2023 Period were $3.2 million, a decrease of $2.6 million or 44.8% from $5.8 million for the 2022 Period. The decrease in research and development expenses was primarily due to spending for materials supplies for manufacturing in 2022 that were not required in 2023 as manufacturing was completed in 2022. 

General and administrative expenses for the 2023 Period were $11.2 million, an increase of $3.2 million or 39.7% from $8.0 million for the 2022 Period. The increase is primarily attributed to increased costs for legal and professional fees of $2.7 million, investor and public relations fees of $1.2 million, and increased director and officer insurance of $1.3 million, all due to increased costs associated with being a public company. These were offset by reduced business combination transaction costs of $2.2 million.

Inflammation and oxidative stress, which are closely related pathophysiological processes, one of which can be easily induced by the other, are key drivers for developing metabolic complications, such as type 2 diabetes and cardiovascular disease, in this population.

In the paper titled, “Altered insulin secretion dynamics relate to oxidative stress and inflammasome activation in children with obesity and insulin resistance,” the authors conducted a case-controlled study of 132 children who were either lean or obese. The obese group was segmented into those with or without insulin resistance, and those with insulin resistance were segmented into those with an early and late insulin response to glucose as determined by an oral glucose tolerance test (OGTT).

The researchers reported the following key findings in Children with obesity, insulin resistance, and increased risk of metabolic complications:

  • Higher levels of NLRP3 and its effector proteins (active IL-1β, caspase-1, and gasdermin D) in peripheral blood mononuclear cells (PBMCs) and serum compared to the other groups studied, indicative of NLRP3 activation and an inflammatory response.
  • Higher levels of uric acid versus the other groups, a well-known trigger of NLRP3 activation.
  • Increased levels of oxidative stress and oxidative damage versus the other groups.

The authors concluded, “It is insulin response to an OGTT that identifies children with obesity suffering oxidative stress, and inflammasome activation more specifically. Uric acid could be mediating this pathological inflammatory response by activating NLRP3 in peripheral blood mononuclear cells.”

In the paper titled, “Association of region-specific hippocampal reduction of neurogranin with inflammasome proteins in postmortem brains of Alzheimer’s disease,” the researchers demonstrated that loss of plasticity and neuronal scaffolding proteins, part of the neurodegenerative process leading to memory and learning deficits in AD, is associated with recruitment of ASC molecules and formation of inflammasome complexes in both neurons and microglia.

Publication Shows Inflammasome Activity In Triple Negative Breast Cancer. A new study has been published in a peer-reviewed journal, Acta Neuropathologica Communications, showing the role of inflammasomes in the growth of brain metastases in triple-negative breast cancer (TNBC). The study found the components that form inflammasomes were upregulated and activated, starting the pathway for metastatic TNBC tumor cells to proliferate. In the paper titled, “Inflammasome activation in peritumoral astrocytes is a key player in breast cancer brain metastasis development,” the authors evaluated in vivo and in vitro brain metastasis models, as well as human cultures of astrocytes and TNBC cells. Key findings are as follows:

  • Activation of the NLRP3 inflammasome results in excretion of IL-1β in the tumor environment, enhancing proliferation of metastatic cells in the brain.
  • Expression of IL-1β correlates with the size of metastatic lesions, being absent in tumor-free brain areas and more intense in the vicinity of large tumors in comparison to smaller ones.
  • Inhibition of NLRP3 activation prevented proliferation of TNBC cells in both mouse and human models.

The authors stated, “We are the first to show that peritumoral reactive astrocytes promote the proliferation of TNBC cells in the brain through NLRP3 inflammasome-dependent secretion of IL-1β. Brain metastases are among the most aggressive and the least curable malignant tumors; therefore, we need novel therapies targeting mechanisms that contribute to the proliferation of metastatic cells in the brain.” They concluded, “We suggest that inflammasome inhibition might become a therapeutic option in this currently incurable disease.”

Our renal and inflammatory disease pipelines each have potential to address multiple indications. Combined, our two proprietary product platforms target a global total addressable market of around $75 billion.

On the financial front, various market watchers are seeing signals that the biotech and pharma investment environment is set to trend positively in 2024. Capital is again starting to flow to companies that are seeking to innovate through differentiated technologies or novel mechanisms of action. Near the end of 2023, we began to witness an increase in financings and an uptick in M&A across multiple sectors from inflammatory diseases to oncology. We are on schedule to initiate our Phase 2a clinical trial with VAR 200 in patients with diabetic kidney disease (DKD) in the first quarter of 2024. This will be an open label trial for real-time data reads. Initial data is anticipated to be available mid-year. DKD represents a significant area of unmet need, as it is the leading cause of end-stage kidney disease, requiring dialysis or kidney transplant for survival. Although substantial progress has been made in slowing progression of DKD with introduction of ACE inhibitors, ARBs, and most recently SGLT2 inhibitors, patients are still progressing to end-stage renal disease. We are optimistic that the protection against kidney injury, fibrosis, and disease progression that was demonstrated with VAR 200 in animal models of three different kidney diseases will translate to humans. Data from our initial Phase 2a trial will not only provide proof-of-concept for VAR 200 in renal patients, it will also provide valuable insights for designing future trials with VAR 200 in other planned renal indications, including two rare kidney diseases, focal segmental glomerulosclerosis (FSGS) and Alport syndrome.

We are equally excited about our progress in the development of our proprietary Inflammasome ASC Inhibitor IC 100, which is designed to block initiation and perpetuation of damaging inflammation that contributes to a multitude of inflammatory diseases. A growing body of scientific literature reinforces the central role of multiple types of inflammasomes in the development and progression of inflammatory diseases, and we continue to report on these developments as they are published. By inhibiting Inflammasome ASC rather than a sensor molecule such as NLRP3, IC 100 targets multiple types of inflammasome pathways (including NLRP3, NLRP1, and AIM2), which is expected to provide better control of damaging inflammation and its perpetuation.

The IC 100 preclinical program is nearing completion and IND submission is planned for the fourth quarter of 2024, with Phase 1 trial initiation expected shortly thereafter.

Initiating Coverage With An Outperform Rating. ZyVersa Therapeutics is a biotechnology company focused on renal and inflammatory diseases. Its lead product, VAR 200, is in development to reduce renal cholesterol and lipid accumulation in the kidney. These accumulations damage the kidney and lead to loss of filtration in kidney diseases. Its second product in development, IC 100, is an inflammasome inhibitor to inhibit the inflammation that contributes to many chronic diseases.

Renal Diseases. Accumulation of renal cholesterol and lipids in the kidney leads to cellular damage that starts a decline in filtration function and leakage of protein into the urine. VAR 200 was developed to reduce levels of cholesterol and lipids in renal cells to reduce the damage, scarring, and disease progression.
