In line quarter. The company delivered on expectations for its second quarter. Total company revenues of $118.2 million, down a modest 2.5% from the year earlier quarter, was in line with our $117.7 million estimate. Adj. EBITDA in the quarter was $26.2 million, in line with our $26.8 million estimate and within the company’s guidance range of $26.0 million to $27.0 million. 

Digital on a recovery trajectory. Its Interactive business is sequentially gaining subscribers and its programmatic business, Ignite, had solid 9% revenue growth in Q2. With easier National Digital comps and with improving revenue trends in its Interactive business, we expect its Digital segment to return toward revenue growth in the second half.

Virtual conference highlights. On June 26, the company’s CEO Bill Wilson and CFO Stuart Rosenstein presented at Noble’s Virtual Consumer/TMT conference. Solid Q1 results. The company reported revenue of $99.6 million, modestly beating our estimate of $98.4 million by 1.3%. Adj. EBITDA in the quarter was $17.5 million, beating our estimate of $16.4 million by 6.8%. The quarter benefited from a swing toward growth in digital advertising (up 1.3%) and better than expected core broadcast advertising. Notably, Digital now accounts for 53% of total company revenues and cash flow, at least double that of its peers.

Interactive subs increase in March. The company added net subscribers in March, which continued in April, indicating that this business is on track to return toward revenue growth, likely in Q1 2025. Furthermore, Revenue Per Unit (RPU) for new sales appear to be increasing. We believe that new features such as Customer Relationship Management (CRM), Text and Email marketing, and integration into QuickBooks, all contribute to an enhanced revenue outlook.

Repurchases shares. The company announced that it has repurchased and will retire 1.5 million of its shares from MSG National Properties for a $9.76 per share, or an attractive 11% discount from its closing price on March 29th. We believe that the repurchases alleviates a large overhang for the TSQ shares, with MSG now owning less than 200,000 shares post the repurchase. The move follows a 1.5 million share repurchase from MSG in June 2023 at $9.70 per share. 

Financially capable. As of December 31, there was $61 million in cash and it generated significant cash flow of $68 million last year. Furthermore, its debt leverage has been coming down, currently 4.4 times adj. EBITDA from over 5 times just 2 years earlier. Given its improving fundamental outlook, the board recently increased its annual dividend to $0.79 per share, offering a current annualized dividend yield at an attractive 7.2%.

Solid Q4 Results. The company reported Q4 revenue of $114.8 million and adj. EBITDA of $24.8 million, in line with expectations. Revenue for full year 2023 declined a modest 0.9%, excluding political revenue, and adj. EBITDA decreased 9.1% when political is excluded. Digital Advertising was a bright spot for the company in 2023, increasing a solid 7.1% from the prior year. Notably, revenue and adj. EBITDA met the company’s previously issued full year guidance. 

Digital at its trough. Digital revenue in Q4 was down 6.4% from the prior year period. The decrease was attributed to softness in Digital Marketing Solutions, which declined $3.2 million or 14.5% in the quarter. Management provided a sanguine view that this business may have troughed and is positioned for growth by year end.

In line quarter.  The company reported Q3 revenue of $115.1 million and adj. EBITDA of $27.2 million, both of which were in line with our estimates. In-line Q2 results. The company reported quarterly revenue of $121.2 million and adj. EBITDA of $28.6 million, both of which were in line with our estimates. The company’s revenue performance, which was roughly flat yoy, was among the best in the industry, on average down 4%. 

Favorable digital outlook. Q2 digital revenue grew 4% from the prior year period and comprised 52% of total company revenue, more than two times the industry average. Notably, Ignite grew revenue by 11% and its operating profit margin were an impressive 35%. Importantly, we view 2023 as a year of investment for Townsquare Interactive, with revenue and margin growth expected in 2024.

Repurchase at a discount. The company announced that it repurchased and retired 1.5 million shares from Madison Square Garden Company (MSG) at $9.70 per share, an 8.5% discount on the recent market price. The share repurchase accounts for nearly half of MSG’s previous ownership, and approximately 8.5% of total TSQ shares outstanding. The move follows an earlier move to initiate a hefty quarterly dividend. Separately, the TSQ shares will join the Russell 3000 and Small-Cap Russell 2000 Indices. 

Ample liquidity, accretive to per share estimates. We estimate that the company had $67 million in cash prior to the repurchase and retains a substantial cash position following the transaction. Revising revenue forecast. We are refining our 2023 and 2024 revenue forecasts. The bulk of the changes relate to our Digital subscription and Digital advertising revenue outlooks. Note: our full year total revenue and adj. EBITDA forecasts are largely unchanged. Figure #1 Forecast Revisions illustrates our updated forecast.

Lowering TSI forecast. Economic weakness has put pressure on many of the SMBs that make up TSI’s client base. Typically, the company offers temporary discounts to assist SMBs. We believe this is will have an impact on revenue in 2023, particularly the first half. Our 2023 TSI revenue forecast is lowered from $91.7 million to $85.9 million, which equates to a 6% YoY decline. We are forecasting flat revenue growth in 2024, which offers potential upside should economic conditions improve.

Beats Q1 estimates. The company reported another industry leading performance in the first quarter with revenues up 2.9% to $103.1 million, beating our $100.9 million estimate. We estimate that industry revenues likely will be down in the range of 3% to 5%. First quarter adj. EBITDA was $19.4 million, which beat our $17.9 million estimate.  

Digital surpasses 50% of revenue. Digital revenue grew 8% in the quarter, accounting for 54% of total revenue. Impressively, Digital contributed 63% of total operating profit. The Digital revenue growth was fueled by the company’s Digital Advertising solutions business, which was up 15%, making up for the slight decline in Townsquare Interactive revenue.

Strong Q4 results. The company reported Q4 revenue of $120.3 million, an increase of 8.8% from the prior year period, beating our estimate of $118.1 million by 1.8%. Adj. EBITDA of $28.4 million grew by 11% from the same period last year and beat our estimate of $28 million by 1.4%. Digital advertising grew $5.2 million to $36.8 million, up 16.3% from the prior year period.

Soft start to the year. Management guided Q1 revenue to be flat to modestly higher from the year earlier in the range of $100 million to $102 million. Adj. EBITDA to be down yoy in the range of $17.5 million to $18.5 million. National advertising is pacing down 30% in Q1, a decline of $3 million from prior year quarter, with sports accounting for 66%. Its Interactive business has softened and is pacing flat revenues in Q1, while digital advertising is pacing up 12% to 14%.

In line Q3 results. The company reported quarterly revenue of $120.6 million, up 8.4% year over year and in line with our estimate of  $121.2 million. The revenue variance was due to softer Political advertising. Adj. EBITDA of $30.9 million was marginally higher than our estimate of $30.7 million. The company’s quarterly results demonstrated continued growth despite a difficult macroeconomic environment.

Strong financials. As of September 30th, the company had $27 million in cash and $524 million in long-term debt, and a net leverage ratio of 4.5 times. Management plans to reduce net leverage to 4 times by the end of year, and sits in a favorable position for opportunistic bond buy backs in a rising interest rate environment.
