Q3 Core outperforms peers. Core advertising increased 2%, outperforming its peers, which on average declined 2% in the quarter. In addition, the company overachieved adj. EBITDA on better than expected expense savings on employee costs across both operating segments. 

Q4 core outlook outperforms peers as well. Management guided core advertising to increase 10% in Q4, significantly better than its peers, with most guiding flat to down as much as 5%. The biggest disappointment is in its Scripps Networks division, with Q4 revenues guided down low double-digits, impacted by the absence of Political and Medicare enrollment advertising due to the government shutdown.

Q3 exceeds expectations. Adj. EBITDA of $80.4 million was better than our $71.5 million estimate, on revenues of $525.9 million, a little shy of our $528.5 million estimate. Employee compensation expenses were lower than our expectations, which accounted for the largest variance in our Q3 estimates, leading to the better than expected adj. EBITDA. Figure #1 Q3 Results highlights our estimates versus the results. 

Q4 guidance reflects a difficult quarter. Management anticipates Local Media revenue to be down in the 30% range, with Local Media expenses to be down in the low single-digit percent range. Scripps Networks revenue is expected to be down in the low double-digit percent range, with expenses to be down in the low double-digit percent range. Shared services and corporate will be about $21 million.

Q2 results largely in line. Total company revenue of $540.0 million was a tad shy of our $546.6 million estimate, but was close enough. The biggest downside variance was Political, which is very unpredictable especially in an off election year. Importantly, the company overachieved our adj. EBITDA estimate, $88.8 million versus $84.8 million. 

Tweaking estimates. Management indicated that Q3 Core advertising was pacing flat in Q3, a sequential improvement from down 1.9% in q2, but a little lighter than we had hoped given the year earlier Political displacement. We tweaked our Q3 revenue estimate down 2.1% to $528.5 million and adj. EBITDA estimate down 2.8% to $71.5 million.

Compelling station swap. Scripps will be selling its stations in Lansing MI and Lafayette LA to Gray Television (GTN: Not Rated) and buying stations in Colorado Springs, CO and Grand Junction, CO and a station in Twin Falls ID. We view the move favorably, given that Scripps will create station duopolies and strengthen its presence in the West. We believe that the move will create significant efficiencies for both companies, eliminating back office, duplicative, and overhead costs. This will be an even swap with no cash compensation to either party. 

FCC fast track? The FCC has signaled its willingness to fast track the regulatory process, likely to provide a “waiver” to create duopolies rather than to seek a longer review/rulemaking process. As such, we believe that the transaction could be completed by year end.

Q1 better than expected. The first quarter results were solid, beating expectations. Total revenues were $524.4 million, better than our $519.5 million estimate. Importantly, the largest revenue variance was due to better than expected core advertising, which carries incrementally higher margins. Combined with earlier cost reductions, particularly in its Network segment, the company roundly beat adj. EBITDA expectations, $75.6 million versus our $56.5 million estimate.

Powering through the headwinds. The company gave encouraging Q2 revenue guidance, reflecting improving core advertising trends and strong Connected TV revenue. Core advertising is expected to be down more modestly in Q2 than in Q1, driven by ad demand for its sports programming. Connected TV is expected to continue its favorable revenue trajectory (which was up 42% in Q1).

Debt refi to be completed imminently. The company is expected to imminently announce the securitization of $450 million of its accounts receivable, with a portion of the proceeds to be used to pay down its 2026 term loan and extending its revolver to mid-2027. Asset Sale. On December 30, the company completed the sale of its San Diego Tower sites to K2 Towers for $20 million and entered into tower space leases with the buyer for $1 million annually. We view the sale as a favorable step toward the company’s asset monetization strategy. The proceeds from the sales is expected to be used to pare down debt.

Asset monetization. Prior to the asset sale announcement, management highlighted that it had letters of intent for roughly $60 million in real estate transactions and is still shopping Bounce, a leading Over The Air (OTA) broadcast network. Notably, we believe Bounce could be worth more than $150 million. We believe that a sale of Bounce could be announced in the first half 2025.

Solid Q3 results. The company reported revenue of $646.3 million and adj. EBITDA of $176.8 million, both of which were record highs. Notably, the quarter was driven by strong political revenue of $125.2 million, which exceeded expectations. Furthermore, the company was able to capitalize on the influx of high-margin political revenue and pay down $115 million of debt in the quarter.

Record political advertising. The company generated $125.2 million in political revenue for Q3, a record high, and increased its full year political revenue guidance from $270 million – $290 million to a minimum of $340 million. The company’s increased 2024 political revenue guidance reflects a roughly 30% increase over its highest political advertising year, 2020.

Solid Q1 results. Q1 Revenue of $561.5 million was modestly below our estimate of $571.0 million by 1.7%. Adj. EBITDA  in the quarter of $91.8 million beat our estimate of $82.9 million by 10.7% . Notably, Q1 adj. EBITDA benefited from $15.2 million in high margin Political advertising, which was substantially higher than our estimate of $6.5 million, and from earlier cost reductions.

Raising political guide. Given the strong political advertising in Q1, management increased full year 2024 political advertising revenue guide from a range of $210 million to $250 million to a range of $240 million to $270 million. The very high margin (85% to 90%) Political advertising will allow the company to pare down debt.

EBITDA of $91.8 million was better than our $82.9 million estimate. 

Raises Political guide. Given the Political advertising strength, management raised full year 2024 Political advertising revenue guide from $210 million to $250 million to a range of $240 million to $270 million. Our previous estimate was $225 million. Notably, the high end of the range would exceed that of the last presidential election cycle in 2020 at $265 million.
