Bipartisan Marijuana Banking Bill Could Pass Senate Within Weeks

A bipartisan bill that would allow cannabis businesses access to banking services could see action in the Senate within the next six weeks, according to lawmakers.

The Secure and Fair Enforcement (SAFE) Banking Act has been a priority for advocates seeking to bring the marijuana industry into the financial mainstream. Currently, most banks will not work with cannabis companies due to federal prohibition.

Senate Banking Committee Chairman Sherrod Brown (D-OH) said he has discussed plans to move the bill forward soon with Majority Leader Chuck Schumer (D-NY). Schumer has also signaled marijuana banking reform is a priority issue requiring bipartisan cooperation.

“We want to get SAFE Banking. We want to do all that in the next six weeks,” Brown told reporters this week. The bill currently has 42 cosponsors split between Republicans and Democrats.

The SAFE Banking Act would protect financial institutions from federal penalties for working with state-legal marijuana businesses. Supporters say it would provide critical access to essential banking services that cannabis companies currently lack.

However, some Senate Democrats want to amend Section 10 of the bill, believing it could undermine banking regulations. Republicans have resisted those changes, and it’s unclear if a compromise can be reached.

The lead GOP cosponsor, Senator Steve Daines (R-MT), believes the votes are already lined up to pass the current version of SAFE Banking if brought to the floor.

The bill’s progress has major implications for small cannabis businesses that have struggled without proper banking access. Industry leaders say the measure is urgently needed and could determine whether many companies survive or not.

Proper banking would help small marijuana firms process transactions, obtain financing, pay taxes, and gain legitimacy. This could level the playing field against larger cannabis corporations.

While the path forward contains hurdles, the increasing bipartisan momentum behind marijuana banking reform suggests historic progress could be on the horizon for the growing industry after years of being denied equal services.

2Q Results. Schwazze reported revenue of $42.4 million, down from last year’s $44.3 million. We had estimated revenue of $44 million. Schwazze reported a net loss, before preferred dividends, of $6.6 million, compared to net income of $33.8 million last year, which was impacted by unrealized derivative gains. After preferred dividends, net loss was $8.96 million, or a loss of $0.15/sh, versus net income of $32.1 million, or $0.24/sh, last year. Adjusted EBITDA was $13.8 million, or a margin of 32.6%, compared to $15 million, or 33.9%, last year. We had projected a $3.4 million net loss, or $0.06/sh.

Playbook Protecting Margins. By implementing its “go deep” retail strategy in its Colorado and New Mexico markets, Schwazze has been able to capture market share while cost optimization and operating efficiencies are enabling the Company to protect margins, as seen in 2Q23 gross margin of 57.9% up from 56.8% in 2Q22.

DENVER, June 5, 2023 /CNW/ – Medicine Man Technologies, Inc., operating as Schwazze, (OTCQX: SHWZ) (NEO: SHWZ) (“Schwazze” or the “Company”), announced it has acquired certain assets of Sucellus, LLC, pursuant to which the Company will manage Everest Apothecary, Inc. (“Everest“), a New Mexico not-for-profit corporation. The transaction includes retail dispensaries, cultivation, and manufacturing facilities.  

The acquisition of Everest increases the Company’s retail consumer base and furthers Schwazze’s growth strategy in the New Mexico market. Upon closing, Schwazze’s New Mexico operations will include 32 dispensaries, four cultivations, two manufacturing facilities and over 400 employees statewide.

The Everest brand complements Schwazze’s existing retail brand in New Mexico, R. Greenleaf.  Each serves a unique demographic, and both retail banners will continue to operate in the state.

A New CEO. Yesterday, Schwazze announced the Company has promoted President Nirup Krishamurthy to the role of CEO, with former CEO Justin Dye continuing to lead the Board of Directors as its non-executive Chairman.

1Q Results. Schwazze reported revenue of $40 million, an increase from last year’s $31.8 million. We had estimated revenue of $41.5 million. Schwazze reported net income, before preferred dividends, of $1.7 million, compared to a loss of $26.8 million last year. After preferred dividends, net loss was $283,965, or a loss of $0.01/sh, versus a loss of $28.5 million, or a loss of $0.61/sh, last year. Adjusted EBITDA was $14.5 million, or a margin of 36.3%, compared to $7.9 million, or 24.7%, last year. 

Retail Solid, Wholesale Taking Baby Steps. Retail sales rose 35% to $35.8 million. In the Colorado wholesale market, flower pricing remains compressed but has begun to show signs of stability. Quarter-over-quarter wholesale sales grew 29% from $3.2 million in the fourth quarter of 2022 to $4.1 million in the first quarter of this year.

Store operating hours are 8a to 9:50p Monday through Sunday.

   

The enhanced retail store features new, illuminated exterior signage, updated landscaping and a refreshed exterior of the 100-year-old, formerly residential building. Inside, new casework runs along the perimeter walls to showcase a variety of products while four display monitors feature daily deals, promotional details, and specials. Highlights of the expanded salesfloor include environmental graphics as well as new lighting, flooring, and additional storage.

Star Buds Retailer Now Enters the Fort Collins and Garden City Markets in Colorado

DENVER, May 12, 2023 /CNW/ – Schwazze, (NEO: SHWZ) (OTCQX: SHWZ) (“Schwazze” or the “Company”), announced today that it closed the transaction to acquire certain assets of Cannabis Care Wellness Centers, LLC and Green Medicals Wellness Center #5, LLC (d/b/a “Smokey’s”).  The transaction includes the recreational and medical use Smokey’s dispensaries located at 2515 7th Avenue in Garden City as well as 5740 S. College Avenue in Fort Collins. These two vibrant cannabis markets have limited licenses and present Schwazze with more opportunities to serve customers in northern Colorado. This acquisition continues Schwazze’s deliberate expansion in Colorado, bringing the Company’s total number of Colorado dispensaries to 27. The acquired assets included state and local retail marijuana licenses supporting the adult use dispensaries acquired in the transaction.     

   

The consideration for the acquisition was US$7.5 million paid as a combination of cash and stock.

In May 2021, Schwazze announced its Biosciences division, and in August 2021, it commenced home delivery services in Colorado.

Accomplishments for Q1 2023

During the first quarter of 2023, Schwazze continued its expansion plans into Colorado and New Mexico. In Colorado, the Company entered into definitive agreements to acquire two Smokey’s retail dispensaries in Fort Collins and Garden City, as well as Standing Akimbo, the largest medical dispensary in Colorado.  In New Mexico, the Company entered into a definitive agreement to acquire 14 retail dispensaries, one manufacturing and one cultivation facility from Everest.  These acquisitions continue to deepen Company’s foothold in Colorado and New Mexico with a total dispensary count to-date of 60, as well as three manufacturing facilities and six operating cultivation facilities.

Q1 2023 Results of Operations
Consolidated First Quarter revenues of $40 million dollars increased $8.2 million dollars or 26% compared to $31.8 million dollars for the same quarter last year. Quarter over quarter revenues remain flat as is seasonally typical for the industry.

Income from operations was $5.6 million dollars and improved $10.4 million dollars over the ($4.8) million dollar loss from operations in the first quarter of 2022. Adjusted EBITDA for Q1 2023 was $14.5 million dollars or 36.3% of revenue compared to $7.9 million dollars or 24.7% of revenue for the same period last year. We ended the quarter with $35 million in cash.

Total cost of goods and services was $17.0 million dollars compared to $20.8 million for the same period last year, representing a $3.8 million dollar decrease or 18.6%. This was primarily due to overall cost improvements due to vertical integration in New Mexico.

As a result, gross profit increased to $23.0 million dollars or 58% of total revenue compared to $10.9 million dollars or 34% for the same quarter last year with quarter over quarter improvement as compared to $23 million or 57% of total revenue in Q4 2022.

Total Operating Expenses totaled $17.4 million dollars for Q1 2023 as compared to $15.7 million for Q1 2022, representing an increase of $1.7 million dollars driven by payroll tax refunds offset by intangible asset amortization related to non-cash purchase price accounting adjustments from 2022 acquisitions reflected in selling, general and administrative expenses.

Other income for Q1 2023 was $758 thousand dollars, compared to other expense of $20.7 million dollars for the same quarter last year. The year-over-year change in other income/expense was driven by the accounting revaluation of the derivative liability related to the convertible note.

As a result, Schwazze generated Net Income of $1.7 million dollars compared to a Net Loss of ($26.8) million dollars for Q1 2023.

Another Acquisition. Schwazze announced the Company signed definitive documents to acquire certain assets of Sucellus, LLC. In the proposed acquisition, the Company will manage Everest Apothecary, Inc. and will be for $38 million in a combination of cash, a four-year seller note, and Company stock. It is expected to close in 2Q23.

Who is Everest? Everest is a not-for-profit company established in 2016 consisting of 14 dispensaries located in Albuquerque, Santa Fe, Las Cruces, Los Lunas, Sunland Park, Belen, and Texico, and also consists of approximately 16,000 square feet of cultivation and a 8,500 square foot manufacturing facility. The acquisition is similar to the R. Greenleaf acquisition done by Schwazze in 2022, where 10 dispensaries, four cultivation facilities, and a manufacturing facility were acquired for $42 million.

Announced Acquisition to Increase Schwazze’s New Mexico Retail Store Count to 32

Transaction Provides Expanded Coverage Throughout State

DENVER, April 25, 2023 /CNW/ – Medicine Man Technologies, Inc., operating as Schwazze, (OTCQX: SHWZ) (NEO: SHWZ) (“Schwazze” or the “Company”), announced that it has signed definitive documents to acquire certain assets of Sucellus, LLC, pursuant to which the Company will manage Everest Apothecary, Inc., a New Mexico not-for-profit corporation (“Everest“). The proposed transaction includes retail dispensaries, cultivation, and manufacturing facilities.  

   

The consideration for the proposed acquisition is US$38M and will be paid in a combination of cash, a four-year seller note and Company common stock. The acquisition is expected to close in the second quarter of 2023, upon receipt of approval from the New Mexico Regulation and Licensing Department.

Established in 2016, Everest is a New-Mexico-based licensed medical and recreational cannabis provider that consists of 14 dispensaries, one cultivation facility and one manufacturing plant. The dispensaries are located in Albuquerque, Santa Fe, Las Cruces, Los Lunas, Sunland Park, Belen, and Texico. Everest’s approximately 16,000 square feet of cultivation and 8,500 square foot manufacturing facility are located in Albuquerque.

This acquisition increases the Company’s retail consumer base and furthers Schwazze’s growth efforts in the New Mexico market, which upon transaction closing will bring the Company’s total number of New Mexico dispensaries to 32 with over 450 Schwazze employees. https://everestnm.com/products/

Since April 2020, Schwazze has acquired, opened, or announced the planned acquisition of 60 cannabis retail dispensaries (bannered as Star Buds, Emerald Fields, R. Greenleaf, Standing Akimbo, and Everest) as well as eight cultivation facilities and three manufacturing plants across Colorado and New Mexico. In May 2021, Schwazze announced its Biosciences division, and in August 2021, it commenced home delivery services in Colorado.

Acquisition. Piggybacking on a year’s worth of operating experience in the New Mexico medical cannabis market, Schwazze is expanding into the Colorado medical cannabis market with the acquisition of medical cannabis dispensary Standing Akimbo located in Denver. Standing Akimbo management will remain with Schwazze.

Transaction Details. Schwazze is paying $10.54 million for the acquisition, split into $1.0 million of cash, $5.54 million of SHWZ common stock, and $4.0 million of deferred cash payments. The transaction is expected to close in the third quarter of 2023. This brings the number of Schwazze dispensaries in Colorado to 29, assuming all announced acquisitions close.
