Overview. For the full year 2025, MariMed reported record revenue as well as the sixth consecutive year of positive adjusted EBITDA. Wholesale was once again the star performer, with sales increasing 11% y-o-y. MariMed increased its distribution footprint penetration to 85% of the dispensaries in its core markets.

4Q25 Results. Revenue of $41.7 million rose 7.2% y-o-y and exceeded our $40.5 million estimate. Better than expected retail sales drove the results. Adjusted gross margin came in at 39.9% versus 43.2% last year. Adjusted EBITDA totaled $4.4 million, down from $5.9 million in 4Q24. MariMed reported adjusted net income of $2.2 million, compared to a net loss of $3.1 million in 4Q24.

FOURTH QUARTER 2025 OPERATIONAL HIGHLIGHTS

During the fourth quarter, the Company announced the following developments in the implementation of its strategic growth plan:

  • October 23:   Announced a licensing agreement with Farm 2 Hand, LLC, a New York State cannabis license holder. The agreement will enable the Company to distribute its portfolio of products throughout New York upon completion of a kitchen it is building with Farm 2 Hand and receipt of regulatory approvals.
  • October 28:   Announced the Company’s exit from the Missouri market, following a strategic review of its business in the state, allowing MariMed to focus resources on higher-return opportunities within its core markets.   
  • November 3:   Announced manufacturing and distribution agreements to support the planned launch of the Company’s Vibations™ beverage brand into the hemp-derived THC market, beginning with Rhode Island in 2026.

OTHER DEVELOPMENTS

Subsequent to the end of the fourth quarter, the Company announced the following development:

  • March 2:  Announced a Restructuring and Exchange Agreement with the holders of its $14.725 million Series B Convertible Preferred Stock. The Agreement eliminated the Company’s February 28. 2026 mandatory conversion date obligation and replaced it with a combination of long-dated instruments. The transaction extends the weighted average maturity of the obligation to 4.6 years, reducing near-term refinancing risk and enhancing the Company’s liquidity profile.

DISCUSSION OF NON-GAAP FINANCIAL MEASURES

MariMed’s management uses several different financial measures, both GAAP and non-GAAP, in analyzing and assessing the overall performance of its business, making operating decisions, and planning and forecasting future periods. The Company has provided in this release several non-GAAP financial measures: Non-GAAP Gross margin, Non-GAAP Net income (loss), Non-GAAP Adjusted EBITDA and non-GAAP Adjusted EBITDA margin, as supplements to Revenue, Gross margin, Net (loss) income and other financial measures prepared in accordance with GAAP.

Management believes these non-GAAP financial measures are useful in reviewing and assessing the performance of the Company, and when planning and forecasting future periods, as they provide meaningful operating results by excluding the effects of expenses that are not reflective of its operating business performance. In addition, the Company’s management uses these non-GAAP financial measures to understand and compare operating results across accounting periods and for financial and operational decision-making. The presentation of these non-GAAP measures is not intended to be considered in isolation or as a substitute for the financial information prepared in accordance with GAAP.

Management believes that investors and analysts benefit from considering non-GAAP financial measures in assessing the Company’s financial results and its ongoing business, as it allows for meaningful comparisons and analysis of trends in the business. (“MariMed” or “the Company”) (CSE: MRMD) (OTCQX: MRMD), a leading cannabis consumer packaged goods company and retailer, announced today that it has entered into a Restructuring and Exchange Agreement (the “Agreement”) with the holders (the “Holders”) of its $14.725 million Series B Convertible Preferred Stock (the “Series B Obligation”). The restructuring extends the maturity of the Company’s obligations on favorable market terms.

The Agreement eliminates the Company’s February 28, 2026 mandatory conversion date obligation and replaces it with a combination of long-dated instruments. As a result, the transaction extends the weighted average maturity of the obligation 4.6 years, significantly reducing near-term refinancing risk and enhancing the Company’s liquidity profile.

Under the Agreement, the Company issued:

  • a $2 million promissory note maturing in March 2028, bearing interest at 8 percent with a two-year term;
  • a $6 million promissory note maturing in March 2031, bearing interest at 10 percent with a five-year term; and
  • $6.725 million of Series B Convertible Preferred Shares, valued at $0.25 per share, which are subject to mandatory conversion in February 2031, unless converted earlier pursuant to its terms.

Rescheduling. In what many are calling the single greatest cannabis reform in U.S. history with far-reaching benefits for years to come, President Trump signed an Executive Order to speed up the rescheduling of marijuana from Schedule I to the less severe Schedule III by directing the Attorney General to “complete the rulemaking process” around rescheduling marijuana to Schedule III “in the most expeditious manner in accordance with Federal law.”

Brand Strength. To illustrate the strength of MariMed’s brands, during the quarter in Illinois, the Company experienced a 23% sequential sales increase despite sales being down statewide 1.5%, according to Hoodie. In Massachusetts, MariMed sales increased 5% sequentially, compared to a 2% decline in the state, again according to Hoodie.

Wholesale. In terms of Wholesale, MariMed has achieved 75% penetration across all of its markets, excluding Missouri, leaving significant white space for future growth. The next step is to increase the breadth of relationship with customers, garnering additional shelf space for MariMed product.

Overview. During the third quarter, MariMed continued to make progress on becoming a top-selling, national consumer cannabis brand. The Company had another strong quarter of wholesale sales, which is a core component of the ‘Expand the Brand’ growth strategy. Management improved profitability through disciplined cost management and operational efficiencies during the quarter.

3Q25 Results. Revenue came in at $40.8 million, up from $40.6 million in the year ago period, but below our $43 million estimate. MariMed delivered sequential growth in both wholesale and retail revenues in 3Q25. Adjusted gross margin was 41% versus 43% in 3Q24. Adjusted EBITDA increased to $5.1 million, or 13% margin, compared to $4.7 million and 12% in 3Q24. We were at $6 million. MariMed reported an adjusted net loss of $1.5 million in 3Q25 versus adjusted net income of $0.5 million in 3Q24.

An Exit. As noted in its 2Q25 call, MariMed undertook a review of its Missouri operations and has determined to exit the market, effective immediately. Exiting Missouri is expected to improve the Company’s overall financial performance, particularly gross margin and adjusted EBITDA, and allow management to focus resources on higher return opportunities, such as markets where the Company has established retail and wholesale operations.

Background. Since 2024, the Company has managed the Missouri operations of another licensed cannabis operator and distributed certain of its brands there under a Managed Services and Licensing Agreement, while awaiting license transfer approval from the state. The Company only began generating revenue in Missouri at the tail-end of 2024. While MariMed’s brands performed well where available, reaching scale in the state would require significant resources, resources that management believes can be better utilized in its core markets. Nonetheless, the Company will consider licensing opportunities in Missouri with a vertical operator.

Since 2024, the Company has managed the Missouri operations of another licensed cannabis operator and distributed certain of its brands there under a Managed Services and Licensing Agreement, while awaiting license transfer approval from the state. The Company will no longer manage the facility and will no longer seek the license transfer.

MariMed continues to own or manage revenue-generating operations in six states, including 13 dispensaries and six cultivation and processing facilities in Delaware, Illinois, Maryland, Massachusetts, Ohio, and Pennsylvania. Exiting Missouri is expected to improve the Company’s overall financial performance, particularly gross margin and adjusted EBITDA, and allow management to focus resources on higher return opportunities.

New York. Continuing its market expansion, MariMed announced a licensing agreement with Farm 2 Hand, LLC, a New York State cannabis license holder, that will introduce the Company’s top-selling portfolio of products throughout New York State. Terms of the agreement were not disclosed. This expansion follows on the heels of the earlier Pennsylvania and Maine expansions, significantly increasing MariMed’s total addressable market, in our view.

Details. Farm 2 Hand intends to manufacture and distribute a variety of MariMed’s edible products as permitted under New York regulations. Those are initially expected to include Betty’s Eddies fruit chews, Bubby’s Baked goods, and InHouse gummies.
