OVERLAND PARK, Kan.–(BUSINESS WIRE)– SelectQuote, Inc. (NYSE: SLQT) (the “Company”), a leading distributor of Medicare insurance policies and owner of a rapidly-growing healthcare services platform, today announced that the Company signed a $350 million strategic investment from funds managed by Bain Capital, Morgan Stanley Private Credit, and Newlight Partners.

The transaction positions the Company to continue growing its healthcare services business, deepening its relationship with carrier partners and providing choice and value for consumers. This investment will allow the Company to recapitalize its balance sheet, to lower its annual cash debt service, and to provide liquidity and increase operating flexibility to fund growth initiatives. The Company’s successful renegotiation of its Senior Secured Credit Facility provides a lower interest rate on the remaining balance.

This investment will accelerate the Company’s effort to optimize its capital structure as it continues to explore accretive, strategic solutions with its insurance carrier partners and to grow its rapidly expanding healthcare services business.

Additionally, SelectQuote is appointing Chris Wolfe of Bain Capital and Srdjan Vukovic of Newlight Partners to the Board of Directors, each bringing over 20 years of investing and healthcare sector experience to the Company. SelectQuote anticipates Mr. Wolfe and Mr. Vukovic will join the Board upon the closing of the transaction, expected to be on February 28, 2025.

Mr. Wolfe has more than 20 years of experience in healthcare and insurance private equity investing.

(NYSE: SLQT) reported consolidated revenue for the second quarter of fiscal year 2025 of $481.1 million compared to consolidated revenue for the second quarter of fiscal year 2024 of $405.4 million. Consolidated net income for the second quarter of fiscal year 2025 was $53.2 million compared to consolidated net income for the second quarter of fiscal year 2024 of $19.4 million. Finally, consolidated Adjusted EBITDA* for the second quarter of fiscal year 2025 was $87.5 million compared to consolidated Adjusted EBITDA* for the second quarter of fiscal year 2024 of $67.4 million.

SelectQuote Chief Executive Officer, Tim Danker, remarked, “SelectQuote delivered impressive results during our fiscal second quarter despite a historically disruptive Annual Enrollment Period. Segment Results

We currently have three reportable segments: 1) Senior, 2) Healthcare Services and 3) Life. The performance measures of the segments include total revenue and Adjusted EBITDA.* Costs of commissions and other services revenue, cost of goods sold-pharmacy revenue, marketing and advertising, selling, general, and administrative, and technical development operating expenses that are directly attributable to a segment are reported within the applicable segment. Indirect costs of revenue, marketing and advertising, selling, general, and administrative, and technical development operating expenses are allocated to each segment based on varying metrics such as headcount. Adjusted EBITDA is our segment profit measure to evaluate the operating performance of our business. We define Adjusted EBITDA as income (loss) before income tax expense (benefit) plus: (i) interest expense, net; (ii) depreciation and amortization; (iii) share-based compensation; (iv) goodwill, long-lived asset, and intangible assets impairments; (v) transaction costs; (vi) loss on disposal of property, equipment and software, net; (vii) other non-recurring expenses and income; (viii) changes in fair value of warrant liabilities. Q2 beat. The company reported fiscal year Q2 revenue of $481.1 million and adj. EBITDA of $87.5 million, better than our estimates of $416.7 million and $50.0 million, respectively. Strong agent close rates during the Medicare Advantage Annual Enrollment Period (AEP) were an important contributor to the impressive results. Notably, the Senior segment generated an impressive 39% adj. EBITDA margins in the quarter, 700 basis points year over year.

Raising guidance. Management guided fiscal 2025 revenue and adj. EBITDA to $1.5 billion – $1.575 billion, and $115 million – $140 million, respectively. Solid FY Q1 results. The company reported fiscal Q1 revenue growth of 26% to $292.3 million, better than our estimate of $275.1 million. Margins were also better than we anticipated; an adj. EBITDA loss of $1.7 million was significantly better than our estimate of a loss of $6.6 million.  

Agents performing well. The company has a high concentration of tenured agents, who performed well in the quarter. De-levering effort takes a step forward. On October 15, the company completed its previously announced securitization of a portion of its commission receivables, resulting in $100 million of newly issued securitized notes. With the proceeds, the company is paying down $100 million of its existing term loans. Importantly, the company also extended the maturities of the balance of its term loans to late 2027 (previously maturing in early 2025).

Attractive financing option. The average effective interest rate on the newly issued securitized loans is roughly 8.5%, significantly better than the company’s term loan effective rate (nearly 15%). Moreover, the newly created asset backed securities are investment grade and the company could offer the product to third-party asset managers in the future. Given that it has roughly $1 billion in commission receivables, we believe securitization is a powerful debt reduction tool for the company

Acquired e-TeleQuote. On October 1, GoHealth announced that it closed on its acquisition of e-TeleQuote, one of its peers in the Medicare insurance marketplace landscape. The deal was originally announced in early September. In our view, the terms of the transaction were highly favorable to the company as the deal appears to be immediately accretive to the company’s balance sheet.

Favorable Terms. The company acquired e-TeleQuote through a creative agreement, in which it invested $5 million for a roughly 19% stake in the business through newly issued shares. At that time, the previous owner relinquished its 81% stake, leaving GoHealth as the sole shareholder.  This left the company with all the assets on the e-TeleQuote balance sheet, with over $18 million in cash (including the $5 million paid by GoHealth) and over $100 million in contract assets. The company also gains almost 400 experienced agents.

Strong fiscal Q4. SelectQuote’s fiscal Q4 revenue of $307.2 million and adj. EBITDA of $14.4 million exceeded our estimates of $271.3 million and a loss of $2.2 million, respectively.  In our view, the strong performance demonstrated the power of the company’s synergistic business model, which serves consumers’ needs both for insurance policies and pharmacy services. 

Pharmacy momentum. Total revenue grew an impressive 38% over the prior year period, driven largely by the company’s Healthcare Services segment, which is comprised primarily of SelectRx (home-direct pharmacy business). Demonstrating model integrity. During the quarter, the company reaffirmed 94,000 health insurance policies, even though such outcomes do not generate incremental revenue for the company. Q4 results below expectations. The company reported Q4 revenue of $276.7 million, 23.6% below our forecast of $362.0 million. Adj. EBITDA in the quarter was $57.0 million, below our forecast of $116.1 million. The weaker than expected results were due in large part to low Medicare Advantage plan turnover, which limited the total revenue from new policy sales in the quarter.


Low plan turnover. Management noted that the average incremental benefits added to Medicare Advantage plans in 2023 was lower than usual, which resulted in less plan switching by Medicare Advantage enrollees. Of the more than 300,000 consumers it served, GoHealth’s PlanFit Checkup recommended that roughly 1/3 of them stay with their existing plans.
