Overview. Great Lakes reported solid 4Q25 results in its likely last quarter as a public company. A full quarter of work from the Amelia Island and higher capital and offshore energy revenue drove the results. Offshore energy revenue rose to $24.1 million in the quarter, up from $6.1 million in 3Q25. Higher costs associated with the pending merger and increased incentive compensation impacted operating income, which rose to $32.6 million from $30 million in 4Q24.
4Q25 Results. Revenue was $256.5 million, up from $202.8 million in 4Q24 and above our $220.5 million estimate. Adjusted EBITDA totaled $44 million compared to $40.2 million last year and in-line with our $44.5 million estimate. Previously Announced Saltchuk Transaction
On February 11, 2026, Great Lakes announced that it had entered into a definitive agreement for Saltchuk Resources, Inc. (“Saltchuk”) to acquire the Company. The closing of the transaction will be subject to customary closing conditions, including the expiration of the Hart-Scott-Rodino Act waiting period and the tender of shares representing at least one share more than a majority of Great Lakes’ outstanding shares of common stock, and is expected to close in Q2 2026.
Offshore Energy
Great Lakes entered into two new international offshore energy contracts with a major offshore wind developer. The awarded work will keep the Acadia utilized in Europe for the majority of 2027.
Operational Update
Fourth Quarter 2025
Revenue was $256.5 million, an increase of $53.7 million from the fourth quarter of 2024. The higher revenue in the fourth quarter of 2025 was due primarily to the first full quarter of the Amelia Island working and higher capital and offshore energy revenue as compared to the same period in the fourth quarter last year, partially offset by lower coastal protection and maintenance project revenue.
Gross profit of $53.6 million increased from the fourth quarter of 2024 gross profit of $48.9 million primarily due to improved project performance. Gross profit margin decreased to 20.9% from 24.1% in the fourth quarter of 2024 primarily due to increased drydocking expenses.
Operating income was $32.6 million, increasing from $30.0 million in the prior year’s fourth quarter primarily due to the improved gross profit partially offset by higher general and administrative expenses primarily due to increased incentive compensation and expenses related to the Saltchuk transaction.
Net income was $12.6 million, decreasing from net income of $19.7 million in the prior year fourth quarter. The decrease was primarily driven by an $8.1 million one-time expense, net of tax impact, from the extinguishment of our second lien notes. Excluding this one-time expense, adjusted net income was $20.7 million.
Full Year 2025
Revenue was $888.3 million, an increase of $125.6 million from 2024. The higher revenue in 2025 was due primarily to the delivery of the Amelia Island and higher capital, coastal protection, and offshore energy revenues, partially offset by decrease in maintenance revenue.
Gross profit and gross profit margin of $203.5 million and 22.9%, respectively, increased from full year 2024 gross profit and gross profit margin of $160.6 million and 21.1%, respectively. The increases were driven by higher revenues as well as improved utilization and project performance in the current year.
Operating income for the full year 2025 was $127.8 million, which is a $35.0 million improvement from the prior year. The year-over-year increase is primarily a result of higher gross profit in the current year when compared to prior year, partially offset by higher general and administrative expenses primarily due to increased incentive pay in the current year when compared to prior year.
Net income for the full year 2025 was $73.5 million, which is a $16.2 million improvement compared to $57.3 million for the full year 2024. This increase is primarily driven by improvements to operating income in the current year when compared to prior year, partially offset by an increase in the income tax provision in the current year when compared to prior year as well as by the $8.1 million one-time expense, net of tax impact, from the extinguishment of our second lien notes. Excluding this one-time expense, adjusted net income was $81.6 million.
Balance Sheet, Backlog & Capital Expenditures
At December 31, 2025, the Company had $13.4 million in cash and cash equivalents, total long-term debt of $378.2 million and liquidity of over $330 million.
At December 31, 2025, the Company had $763.2 million in dredging backlog compared to $1.2 billion at December 31, 2024. Dredging backlog as of December 31, 2025 does not include approximately $200.2 million of awards and options pending.
At December 31, 2025, the Company had $124.8 million in offshore energy backlog compared to $44.9 million at December 31, 2024. Offshore energy backlog does not include approximately $2.9 million of options pending.
Total capital expenditures for the full year 2025 were $143.9 million including $69.1 million for the construction of the Acadia, $32.3 million for the Amelia Island, $13.7 million for support equipment, and $28.8 million for maintenance and growth.

Use of Non-GAAP Measures
Adjusted EBITDA, as provided herein, represents net income from continuing operations, adjusted for net interest expense, income taxes, depreciation and amortization expense, debt extinguishments, accelerated maintenance expense for new international deployments, goodwill or asset impairments and gains on bargain purchase acquisitions. Adjusted EBITDA is not a measure derived in accordance with GAAP. The Company presents Adjusted EBITDA as an additional measure by which to evaluate the Company’s operating trends. The Company believes that Adjusted EBITDA is a measure frequently used to evaluate the performance of companies with substantial leverage and that the Company’s primary stakeholders (i.e., its stockholders, bondholders and banks) use Adjusted EBITDA to evaluate the Company’s period to period performance. Additionally, management believes that Adjusted EBITDA provides a transparent measure of the Company’s recurring operating performance and allows management to readily view operating trends, perform analytical comparisons and identify strategies to improve operating performance. For this reason, the Company uses a measure based upon Adjusted EBITDA to assess performance for purposes of determining compensation under the Company’s incentive plan. Adjusted EBITDA should not be considered an alternative to, or more meaningful than, amounts determined in accordance with GAAP including: (a) net income as an indicator of operating performance or (b) cash flows from operations as a measure of liquidity. To Be Acquired. Yesterday, Great Lakes announced a definitive agreement for Saltchuk Resources, Inc. to acquire Great Lakes for $17 per share, in cash, an aggregate equity value of $1.2 billion, and a total transaction value of $1.5 billion. The $17 per share consideration is in line with our $17 price target on GLDD shares. The per share purchase price represents a 25% premium to Great Lakes’s 90-day volume-weighted average price as of February 10, 2026, as well as a 5% premium to the Company’s all-time high closing price.
A Surprise. We are somewhat surprised by the timing as Great Lakes has substantially completed its new build program and should begin to generate substantial amounts of free cash flow that could be used to repay outstanding debt, repurchase shares, or grow the business. Nonetheless, shareholders are receiving a premium to the shares’ all-time high closing price.

Updated Model. We tweaked our 4Q25 projections to include higher expected interest expense and the projected $3 million charge related to the payoff of the second lien term loan. As a result, our 4Q25 EPS estimate drops to $0.22 from a prior $0.26. The drop is not related to operational performance, and the debt swap will reduce overall interest expense going forward.
Cash Flow. With the completion of the new build program in early 2026, we expect Great Lakes to use the substantial free cash flow generation towards debt reduction. Over the past 5 years, capex has averaged $136 million annually. Roughly $25 million is for maintenance capex, and we do expect some additional capex as Great Lakes modernizes its fleet. Nonetheless, we estimate there should be at least $90 million on an annual basis for debt reduction.

3Q25 Results. Revenue was $195.2 million, up $4 million y-o-y, although slightly below our $200 million estimate. Adjusted EBITDA totaled $39.3 million, or a 20.1% margin, up from $27 million in 3Q24, and above our $30.5 million estimate. Great Lakes reported EPS of $0.26, up from $0.13 in 3Q24 and our $0.16 projection. Results were driven by high equipment utilization and strong project execution.
Backlog. During the third quarter, Great Lakes was awarded new projects totaling $136 million, for a quarterly book-to-bill of 0.7x. Dredging backlog stood at $934.5 million as of the end of the third quarter, with an additional $193.5 million in low bids and options pending award, providing revenue visibility for the remainder of 2025 and well into 2026. Debt Restructuring. Yesterday, Great Lakes announced it completed an amendment to its existing Revolving Credit Facility, upsizing the facility by $100 million to $430 million and extending its maturity to October 2030 from June of 2029. We believe the expansion of Great Lakes’ revolving credit facility highlights the strength of the Company’s business and its credit profile.
Second Lien Payoff. Significantly, as part of this transaction, the Company utilized the increased revolver capacity to fully repay the $100 million second lien notes issued in 2024. This will save the Company some $6 million per year in interest expense. Great Lakes’ balance sheet remain solid, with no debt maturities until 2029 and a weighted average interest rate now under 6%.

More Business. Over the past month, Great Lakes continued to be awarded additional business, according to the Department of War’s daily contract awards release. In total, the announced awards (and recall not all awards are included in the daily notice), totaled approximately $80 million, demonstrating Great Lakes’ operating capabilities as well as the ongoing demand from the government.
September. Most recently, Great Lakes was awarded a $27.9 million firm-fixed-price contract for the removal and disposal of hopper dredge material. Work will be performed in Venice, Louisiana, with an estimated completion date of April 7, 2026. Fiscal 2025 civil operation and maintenance funds in the amount of $27.9 million were obligated at the time of the award.

2Q25 Results. Revenue was $193.8 million, compared to $170 million a year ago. We had forecast revenue of $175.5 million. Gross margin improved to 18.9% from 17.5% in the year ago quarter. Great Lakes reported adjusted EBITDA of $28 million in the quarter and EPS of $0.14. In 2Q24, the Company had adjusted EBITDA of $25.8 million and EPS of $0.11.
Drivers. Great Lakes delivered another solid quarter, supported by strong project execution, continued strength in capital dredging, and favorable equipment utilization, even with the headwinds of four dredges undergoing their regulatory drydocking at various points during the quarter.

Awards. Yesterday, Great Lakes provided an update on some recent awards. Each of the awards adds to the Company’s significant backlog, which stood at approximately $1 billion with an additional $265 million in low bids and options pending award at the end of the first quarter. The large backlog, with a majority being higher margin capital projects, provides strong visibility for 2025 and into 2026.
Woodside LNG. The Company received Notice to Proceed from Bechtel Energy for dredging work on the Woodside Louisiana LNG project. HOUSTON, June 30, 2025 (GLOBE NEWSWIRE) — Great Lakes Dredge & Dock Corporation (“Great Lakes” or the “Company”) (NASDAQ: GLDD), the largest provider of dredging services in the United States, announced today the receipt of four work awards.
Charleston Entrance Channel (Maintenance, South Carolina, $10.8 million)
GLDD has received Notice to Proceed from Bechtel Energy for dredging work on the Woodside Louisiana LNG project, in the vicinity of Lake Charles, LA, along the Calcasieu River ship channel. The first phase of work, which was awarded in the second quarter of 2025, includes construction of a ship berthing basin for use by large LNG carriers, with potential for award of two options to expand the scope for construction of additional ship berths. All dredged materials will be placed into designated Beneficial Use of Dredged Material (BUDM) areas for marshlands restoration, providing ecological benefit and storm surge protection for the surrounding area. Dredging operations are expected to commence early 2026.
The Galveston Entrance Channel and Houston Ship Channel from Bolivar to Redfish maintenance project, which was awarded in the second quarter of 2025, involves dredging to maintain operating depths for the channel area. Suitable maintenance material dredged from specific sections of the channel will be disposed of on Galveston Island Beach for beneficial use. The client on this project is the U.S. Army Corps of Engineers, Galveston District. The project is funded by both the Federal Government and the City of Galveston, in partnership with the General Land Office (GLO). Work is expected to start in the third quarter of 2025 with estimated completion in the fourth quarter of 2025.
The Mississippi River Hopper Dredge Contract No. 3, which was won and awarded in the second quarter of 2025, involves rental of a trailing suction hopper dredge for maintenance dredging on the Mississippi River from Baton Rouge to Gulf of Mexico Southwest Pass. The client on this project is the U.S. Army Corps of Engineers, New Orleans District and is federally funded. Work started in May of 2025.
The Charleston Entrance Channel project, which was included in the fourth quarter 2024 low bids pending award and awarded in the first quarter, involved dredging to maintain operating depths for the channel. The client on this project was the U.S. Army Corps of Engineers and was federally funded. Work started in the first quarter of 2025 and was completed in the second quarter of 2025.

New Award. In Friday’s Department of Defense contract releases, Great Lakes was awarded a new $35.8 million dredging contract for Galveston, TX. The contract should be completed by the beginning of November 2025. We view this as Great Lakes filling in the very limited open 2025 calendar.
Empire 1 Restarted. In mid-May, the stop work order on the Empire 1 offshore wind project was lifted allowing construction activities to resume. Equinor will perform an updated assessment of the project economics in the second quarter. Empire aims to be able to execute planned activities in the offshore installation window in 2025 and reach its planned commercial operation date in 2027. Empire will engage with suppliers and regulatory bodies to reduce the impact of the stop work order. This is positive news for the still under construction Acadia.

Exceptional Quarter. Driven by strong project performance and high utilization, as all active dredges were operational, Great Lakes generated exceptional operating results in the quarter, significantly exceeding our, and consensus, estimates. While, planned drydockings will impact future quarters, the $1+ billion backlog and strong operating environment bode well for the Company.
1Q25 Results. Revenue of $242.9 million in 1Q25 was up 22.3% from $198.7 million in 1Q24, and above our $215.5 million estimate. Gross margin improved to 28.6% from 22.9% last year and our 21.1% estimate. Adjusted EBITDA was $60.1 million versus $42.9 million in 1Q24 and our $39.5 million estimate. Net income for 1Q25 totaled $33.4 million, or $0.49/sh, up from $21.0 million and $0.31/sh last year. We had an estimated net income of $17 million or $0.25/sh.
