Strategic Capital and Governance Actions
Secured new senior secured superpriority term loan facility, including $80.0 million in new-money term loans and $35.0 million in roll-up loans, to support working capital and strategic flexibility heading into the Medicare annual enrollment period.
Expect additional liquidity in the term loan to allow us to maintain compliance with our debt covenants and fund our operations for the next 12 months and beyond.
Amended existing credit agreement to waive near-term principal payments through 2026 and reset financial covenants.
Created debt basket capacity of up to $250.0 million under the new superpriority term loan facility and amended credit agreement, to pursue potential transformative transactions.
Issued an aggregate of 4,766,219 shares of Class A common stock to lenders, reinforcing alignment with long-term stockholder value creation.

Amended credit agreement. On June 30, the company announced an amendment to its credit agreement, extending the maturity of the company’s Class A Revolving Commitments from Q2 end to Q3 end. Moreover, any interest due on the revolver and refinanced term loans through that date will be paid in-kind. The amendment also waived financial covenant testing for Q2 and Q3, offering the company a temporary liquidity reprieve.
Cost of amendment. As part of the amendment, GoHealth will pay a 1.00% amendment fee to consenting lenders, which, along with all interest through September 30, will be paid in-kind and added to the principal balance of its loans. As a result, we estimate these provisions will increase the company’s outstanding debt by approximately $6 million.

(NASDAQ: GOCO), a leading health insurance marketplace, today announced it has entered into an amendment with its lenders under the Company’s existing credit agreement in order to, among other things, provide covenant adjustments as well as extend the maturity of the Company’s revolving credit facility through September 30, 2025. The amendment also provides consent for the Company to pursue a receivables financing (such consent also covering a securitization transaction) as the parties continue to work toward a comprehensive financing plan intended to alleviate the Company’s recent going concern position, strengthen the Company’s financial foundation, provide flexibility and position GoHealth for future sustainable and cash generating growth.

Strong Q4. The company delivered impressive Q4 results driven by strong market dynamics during the Medicare Advantage Annual Enrollment Period (AEP). Quarterly revenue of $389.1 million was 16% stronger than our estimate of $336.0 million, and adj. EBITDA of $117.8 million exceeded our estimate of $80.4 million by 47%.

Third Quarter Highlights
Third quarter 2024 net revenues of $118.3 million, a $13.7 million decrease compared to $132.0 million in the prior year period.
Third quarter 2024 Submissions were 166,195, a 2.9% increase compared to 161,550 Submissions in the prior year period, with strong contributions from GoHealth’s internal captive agents, partially offset by a decline in Submissions from the external GoPartner Solutions (“GPS”) agents.
Third quarter 2024 net income of $15.4 million, an improvement of $71.6 million compared to a net loss of $56.2 million in the prior year period.
Third quarter 2024 Adjusted EBITDA(1) of negative $12.1 million, a decrease of $0.6 million compared to negative $11.5 million in the prior year period.
