Building on the 2022 program. In 2022, Garibaldi tested targets from the 2021 Geotech deep-penetrating Z-Axis Tipper Electromagnetic (ZTEM) survey at the company’s E&L nickel-copper-cobalt massive sulphide project. Two holes were successful, including a deep hole which intersected two intervals of E&L gabbro more than 200 meters down plunge from previous drilling and nickel-bearing disseminated and semi-massive sulphide mineralization. The two successful drill holes are lined with polyvinyl chloride (PVC) and Garibaldi intends to conduct a geophysical borehole electromagnetic (BHEM) survey to aid the 2023 drilling program. We will be interested in the outcomes from the BHEM survey, particularly if it reveals any conductors off-hole.

Upcoming drill program. Drilling in 2023 will test for mineralization associated with broad low-resistivity anomalies identified in the Geotech survey. While subject to change, the 2023 drill program will likely commence in early July and entail three to four holes at the E&L target, two holes of approximately 500 meters depth at the B1 target, and two holes at the Palm Springs property. Drilling at E&L will focus on areas within the ZTEM anomaly tested in 2022. We expect the drill program to conclude at the end of October.

A look back at 2022. The 2022 drill program at Garibaldi’s 100% owned E&L nickel-copper-cobalt massive sulphide project tested targets from the 2021 Geotech deep penetrating Z-Axis Tipper Electromagnetic (ZTEM) survey. Of four holes drilled, two were successful, including Hole EL-22-97b, a deep hole which intersected two intervals of E&L gabbro more than 200 meters down plunge from previous drilling and intersected nickel-bearing disseminated and semi-massive sulphide mineralization. Hole EL-22-97b targeted the down plunge extension of the eastern zone of the E&L intrusion, coincident with a large-scale low resistivity/elevated conductivity ZTEM anomaly identified in 2021. The two successful drill holes are lined with polyvinyl chloride (PVC) and Garibaldi intends to conduct a geophysical borehole electromagnetic (BHEM) survey to refine holes to be drilled in 2023.

Enhancing financial flexibility. In December, Garibaldi closed the sale of 9,237,334 flow-through units at a price of C$0.30 per unit for gross proceeds of C$2,771,200. Each unit is comprised of one flow-through common share and one-half of one common share purchase warrant. Each whole warrant is exercisable at C$0.45 per common share for a period of three years. The company also sold 800,000 non-flow-through units at C$0.25 per unit for total proceeds of C$200,000. Each unit is comprised of one non-flow-through common share and one-half of one common share purchase warrant. Each whole warrant is exercisable at C$0.40 per common share for a period of three years. In December, Garibaldi sold a non-core British Columbia exploration and evaluation asset for C$400,000.

Looking ahead to 2023. Drilling in 2023 will test for mineralization associated with broad ZTEM low-resistivity anomalies identified by a property wide Geotech ZTEM survey. We think the 2023 drill program could commence as early as June or July and entail three to four holes at the E&L target, two holes of approximately 500 meters depth at the B1 target, and two holes at the Palm Springs property. Drilling at E&L will focus on areas within the ZTEM anomaly tested in 2022.

First tranche of funding closed. Garibaldi closed the first tranche of a private placement financing announced in late November. Garibaldi sold a total of 8,836,666 flow-through units at C$0.30 per unit for aggregate gross proceeds of C$2,651,000. Each unit is comprised of one flow-through common share and one-half of one common share purchase warrant. Each whole warrant is exercisable at C$0.45 per common share for a period of three years. The first tranche included the sale of 800,000 non-flow-through units at C$0.25 per unit for total proceeds of C$200,000. These broad geophysical targets track the Nickel Mountain Gabbroic Complex base metal corridor along strike of the 15-kilometer long Nickel Mountain Gabbroic Complex.

Private placement. Garibaldi announced a private placement to raise gross proceeds of up to C$4 million to advance its flagship E&L nickel-copper-cobalt project and other British Columbia properties, along with funding working capital. The offering consists of the sale of up to 10 million flow-through units (FT) at a price of C$0.30 per FT Unit for gross proceeds of up to C$3 million, and 4 million non-flow-through-units (Unit) at a price of C$0.25 per unit for gross proceeds of up to C$1.0 million. Proceeds from the sale of FT Units will be used to fund exploration, while proceeds from the sale of Units will fund working capital needs.
