LOS ANGELES, Aug. 04, 2025 (GLOBE NEWSWIRE) — FAT (Fresh. Authentic. Tasty.) Brands Inc. (NASDAQ: FAT) (the “Company”) announced today that it has entered into a stipulation of settlement to resolve two stockholder derivative lawsuits pending in the Court of Chancery of the State of Delaware (the “Court”) on behalf of the Company against certain current and former directors and officers of the Company. The stockholder derivative claims were filed in June 2021 (Case No. 2021-0511-NAC, relating to the Company’s December 2020 merger with Fog Cutter Capital Group), and March 2022 (Case No. 2022-0254-NAC, relating to the Company’s June 2021 recapitalization).

The settlement will resolve all claims asserted against the named defendants in the derivative lawsuits without any liability or wrongdoing attributed to them personally or the Company. Under the terms of the proposed settlement, the Company’s Board of Directors agreed to adopt and implement certain corporate governance modifications. In addition, the Company’s insurers will pay to the Company $10 million, from which fees and expenses of plaintiffs’ counsel will be deducted, and Fog Cutter Holdings LLC will contribute 200,000 shares of Twin Hospitality Group Inc. (NASDAQ: TWNP), to the Company.

The settlement is subject to approval of the Court, and non-objection by the United States.

Refi Discussions. On or about July 9, 2025, FAT Brands entered into a confidentiality agreement with certain Holders of notes issued by the Company’s special purpose, whole business securitization financing subsidiaries. The Confidentiality Agreement facilitated the Company’s ability to engage in discussions with the Holders regarding one or more potential transactions involving a refinancing, restructuring or similar transaction with the Holders. As part of the confidentiality agreement, FAT Brands agreed to publicly disclose certain information, which Thursday’s 8-K accomplished.

2Q25 Results. Revenue of $146.8 million declined 3.4% y-o-y, but was above our $141 million estimate. The revenue decline was driven by a decrease in restaurant revenue resulting from the closure of five underperforming Smokey Bones locations, the temporary closure of one Smokey Bones location for conversion into a Twin Peaks lodge, and lower same-store sales, partially offset by the opening of new Twin Peaks lodges. FAT Brands reported a net loss of $54.2 million, or a loss of $3.17/sh, compared to a net loss of $39.4 million, or a loss of $2.43/sh, last year. We had projected a net loss of $46 million or a loss of $2.56/sh.

Pipeline and Openings. The development pipeline remains robust with roughly 1,000 signed deals. Eighteen new locations opened during the quarter, with FAT Brands well positioned to see 100 locations open in 2025. The opening of new locations will help drive go-forward adjusted EBITDA for the Company.

Progressing. In spite of the uncertain economy, FAT Brands continued to make progress during 1Q25. A total of 23 locations were opened in 1Q25, up 37% from 1Q24. YTD, the Company has signed agreements for an additional 100-plus locations, adding to the over 1,000 location pipeline. The initial Twin Hospitality distribution was accomplished and one of the whole business securitizations was amended.

1Q25 Results. Revenue was $142 million, down from $152 million in the year ago period, impacted by a 3.4% system-wide same store sale decline and lower revenues due to the closure of one Smokey Bones location during its conversion to a Twin Peaks lodge, partially offset by revenues generated by new Twin Peaks lodges. Reported loss was $46 million, or $2.73/sh, compared to a net loss of $38.3 million, or $2.37/sh, in 1Q24.

Fazoli’s Securitization. FAT Brands amended the Fazoli’s whole business securitization credit facility. The amendments extended the repayment and call dates from January 2025 to July 2026 and from July 2023 to October 2025, respectively, while also relaxing certain covenants, providing FAT greater operational flexibility. The new agreement also permits FAT to sell off the corporate-owned Fazoli locations.

France Growth. Also, during the month, FAT announced a new partnership to expand Fatburger across France, with the opening of 30 units over the next three years, with five units expected to be opened in 2026. FAT’s partner has a vast amount of experience within the restaurant space and successfully operates their own restaurant franchise in the country.

Twin Hospitality. Significant opportunity remains at Twin Hospitality. The Company ended the year with 115 Twin Peaks lodges, having opened nine new lodges. Twin Hospitality expects to open an additional 9-11 lodges in 2025, with 6-7 franchised and an additional 10-15 lodges in both 2026 and 2027. Twin Hospitality Transaction. On Friday after the market closed, Twin Hospitality Group filed an amended Form 10 providing additional detail regarding the distribution of Twin Hospitality shares to existing FAT Brands shareholders. Business Update. With 2024 coming to a close and the focus on the Twin Hospitality distribution, we wanted to review the ongoing business in terms of new openings for additional expansion. Step 2. FAT Brands completed the second step in its anticipated planned listing of its Twin Hospitality unit as a standalone public company. FAT successfully completed the refinancing of the whole business securitization credit facility of its Twin Peaks and Smokey Bones restaurant brands.

Details. The aggregate principal balance of the new Series 2024-1 fixed rate notes is $416.7 million across four tranches with a weighted average annual interest rate of 9.5%.  The interest rate on the new notes is modestly higher than the rate on the previous securitization notes. However, the first anticipated call date goes from January 2025 to October 2027. We would point out that if the new notes are not repaid or refinanced by October 2027, additional interest equal to 5.0% per annum will accrue on each tranche of notes. The noteholders also are receiving warrants to acquire an aggregate of 5% of the Class A common stock of Twin Hospitality.
