HOUSTON, Jan. 8, 2026 /PRNewswire/ — Direct Digital Holdings, Inc. (Nasdaq: DRCT) (“Direct Digital Holdings” or the “Company”), a leading advertising and marketing technology platform operating through its companies Colossus Media, LLC (“Colossus SSP”) and Orange 142, LLC (“Orange 142”), today announced a 55-to-1 reverse stock split of all classes of its common stock. The Company expects the Class A common stock to begin trading on a split-adjusted basis on The Nasdaq Stock Market as of the commencement of trading on January 12, 2026. The reverse stock split is intended to allow the Company to regain compliance with Nasdaq’s minimum bid price requirement of $1.00 per share.
The reverse stock split was approved by Direct Digital Holdings’ Board of Directors and subsequently by its stockholders on December 30, 2025, with the authorization to determine the final ratio having been granted to, and determined by, the Board. As a result of the reverse stock split, every 55 shares of the Company’s common stock issued and outstanding will be automatically converted into one share of common stock, with no change in the $0.001 par value per share or authorized number of shares of common stock. The number of outstanding shares of Class A common stock, which is traded on Nasdaq, will be reduced from approximately 68.9 million to approximately 1.3 million, and the number of outstanding shares of Class B common stock, which is exchangeable and votes with the Class A common stock, will be reduced from approximately 9.3 million to approximately 0.2 million.
The Company’s Class A common stock will continue to trade on Nasdaq under the symbol “DRCT.” The new CUSIP number for the Class A common stock following the reverse split is 25461T204.

Instead, each stockholder will be entitled to receive a proportional cash payment in lieu of a fractional share. The Company’s transfer agent, Equiniti Trust Company, is acting as the exchange and paying agent for the reverse stock split. Q3 Results. The company reported Q3 revenue of $8.0 million, below our forecast of $14.5 million, partially driven by continued underperformance in the Sell-side business, which generated $0.6 million vs. our forecast of $5.0 million. Furthermore, while the company has been focusing on cost reductions, it has not been enough to offset the softness in the Sell-side. As such, adj. The expansion of the Equity Reserve Facility reflects the amendment to the Company’s Share Repurchase Agreement with New Circle Capital to a total capacity of $100 million in aggregate gross proceeds from the sale of Class A Common Stock.

The lawsuit alleged false and misleading disclosures made by the Company in its public filings. Converts the majority of its debt. The company announced that it has converted $25.0 million of its roughly $34.4 million in debt into a perpetual Series A Preferred Convertible Stock. The Preferred Stock will carry a cumulative annual 10% dividend, based on board of approval, and will be convertible at $2.50 per Class A common share. Following the transaction, the company will have roughly $9.4 million debt remaining under its Term Loan Facility. The move is viewed favorably.

HOUSTON, Aug. 11, 2025 /PRNewswire/ — Direct Digital Holdings, Inc. (Nasdaq: DRCT) (“Direct Digital Holdings” or the “Company”), a leading advertising and marketing technology platform operating through its companies Colossus Media, LLC (“Colossus SSP”) and Orange 142, LLC (“Orange 142”), today announced the issuance of $25 million of a new series of Series A Convertible Preferred Stock, at a premium conversion price of $2.50 per share of Class A Common Stock. The investment was made through the conversion of a portion of existing debt into the new class of perpetual convertible preferred stock. The preferred stock is redeemable in whole or in part at the Company’s direction, votes on an as-converted basis with the Class A common stock, and carries a 10% cumulative annual dividend payable if, as and when declared by the Company’s board of directors.
The investment results in a $25 million increase in the Company’s stockholders’ equity from a deficit of $24.6 million at June 30, 2025 to an estimated positive shareholders’ equity of approximately $0.4 million (subject to any other period adjustments). It further reduces the Company’s ongoing debt service by more than $3.5 million and significantly reduces maturing debt obligations in December 2026.

Second Quarter 2025 Highlights
Processed approximately 182 billion average monthly impressions through the sell-side advertising segment.
Number of sell-side advertisers increased over 30% compared to the second quarter of 2024.
Average sell-side media properties of 30,000 per month in the second quarter of 2025 increased 5% compared to the second quarter of 2024; increased 34% over the same period in 2023; and increased 26% sequentially compared to the first quarter of 2025.
Buy-side advertising segment served over 220 customers in the second quarter of 2025.
Buy-side advertising revenue for the second quarter of 2025 included $1.0 million from customers in new verticals, reflecting the Company’s ongoing expansion efforts.

Second Quarter 2025 Financial Results
Revenue of $10.1 million decreased 54% compared to $21.9 million in the second quarter of 2024. Revenue increased 24% compared to first quarter 2025.
Sell-side advertising segment revenue of $2.5 million decreased 83% compared to $14.3 million in the second quarter of 2024, primarily related to a decrease in impression inventory when compared to the second quarter of 2024.
Buy-side advertising segment revenue of $7.7 million increased slightly compared to $7.6 million in the same period of 2024.
Gross profit was $3.6 million, or 35% of revenue, compared to $5.9 million, or 27% of revenue, in the second quarter of 2024. Gross profit also increased compared to $2.4 million, or 29% of revenue, in the first quarter of 2025.
Operating expenses of $6.0 million decreased $2.0 million, or 25%, compared with $8.0 million in the same period of 2024. The reduction in operating expenses was primarily driven by decreased payroll costs related to the Company’s internal reorganization and cost saving measures to lower certain ongoing expenses.
Operating loss was $2.4 million, compared to operating loss of $2.1 million in the prior year period. Operating loss decreased 38% from $3.9 million in the first quarter of 2025.
Net loss was $4.2 million compared to net loss of $3.1 million in the second quarter of 2024.
Adjusted EBITDA loss was $1.5 million in the second quarter of 2025 compared to a loss of $1.3 million in the second quarter of 2024 and a loss of $3.0 million in the first quarter of 2025.
As of June 30, 2025, the Company held cash and cash equivalents of $1.6 million compared to $1.4 million as of December 31, 2024.
Six Months Ended June 30, 2025 Financial Results
Revenue of $18.3 million decreased 59% compared to $44.1 million in the first six months of 2024.
Sell-side advertising segment revenue of $4.5 million decreased 85% compared to $30.8 million in the first half of 2024, primarily related to a decrease in impression inventory when compared to the second quarter of 2024.
Buy-side advertising segment revenue of $13.8 million increased 3% compared to $13.3 million in the same period of 2024.
Gross profit was $6.0 million, or 33% of revenue, compared to $10.9 million, or 25% of revenue, in the first six months of 2024.
Operating expenses of $12.3 million decreased $3.5 million, or 22%, compared with $15.8 million in the same period of 2024. The reduction in operating expenses was primarily driven by decreased payroll costs related to the Company’s internal reorganization and cost saving measures to lower certain ongoing expenses.
Operating loss was $6.4 million, compared to operating loss of $4.9 million in the first half of the prior year.
Net loss was $10.1 million compared to net loss of $7.0 million in the first six months of 2024.
Adjusted EBITDA1 loss was $4.5 million in the first six months of 2025 compared to a loss of $3.0 million in the first six months of 2024.

Taking the necessary steps to remain listed. The company faces a two pronged battle to remain listed on the NASDAQ. On one front, it must address the shareholder equity deficiency. And, on the other front, it must address the stock price, which is trading below $1. We view the issues separately and believe that the company has a strategy to remain listed on both fronts.
Addressing the shareholder deficit. The company has a program to raise capital through an equity reserve facility to address its shareholder deficit issue to comply with a NASDAQ requirement. To date, the company has raised $7 million on its $20 million facility. The company could raise even more capital when it becomes S3 eligible at the end of Summer. Currently, the company is $23 million short of turning shareholder equity positive.
