Overview. CVG delivered strong year-over-year improvement in profitability despite a challenging demand environment, particularly in the North American Class 8 truck market. The continued year-over-year improvement in profitability was again driven by management’s focus on operational efficiency improvement. Another highlight of the quarter is the continued strong performance within the Global Electrical Systems segment. During the third quarter, CVG saw segment performance inflect with revenues up 6% compared to the prior year. The fourth quarter saw further acceleration, with revenues up 13% y-o-y.
4Q25 Results. Fourth quarter revenue of $154.8 million was down 5.2% y-o-y, due primarily to North American demand. NEW ALBANY, Ohio, March 10, 2026 (GLOBE NEWSWIRE) — CVG (NASDAQ: CVGI), a diversified industrial products and services company, today announced financial results for its fourth quarter and full year ended December 31, 2025.
Fourth Quarter 2025 Highlights(Compared with prior-year period, where comparisons are noted)
Revenue of $154.8 million, down 5.2% due primarily to softer North American demand.
Operating loss of $1.8 million, and adjusted operating loss of $0.9 million, improved compared to operating loss of $5.3 million and adjusted operating loss of $4.3 million. The decrease in operating loss was driven primarily by improved gross margin performance and lower SG&A expenses.
Net loss from continuing operations of $6.4 million, or $(0.19) per diluted share, compared to net loss of $35.0 million, or $(1.04) per diluted share. Net loss in the prior-year period included a non-cash tax valuation allowance of $28.8 million. Adjusted net loss from continuing operations of $6.0 million, or $(0.18) per diluted share, compared to adjusted net loss of $5.1 million, or $(0.15) per diluted share.
Adjusted EBITDA of $2.3 million, up 155.6%, with an adjusted EBITDA margin of 1.5%, up from 0.6%.
Free cash flow of $8.8 million, up $7.9 million, due to better working capital management.
Full Year 2025 Highlights(Compared with prior-year period, where comparisons are noted)
Revenue of $649.0 million, down 10.3%, driven by softer North American Class 8 production volumes.
Operating loss of $0.7 million, improved by $0.1 million, and adjusted operating income of $4.8 million, down $1.7 million. The change in adjusted operating income was due to lower sales volumes, partially offset by lower SG&A expenses.
Free cash flow of $34.0 million, up $21.5 million, due to better working capital management and reduced capital expenditures. Total debt decreased $29.1 million compared to year-ended 2024.
The Global Electrical Systems segment returned to growth driven by the contribution of new business ramps, with margin expansion supported by the continued shift of production capacity to new, lower-cost facilities in Morocco and Mexico.

Consolidated Results from Continuing Operations
Fourth Quarter 2025 Results
Fourth quarter 2025 revenues were $154.8 million compared to $163.3 million in the prior year period, a decline of 5.2%. The decrease in revenues was due to lower sales as a result of a softening in North American customer demand in the Global Seating and Trim Systems & Components segments.
Operating loss for the fourth quarter 2025 was $1.8 million compared to operating loss of $5.3 million in the prior year period. Excluding special costs, the fourth quarter of 2025 adjusted operating loss was $0.9 million, compared to adjusted operating loss of $4.3 million in 2024. The improvement in adjusted operating loss was driven primarily by improved gross margin performance and lower SG&A expenses.
Interest expense was $4.2 million and $2.2 million for the fourth quarter ended December 31, 2025 and 2024, respectively, due to higher interest rates.
Net loss from continuing operations was $6.4 million, or $(0.19) per diluted share, for the fourth quarter 2025 compared to net loss of $35.0 million, or $(1.04) per diluted share, in the prior year period.
On December 31, 2025, the Company had $16.8 million of outstanding borrowings on its U.S. revolving credit facility and $1.4 million on its China credit facility, $33.3 million of cash and $101.8 million availability from the credit facilities (subject to customary borrowing base and other conditions), resulting in total liquidity of $135.1 million.
Fourth Quarter 2025 Segment Results (Compared with prior-year period, where comparisons are noted)
Global Seating Segment
Revenues were $70.7 million compared to $74.8 million for the prior year period, a decrease of 5.6% primarily due to lower sales volume as a result of decreased customer demand.
Operating income was $1.1 million compared to $0.7 million in the prior year period, an increase of $0.4 million, primarily due to lower SG&A expenses. The fourth quarter of 2025 adjusted operating income was $1.8 million compared to $0.6 million in the prior year period, an increase of 175.9%.
Global Electrical Systems Segment
Revenues were $49.7 million compared to $44.0 million in the prior year period, an increase of 12.7%, primarily as a result of ramping new business wins.
Operating income was $0.8 million compared to operating loss of $3.0 million, an increase of $3.8 million, primarily attributable to higher sales and operating efficiencies. The fourth quarter of 2025 adjusted operating income was $0.9 million compared to adjusted operating loss of $3.0 million in the prior year period, an increase of $3.9 million.
Trim Systems and Components Segment
Revenues were $34.4 million compared to $44.4 million in the prior year period, a decrease of 22.5%, primarily due to lower sales volumes.
Operating loss was $1.5 million compared to $0.1 million in the prior year period, a decrease of $1.4 million. The decrease in operating income was primarily attributable to lower demand. The fourth quarter of 2025 adjusted operating loss was $1.4 million compared to income of $0.9 million in the prior year period.

CVG is providing the following outlook for the full year 2026:
This outlook reflects, among others, current industry forecasts for North American Class 8 truck builds. According to ACT Research’s February report, 2026 North American Class 8 truck production levels are expected to be approximately 260,000 units. The 2025 actual Class 8 truck builds according to the ACT Research was 251,247 units.
The outlook for the Construction end market reflects low-single digit growth in 2026.

Updated Estimates. We tweaked our fourth quarter 2025 estimates after speaking with management. The changes do not impact our belief in the investment case for Commercial Vehicle Group. We maintained our revenue estimate at $146 million. Gross margin has been lowered to 10.3% from 11% previously. We are now estimating an adjusted net loss of $5 million, or $0.15 per share. Adjusted EBITDA is now $2.8 million. For the full year, we are at revenue of $640.2 million and adjusted EBITDA of $18.3 million.
Green Shoots? Recent data from FTR and ACT could indicate an improved Class 8 truck environment in 2026, although we would need to see multiple months of positive developments before jumping in with both feet. According to FTR, December Class 8 truck orders of 42,200 units were the highest level since October 2022. Meanwhile, ACT raised its expectation for Class 8 production in 2026 to 246,000 units, up from a prior 205,000, and nearly flat with 2025.

Operating loss of $1.1 million, flat compared to operating loss of $1.1 million. Adjusted operating income of $1.6 million, compared to adjusted operating loss of $0.4 million. Third quarter 2025 revenues were $152.5 million, compared to $171.8 million in the prior year period, a decrease of 11.2%. The overall decrease in revenues was due to lower sales as a result of a softening in customer demand, primarily in the Global Seating and Trim Systems & Components segments.
Operating loss in the third quarter 2025 was flat compared to the prior year period at $1.1 million. Third quarter 2025 adjusted operating income was $1.6 million, compared to loss of $0.4 million in the prior year period. The increase in adjusted operating income was primarily attributable to improved gross margin performance and lower SG&A expenses.
Interest associated with debt and other expenses was $4.1 million and $2.4 million for the third quarter 2025 and 2024, respectively, due to higher interest rates.
Net loss from continuing operations was $6.8 million, or $(0.20) per diluted share, for the third quarter 2025 compared to net loss of $0.9 million, or $(0.03) per diluted share, in the prior year period. Third quarter 2025 adjusted operating income was $2.9 million compared to loss of $0.8 million in the prior year period.
Global Electrical Systems Segment
Revenues were $49.5 million compared to $46.7 million in the prior year period, an increase of 5.9%, primarily as a result of ramping new business wins.
Operating income was $0.8 million compared to loss of $1.5 million in the prior year period, an increase of $2.3 million. The increase in operating income was primarily attributable to higher sales volumes. Third quarter 2025 adjusted operating income was $1.4 million compared to loss of $0.2 million in the prior year period.
Trim Systems and Components Segment
Revenues were $34.3 million compared to $48.4 million in the prior year period, a decrease of 29.2%, primarily due to lower sales volume.
Operating loss was $0.9 million compared to an operating income of $5.4 million in the prior year period. The decrease in operating income was primarily attributable to lower demand and a gain on a facility sale in the prior period. Construction and Agriculture end markets are projected to decline approximately 5-15% in 2025. However, we expect the contribution from new business wins outside of Construction and Agriculture end markets in Electrical Systems to soften this decline.

Positives. There were a number of positives in the quarter, such as the 120 bp sequential improvement in gross margin, strong FCF generation, improved top line performance in Electrical Systems, and higher adjusted operating income in both Seating and Electrical Systems, reflecting benefits from prior restructuring actions.
But End Markets. In spite of the operating successes, CVG’s end markets remain challenged. It appears the much hoped for rebound in the Class 8 truck market will not occur in 2026, with only modest improvement in 2027. Still early days for these types of forecasts, but the Class 8 truck market is still 40% of revenue. And no real change in the Ag and Construction markets, which remain soft.

2Q25 Results. Revenue came in at $172 million, down from $193.7 million a year ago, but above our $158 million estimate. Adjusted EBITDA was $5.2 million, down from $8.2 million a year ago, and in-line with our $5 million estimate. NEW ALBANY, Ohio, Aug. 04, 2025 (GLOBE NEWSWIRE) — CVG (NASDAQ: CVGI), a diversified industrial products and services company, today announced financial results for its second quarter ended June 30, 2025.
Second Quarter 2025 Highlights(Results from Continuing Operations; compared with prior year, where comparisons are noted)
Revenues of $172.0 million, down 11.2%, primarily due to softening in global demand.
Operating income of $0.8 million, adjusted operating income of $1.9 million, down compared to operating income of $1.1 million and adjusted operating income of $4.8 million. The decrease in operating income was driven primarily by lower sales volumes.
Net loss from continuing operations of $4.1 million, or $(0.12) per diluted share and adjusted net loss of $2.9 million, or $(0.09) per diluted share, compared to net loss from continuing operations of $1.3 million, or $(0.04) per diluted share and adjusted net income of $1.5 million, or $0.05 per diluted share.
Adjusted EBITDA of $5.2 million, down 36.6%, with an adjusted EBITDA margin of 3.0%, down from 4.2%.
Free cash flow of $17.3 million, up $16.5 million, due to better working capital management. Net debt decreased $31.8 million compared to the year end 2024 level.

Second Quarter 2025 Results
Second quarter 2025 revenues were $172.0 million, compared to $193.7 million in the prior year period, a decrease of 11.2%. The overall decrease in revenues was due to lower sales as a result of a softening in customer demand across all segments.
Operating income in the second quarter 2025 was $0.8 million compared to $1.1 million in the prior year period. The decrease in operating income was attributable to the impact of lower sales volumes. Second quarter 2025 adjusted operating income was $1.9 million, compared to $4.8 million in the prior year period.
Interest associated with debt and other expenses was $2.3 million and $2.4 million for the second quarter 2025 and 2024, respectively.
Net loss from continuing operations was $4.1 million, or $(0.12) per diluted share, for the second quarter 2025 compared to net loss of $1.3 million, or $(0.04) per diluted share, in the prior year period. Second quarter 2025 adjusted net loss from continuing operations was $2.9 million, or $(0.09) per diluted share, compared to adjusted net income of $1.5 million, or $0.05 per diluted share.
On June 30, 2025, the Company had $30.3 million of outstanding borrowings on its U.S. revolving credit facility and $4.2 million outstanding borrowings on its China credit facility, $45.3 million of cash and $90.6 million of availability from the credit facilities (subject to customary borrowing base and other conditions), resulting in total liquidity of $135.9 million.
Second Quarter 2025 Segment Results
Global Seating Segment
Revenues were $74.5 million compared to $82.4 million for the prior year period, a decrease of 9.6%, due to lower sales volume as a result of decreased customer demand.
Operating income was $2.7 million, compared to $2.1 million in the prior year period, an increase of 29.1%, primarily attributable to lower SG&A expenses. Second quarter 2025 adjusted operating income was $3.1 million compared to $2.9 million in the prior year period.
Global Electrical Systems Segment
Revenues were $53.6 million compared to $53.6 million in the prior year period, essentially flat.
Operating income was $0.7 million compared to an operating loss of $0.5 million in the prior year period. The increase in operating income was primarily attributable to lower salary expense and lower restructuring costs in the current period compared to the prior period. Second quarter 2025 adjusted operating income was $1.2 million compared to $0.8 million in the prior year period.
Trim Systems and Components Segment
Revenues were $43.9 million compared to $57.6 million in the prior year period, a decrease of 23.8%, primarily as a result of decreased customer demand.
Operating income was $0.1 million compared to $2.3 million in the prior year period, a decrease of $2.2 million. The decrease in operating income was primarily attributable to lower sales volumes. Second quarter 2025 adjusted operating income was $0.3 million compared to $4.0 million in the prior year period.
