Commercial Traction Building. NN added $16.4 million of new business in the first quarter. The Company is well on pace to hit the lower end of its $60 to $70 million full-year target. NN continues to see positive traction in targeted markets, including medical, high-value automotive, and electrical components. Additionally, the Company’s commercial pipeline is strong at over $740 million.
Mixed Financial Start Amidst Transition. First quarter net sales came in at $105.7 million, compared to $121.2 million a year ago, with the decline primarily reflecting the Lubbock sale and rationalized business lines. On a pro forma basis, revenue was down just 1.3% year-over-year. Power Solutions declined to $43.5 million from $48.2 million in 2024 due to the sale of Lubbock. Mobile Solutions revenue fell to $62.2 million compared to $73.1 million during the same prior year period, due to the closing of the Juarez plant. Adjusted EBITDA was $10.6 million, slightly lower than last year’s $11.3 million and lower than our $11.6 million estimate. Adjusted EPS loss for the quarter improved year-over-year to $0.03 from a loss of $0.08.

1Q25 New Business Wins. NN achieved 1Q25 new business wins of $16.4 million, a solid performance given the state of the economy, in our view. In the same period last year, new business wins totaled $17.2 million. NN is well on its way to meeting its 2025 goal of $65 million in new business wins.
Diversified Backlog and Pipeline. New business wins for the quarter were focused on electrical and power products, medical, non-automotive industrial products, and automotive products. Roughly half of the nearly $700 million pipeline is in these targeted areas.

Term Loan Refi. NN announced the successful completion of its term loan refinancing. The new term loan has multiple improved operational features that management expects will enable the Company to improve and grow faster. Combined with the $65 million ABL refinancing announced in January, yesterday’s announcement sets the stage for a new chapter for NN, in our view.
Details. Although we are awaiting an 8-K filing to drill down into all the terms of the new financing, the term loan is $118 million, with a 2030 maturity. There is a $10 million add-on feature for certain borrowing and improved leverage and liquidity covenants. However, the interest rates are slightly higher than the previous term loan. Marathon Asset Management is the new lender.

Remain on Track. The first full year of NN’s transformation produced significant results, although the improvements were somewhat obscured in the GAAP reported results. With the successful change in the business trajectory, NN remains on track to achieve its 2028 financial goals of $650 million of net sales, with an adjusted EBITDA margin in the 12-13% range.
More Transformation in 2025. Management is not resting on its laurels. 2025 will continue the transformation plan with specific emphasis on improving or eliminating underperforming business, additional costs out, new business wins, and balance sheet improvement through a debt refinance.

Year of Transformation. Management highlighted its first full year of transformation, as the Company upgraded leadership positions and added to its Stamped Products, Electrical, and Medical teams. They also secured new business to offset rationalized business and create a path to y-o-y growth, increased gross margins, and decreased leverage to name a few actions. Lastly, the underperforming plants are expected to generate positive EBITDA in the new year compared to a negative $11.5 million last year.

New Facility. As part of the ongoing strategic transformation, NN entered into a new ABL facility. The new agreement provides NN with a $50 million revolving credit facility, with proceeds used to repay amounts outstanding under the previous ABL. The new agreement eliminates liquidity covenants under the previous ABL. We view the new ABL as a positive.
Improved Terms. The new ABL comes with improved terms, an indicator of the markets growing confidence in NN. The maturity date has been pushed out until December 2029, assuming the term loan is refinanced. The fee structure is lower across the board. And, most significantly, the interest rate should be lower. Based on the current one-month SOFR rate, the interest rate would be approximately 6%, down from approximately 7.2% at the end of September.

New ABL facility marks successful next step in Company’s balance sheet optimization strategy
CHARLOTTE, N.C., Jan. 02, 2025 (GLOBE NEWSWIRE) — NN, Inc. (NASDAQ: NNBR), a global diversified industrial company that engineers and manufactures high-precision components and assemblies, announced today that it has entered into an ABL Credit Agreement governing a new asset-backed senior secured revolving credit facility (the “ABL”). The new ABL Credit Agreement will provide NN Inc. with a $50 million revolving credit facility. The proceeds from the new credit facility were applied to refinance outstanding obligations under the company’s existing asset-backed loan credit agreement.
The new ABL Credit Agreement will carry a maturity of the earlier of two dates, between December 30, 2029, or the date that is 90 days prior to the maturity date of the company’s term loan. PNC Bank, N.A. is the underwriter for the transaction. A summary of the terms of the new credit facility are contained within the company’s recent filing with the Securities and Exchange Commission.

Tariffs Good for NN? The Trump administration is seeking protection for U.S. based production through the use of tariffs, potentially increasing costs for companies. However, NN has roughly $120 million of tariff-protected U.S.-produced auto parts and does not import from China. Adjusted Results. Adjusted net loss during the quarter was $2.5 million, or $0.05 per share compared to adjusted net income of $0.1 million or $0.01 last year. Adjusted EBITDA was $11.6 million, or a margin of 10.2%, compared to last year’s $14.5 million or 11.6%. Both items were impacted by the Company’s rationalization of plants undergoing turnarounds and the sale of the Lubbock plastic plant operations.
Accelerated Transformation.
