3Q23 Results. Bassett reported 3Q23 results in-line with the September 6th lowered expectations. Revenue was $87.2 million, down 26.1% year-over-year. Wholesale revenue declined 28.2% while Retail revenue declined 26.2%. Operating loss was $3.8 million compared to adjusted operating income of $6.1 million last year. Basset reported a net loss of $2.6 million, or $0.30 per share better than we had anticipated as SG&A expenses were reduced.

Uncertain Environment. The operating environment remains uncertain. While traffic and business increases around holiday events, day-to-day store traffic and wholesale order writing between the big events remain very challenging. We do not expect this situation to change until the consumer feels more confident about future prospects for the economy.

Preliminary Results. Basset released preliminary results for the fiscal third quarter ended August 26th that are well below our and consensus estimates. A 27% drop in wholesale shipments in the quarter combined with several unusual events related to store closures and ongoing discounting of the Club Level line negatively impacted the quarter.

Details. Net sales are expected to be approximately $87 million, a 26% drop y-o-y and well below our $101 million estimate and the consensus $98.9 million estimate. The low estimate for the quarter was $97 million. The Company is projecting an operating and net loss for the quarter. We had projected net income of $1.5 million and the consensus estimate called for net income of $2.2 million.

Management Call. We had an opportunity to speak with Bassett management at the end of last week. While the Company continues to work through COVID-related headwinds, such as excess and higher cost certain inventory, management remains optimistic regarding the new stores opening in 2H23, as well as the launch of the new website. All of which should help drive top line going forward, in our view.

Environment. The longer-term outlook for furniture sales remains positive, in our view. The Millennial cohort is entering its prime household formation and home buying phase, which augurs well for future home and furniture demand. Consumer confidence is improving, while expectations for employment and future interest rates remain positive for the industry, in our view. Bassett is well positioned to capture additional demand for furniture from consumers in the coming years.

Mixed 2Q Results. Bassett missed our top line projections, with revenue of $100.5 million compared to our estimate of $102 million and down 22% y-o-y from $128.7 million. Operating income for the quarter was $2.7 million compared to $11.0 million last year. The Company beat our bottom line projection, however, with net income reported at $2.1 million compared to our estimate of $0.3 million, but down from last year’s $47.1 million. Excluding $39.4 million from discontinued operations, however, net income for last year would be $7.7 million.

Still a Challenging Environment. Higher cost inventory and soft demand is continuing to plague the environment for Bassett, as wholesale orders were down 18% y-o-y and written orders declined 17%. The Company did a price cut strategy on its Club Level motion inventories at the end of the first quarter to move inventory and are not expecting any further cuts.

1Q23 Results. Bassett missed on both our top and bottom line projections as the hangover from 2022 continued. The Company reported revenue of $107.7 million, short of our $111 million estimate, and down 8.6% y-o-y. Wholesale revenue declined 16%, while Retail revenue rose 1.3%. Operating income was $2.7 million, down from $6.5 million in 1Q22. Bassett reported net income of $1.4 million, or $0.16 per share, compared to net income from continuing operations of $4.3 million, or $0.44 per share, in the prior year. We had forecast EPS of $0.30.

Operating Environment. The post-COVID operating environment remains challenging. While backlog levels have returned to more normalized levels, the Company continues to work through higher cost inventory as well as a shift in consumer dollars away from furniture. Wholesale orders fell 18% y-o-y in 1Q23, while retail written orders were off 16% y-o-y.

4Q22 Results. Basset reported revenue of $121 million for the fiscal fourth quarter, up 5.8% y-o-y, and above our $113 million estimate. Wholesale revenue declined 1.6% to $74.6 million, while Retail revenue rose 14.9% to $76.3 million. Operating income was $6.7 million, flat with the $6.6 million in 4Q21. Bassett reported net income of $5.0 million, or $0.55 per share, and $0.61 per share from continuing operations, compared to net income of $5.0 million, or $0.52 per share, and $0.49 per share from continuing operations, in the prior year. We had forecast EPS from continuing operations of $0.47.

Once Again, Retail the Star Performer. Continuing a trend, Bassett’s retail network was the quarter’s star performer, generating the fourth record quarter for the year, with fourth quarter deliveries of $76.3 million and $5.8 million of operating profit, more profitable than any previous comparable period on record.

Acquisition Proposal. Yesterday, CSC Generation Holdings, Inc. released correspondence sent to Bassett Furniture Industries, Incorporated offering to purchase the Company for $21 per share in an all-cash acquisition. According to the letter, CSC “submitted bona fide, attractive acquisition proposals to the Board of Directors of the Company on June 30, 2022 and September 26, 2022, the Board has been unwilling to engage with us in any meaningful way.”

3Q22 Results. Revenue for the fiscal third quarter ended August 27, 2022 was $118 million, up 12.5% over the prior year period. Wholesale revenue rose 8.3% to $79 million, while Retail revenue rose 21.0% to $70.9 million. Excluding a $4.6 million one-time gain, operating income was $6.1 million, up 22.1%. Bassett reported net income from continuing operations of $7.8 million, or $0.84 per share, compared to net income from continuing operations of $3.4 million, or $0.35 per share, in the prior year. We had forecast revenue of $120 million and EPS from continuing operations of $0.65.

Retail the Star. Once again, Bassett’s retail network was the quarter’s star performer, with “best ever” third quarter deliveries of $70.9 million and $4.5 million of operating profit. Segment operating profits in the first nine months exceed any full year performance to date.

Purchase of Noa Home. Basset purchased Noa Home, Inc., a a mid-priced e-commerce furniture retailer headquartered in  Montreal, Canada. We believe the purchase provides multiple benefits to Bassett, including a greater online presence, including for Bassett products, as well as allowing the Company to attract more digitally native consumers.

Transaction Details. The purchase price included cash payments of CAD$2.0 million paid to the co-founders of Noa and approximately CAD$5.7 million for the repayment of existing debt. The Noa co-founders also will have the opportunity to receive additional annual cash payments of CAD$1.33 million per year for the following three fiscal years based on established increases in net revenues and achieving certain internal EBITDA goals.
