Q1 results. The company reported Q1 revenue of $242.1 million, 3% lower than our estimate of $249.7 million. Adj. EBITDA loss of $27.9 million was below our estimate of negative $23.5 million. The lackluster results were partially attributed to roughly $3 million in wholesale revenue being pushed into Q2. A bright spot in Q1 was the effective management of input costs, which contributed to a gross margin improvement of 20 basis points from the prior year period.

Positioned for revenue growth. In our view, the company is positioned to benefit from several favorable developments, including expanded product offerings, a growing same-day delivery footprint and effective cost management of input prices. We believe that revenue trends should improve in coming quarters as inflation trends moderate and the general economy improves.

Solid Q3 results. For Q3, the company reported revenue of $379.4 million, in-line with our estimate of $379.4 million. While revenues were down nearly $40 million year over year, the seasonal adj. EBITDA loss of $5.7 million was modestly better year over year. Notably, Q3 gross profit margins increased 300 basis points. The improved gross profit margin was driven by lower freight and commodity costs.

Improving revenue trends. While revenue trends are not recovering as fast as we originally hoped, there is substantial sequential quarterlyimprovement in ecommerce revenue, which was down 12% in Q1, down 6.6% in Q2 and a more moderate decrease of 4.9% in Q3. Fiscal Q1 results better than expected. Total company revenues of $269.1 million, which declined 11.4% from a year earlier, beat our estimate of $249.9 million, driven by better results in each of its operating segments. The revenue decrease represented a significant moderation from the 17.9% decline in its fiscal Q4. The seasonal adj. EBITDA loss of $22.0 million was better than our loss estimate of $27.8 million. 

Improving margin outlook still favorable. Gross margins in the latest quarter improved 450 basis points from 33.4% to 37.9% due to lower ocean freight costs, moderating commodity prices, and lower inventory write-offs. While ocean freight prices have returned to near pre-Covid levels, there is still significant margin expansion opportunities as commodity prices moderate. We anticipate that full fiscal year 2024 gross margins should improve from 37.5% in 2023 to 39.3% in 2024.

Enters into a new credit agreement. The amended credit agreement increases the outstanding term loan from $150 million to $200 million, and reduces its revolving credit facility from $250 million to $225 million. The agreement extends the maturities of both the revolving credit facility and term loan until June 27, 2028, which we view favorably. 

Terms of the agreement. The conditions of the term loan stipulate that once optional and mandatory prepayments of the loan are made, the funds may not be reborrowed. Notably, the amended revolving credit facility is subject to an aggregate seasonal borrowing limit of $125 million from January 1 to August 1. However, the revolving credit facility allows for prepaid funds to be reborrowed. The term loan and revolving credit facility mature on June 27, 2028.

 A nice tuck-in acquisition. The company announced on January 10th that it purchased the brand, IP assets, customer list and some machinery of Things Remembered, an personalization engraver of gifts, for an undisclosed cash purchase price. We estimate that the purchase price was less than $10 million. The company is not acquiring any Things Remembered stores. 

Things Remembered could be the berries. The acquisition of Things Remembered is similar to the company’s successful acquisition of Shari’s Berries in 2019, although we believe that the purchase price is materially less than the $20 million paid for Shari’s Berries. Notably, with Things Remembered, the company gains a customer list of over 1 million.

Fiscal Q1 exceeds expectations. The company reported fiscal Q1 revenue of $303.6 million, 2.4% above our forecast of $296.5 million. Stronger revenues in Gourmet Food & Gift Baskets accounted for the largest upside revenue variance. Adj. EBITDA loss of $28.7 million was better than our forecast of a loss of $34 million.  

Segment contributions. Revenue was bolstered by 11% growth in the Gourmet Food & Gift Baskets segment, reflecting the Vital Choice acquisition last year, which benefited the quarter by roughly $5 million. The Adj. EBITDA upside was driven by better-than-expected margins in the Consumer Floral and BloomNet segments. Management anticipates that margins should improve in the second half due to moderating labor, ocean freight and shipping costs.
