  • Q2 revenue of $1.1 billion, up 4.2% year-over-year reflecting previously disclosed acquisitions, and down 3.3% on an organic basis
  • Q2 operating earnings of $22.2 million; $24.6 million on an adjusted basis, down 12.1% versus the prior year period
  • Q2 adjusted EBITDA of $37.0 million, down 8.7% versus the prior year; adjusted EBITDA margin decreased 40 basis points (“bps”) to 3.4%
  • Company expects year-over-year revenue decline of 5% to 7% in Q3 driven by reduced demand for U.S. federal contractors and from certain large customers. Adjusted EBITDA margin expansion of 80 to 90 bps is expected in Q3 and modest year-over-year margin improvement for the full year.

Financial Results for the thirteen-week period ended June 29, 2025:

Revenue of $1.1 billion, a 4.2% increase compared to the corresponding quarter of 2024 resulting primarily from the May 2024 acquisition of Motion Recruitment Partners, LLC (“MRP”). Excluding the impact of the MRP acquisition, revenue was down 3.3% on an organic basis, including approximately 1.4% of revenue decline due to reduced demand for U.S. federal government contractors and growth of 5.6% in the Education segment.

Operating earnings of $22.2 million, compared to earnings of $12.2 million reported in the second quarter of 2024. Adjusted earnings1 were $24.6 million in the second quarter of 2025 and $28.1 million in the second quarter of 2024. Adjusted EBITDA1 of $37.0 million, a decrease of 8.7% versus the prior year period. Adjusted EBITDA margin of 3.4%, a decrease of 40 basis points driven primarily by near-term margin pressure in SET and ETM reflecting timing of revenue trends and related expense management actions.

Earnings per share were $0.52 compared to earnings per share of $0.12 in the second quarter of 2024. On an adjusted basis1, earnings per share were $0.54 in the second quarter of 2025 compared to $0.71 per share in the corresponding quarter of 2024. The year-over-year decline includes $0.08 of increased net interest expense due to an elevated average cash balance in the prior year quarter and debt incurred in conjunction with the MRP acquisition as well as lower operating earnings.

Financial Results for the 26-week period ended June 29, 2025:

Revenue of $2.3 billion, a 7.8% increase compared to the corresponding period in 2024 resulting primarily from the May 2024 acquisition of MRP. Excluding the impact of the MRP acquisition, revenue was down 1.6% on an organic basis and includes approximately 1.1% revenue decline due to reduced demand for U.S. federal government contractors and growth of 6.1% in the Education segment.

Operating earnings of $33.0 million, compared to earnings of $39.0 million reported over the same period in 2024. Adjusted earnings1 were $46.7 million in the first half of 2025 and $51.2 million in the corresponding period of 2024. Adjusted EBITDA1 of $71.9 million, a decrease of 2.6% versus the prior year period. Adjusted EBITDA margin of 3.2%, a decrease of 30 basis points driven primarily by near-term margin pressure in SET and ETM reflecting timing of revenue trends and related expense management actions.

Earnings per share were $0.67 compared to earnings per share of $0.83 in the same period of 2024. On an adjusted basis1, earnings per share were $0.93 for the first half of 2025 compared to $1.26 per share in the corresponding period of 2024 reflecting higher interest expense following the MRP acquisition and lower operating earnings.

Quarterly Cash Dividend:

Kelly also reported that on August 6, its board of directors declared a dividend of $0.075 per share. The dividend is payable on September 3, 2025 to stockholders of record as of the close of business on August 20, 2025.

Q2 Overview. During the quarter, ODP saw improved revenue trends and delivered solid operating results, highlighted by stronger adjusted free cash flow generation. The results reflect ongoing improvements across both the consumer and B2B businesses. Retail meaningfully improved same-store sales trends versus last year, while the B2B business achieved approximately a 200-basis point improvement in year-over-year revenue trends.

Q2 Results. The ODP Corporation reported revenue of $1.59 billion in 2Q25, down from $1.72 billion in 2Q24. We had estimated $1.58 billion. Adjusted EBITDA was $47 million, down from $57 million a year ago and in-line with our $44 million estimate. Adjusted EPS came in at $0.51 compared to $0.56 in 2Q24 and our $0.23 estimate.

2Q25 Results. Revenue of $61.6 million was up 7% versus last year, excluding results for the divested automation unit. On the same basis, revenues were $39.5 million in the Americas, up 16% versus the prior year, revenues in Europe were $16.6 million, down 7%, and Asia Pacific revenues were $5.4 million, down 1%. Adjusted EBITDA of $8.3 million rose 17% y-o-y. ISG reported adjusted net income of $4.1 million, or $0.08/sh, compared with adjusted net income of $3.8 million, or $0.08/sh last year. Solid Q2 results. Conduent reported second-quarter revenue of $754 million, in line with our estimate. Adj. EBITDA of $37 million exceeded our $33 million forecast. Importantly, all three business segments posted sequential growth in new business annual contract value, signaling building commercial momentum and suggesting that execution is improving across the platform.

Portfolio rationalization in the works. The company collected the remaining $50 million from its Curbside Management divestiture, completing phase one of its portfolio rationalization strategy. Management indicated additional transactions are in progress, aimed at boosting profitability. To Be Acquired. Steelcase has entered into an agreement to be acquired by HNI Corporation in a cash and stock transaction with total consideration of approximately $2.2 billion to Steelcase common shareholders, or about $18.30/sh, an 80% premium to Friday’s close.

Details. Under the terms of the agreement, Steelcase shareholders will receive $7.20 in cash and 0.2192 shares of HNI common stock for each share of Steelcase. The implied per share purchase price of $18.30 is based on HNI’s closing share price of $50.62 on Friday, August 1, 2025, reflecting a valuation multiple at transaction close for Steelcase of approximately 5.8x TTM adjusted EBITDA, inclusive of run-rate cost synergies of $120 million. HNI Corporation to Acquire Steelcase in $2.2 Billion Deal, Creating Industry Powerhouse

HNI Corporation has announced a definitive agreement to acquire Steelcase Inc. in a cash-and-stock deal valued at approximately $2.2 billion. The strategic acquisition unites two iconic names in workplace furniture and design, combining their strengths in innovation, manufacturing, and dealer networks to form a dominant force in the commercial interiors market.

Under the terms of the deal, Steelcase shareholders will receive $7.20 in cash and 0.2192 shares of HNI common stock for each Steelcase share they own. Based on HNI’s stock price as of August 1, 2025, the total purchase price comes to about $18.30 per share. Once finalized, HNI shareholders will own roughly 64% of the combined entity, while Steelcase shareholders will hold the remaining 36%.

HNI Chairman and CEO Jeffrey Lorenger emphasized the complementary nature of the merger, stating, “This acquisition brings together two respected companies with strong brands and decades of leadership in the industry.” Lorenger will continue to lead the combined company, which will retain HNI’s headquarters in Muscatine, Iowa, and keep Steelcase’s base in Grand Rapids, Michigan.

The new entity will have a pro forma annual revenue of $5.8 billion and adjusted EBITDA of approximately $745 million, with anticipated annual cost synergies of $120 million. Financially, the acquisition positions the company for long-term earnings growth, with projections for accretive non-GAAP EPS by 2027 and a return to pre-acquisition leverage within 18 to 24 months.

The companies’ combined strengths span across corporate, healthcare, education, hospitality, and small-to-midsize business markets. With their complementary product portfolios and broad dealer networks, the merger enhances their ability to serve a wider range of customers with innovative solutions for modern workspaces. Both firms bring decades of product design expertise and a shared commitment to purpose-driven leadership and environmental stewardship.

Steelcase CEO Sara Armbruster called the merger a “bold step” that ushers in a new era for the company, employees, and customers. “Together, we will redefine what’s possible in the world of work, workers, and workplaces,” she said.

The transaction has received strong early support from key stakeholders. Some Steelcase shareholders have already agreed to vote in favor of the deal, and committed financing is in place from JPMorgan Chase and Wells Fargo. The merger is expected to close by the end of 2025, pending shareholder and regulatory approvals.

Mixed Environment. The operating environment remains mixed for ACCO. Americas sales continue to be impacted by tariffs and reduced spending for consumer and business products. The International segment is experiencing less disruption. If we can see some improvement in the environment, we are confident in ACCO’s ability to capture market share.

PowerA. Gaming was a positive contributor in the second quarter following the release of the Nintendo Switch 2, which became the fastest selling gaming console in history in the U.S. and Japan. 2Q25 Results. ACCO reported 2Q net sales and adjusted EPS in-line with management’s outlook. Revenue of $394.8 million was down 9.9% y-o-y. Comp sales were off 10.5% while favorable forex increased revenue by 0.6%. We had forecasted revenue of $390 million. Gross margin of 32.9% was below our 34.6% estimate. Net income totaled $29.2 million, or $0.31/sh, with adjusted EPS of $0.28 compared to $0.37 in 2Q24. We were at $0.21 and $0.32, respectively.

Drivers. Sales were immediately impacted by tariffs in April, although trends improved throughout the quarter. Net sales were also negatively impacted by softer global demand for consumer and business products, partially offset by growth in gaming accessories. ACCO continued to make progress on its cost cutting initiative, realizing more than $40 million in cumulative cost savings since inception.

CyberArk Shares Soar as Palo Alto Networks Eyes $20 Billion+ Acquisition

In a potential seismic shift in the cybersecurity landscape, shares of CyberArk soared by as much as 18% Tuesday following reports that Palo Alto Networks is in advanced talks to acquire the identity security firm in a deal exceeding $20 billion.

The reported deal, first published by The Wall Street Journal, would mark Palo Alto Networks’ largest acquisition to date, far surpassing its recent spree of cybersecurity buys and signaling a bold bet on the future of identity and cloud security. With a current market cap hovering around $132 billion, Palo Alto has emerged as the dominant force in the cybersecurity space, and a tie-up with CyberArk would only cement that leadership.

CEO Nikesh Arora, who took the helm at Palo Alto in 2018, has aggressively expanded the company’s portfolio in recent years, recently closing its purchase of Protect AI and acquiring Talon Cyber Security, Dig Security, and Zycada Networks in 2023. But a CyberArk deal would be in a league of its own — both in terms of size and strategic value.

CyberArk, based in Israel, specializes in identity management solutions — helping enterprises secure login credentials, privileged access, and sensitive systems. Its technologies are especially relevant in a business environment increasingly shaped by AI acceleration, cloud-first infrastructure, and a rising tide of ransomware threats. The company’s growth has reflected this demand: CyberArk’s first-quarter revenue jumped 43% year-over-year to $318 million, delivering $11.5 million in net income. Its stock has now climbed 29% in 2025, building on a 52% gain in 2024, and recently hit a record high.

Competition in the identity security space remains fierce, with Microsoft, Okta, IBM’s HashiCorp, and SailPoint all vying for enterprise customers. But CyberArk’s consistent performance and deep enterprise integration have made it a standout — and an attractive acquisition target.

As news of the potential deal broke, Palo Alto’s stock dipped 3.5%, likely due to investor concerns over the price tag and dilution. Still, the company’s shares are up nearly 9% year-to-date, reflecting continued confidence in its growth trajectory.

The possible merger comes amid a flurry of mega-deals in the cybersecurity sector. In March, Google announced its largest acquisition ever — a $32 billion purchase of cloud security firm Wiz. Similarly, Cisco shook the market in 2023 by acquiring Splunk for $28 billion, marking its biggest bet on data and threat intelligence tools.

4Q25 Results. Results came in above guidance. Revenue was $139.3 million, versus a high end guide of $137 million and exceeded our $132 million estimate. Gross margin of 40.2% was also above the high end of guidance, was flat y-o-y, and above our 37% estimate. The bottom line was impacted by a $69 million goodwill impairment charge, resulting in a loss of $2.23/sh for the quarter. Adjusted EPS was $0.16 versus $0.28 in 4Q24 and was above our estimate and the consensus estimate of a loss of $0.01/sh. Adjusted EBITDA was $9.8 million, above our $2.4 million estimate.

Pipeline. While overall pipeline contracted during the quarter, pipeline creation efforts grew in all regions with a higher volume of larger value deals. RGP secured multiple new opportunities exceeding $1 million and expanded the number of $1 million-plus projects in the pipeline relative to the same quarter last year. The Company is also seeing growing momentum in larger opportunities, each exceeding $5 million.

For businesses in manufacturing, distribution, logistics, business services, and retail, this can translate into unparalleled opportunities for scaling operations and accessing a diverse, expansive customer demographic. Unlike other regions, the U.S. provides a stable and predictable economic environment, making it a potentially reliable destination for significant capital deployment. Indeed, while some regions have seen a decline in foreign direct investment (FDI), North America has seen an increase, partly due to the U.S. market’s enduring appeal.

Legally and regulatorily, the U.S. provides a stable and transparent system, which is a major draw for European companies. It features strong intellectual property (IP) protections, generally favorable employer-friendly laws in most states, and a robust legal system that supports contract enforcement.

Beyond tolerance, the U.S. actively encourages FDI, recognizing its role in economic development and job creation, making it a highly attractive destination for European capital.

Adding to these draws, the U.S. labor market is generally more operationally flexible compared to many European economies. It features less pervasive unionization, fewer statutory time-off mandates, and largely defined contribution pension structures, all of which may help streamline post-acquisition integration and cost management for European acquirers.

COMPELLING VALUATION DYNAMICS & DEAL STRUCTURES: A BUYER’S WINDOW OF OPPORTUNITY

Recent market adjustments have tempered the soaring valuations seen in previous years, creating a more balanced and favorable buyer’s market. In 2024, average middle market M&A valuations eased to 9.4x EV/EBITDA, down from 9.6x in 2023.

While the median EBITDA multiple also dropped, signaling continued buyer selectivity, the share of deals closing at 10.0x EBITDA or higher rebounded significantly. This suggests that while overall valuations have stabilized, high-quality assets, particularly in service-focused areas, continue to attract strong competition and premium pricing. At the same time, the average enterprise value of targets increased, indicating a strategic shift towards larger, more synergistic acquisitions.

This environment is supported by a constructive lending landscape. Private credit has grown, taking a permanent share of the corporate lending market and offering flexible financing solutions.

Adding to this buyer-favorable backdrop, the U.S. Dollar has lost over 13% of its value against the Euro this year, potentially boosting the valuation case for European acquirers as a stronger Euro effectively discounts U.S. acquisitions by the same margin.

Despite some recent volatility in the middle market debt environment due to factors like credit downgrades and persistent high-yield spreads, optimism about private equity dealmaking remains high. This continued demand, alongside improving macroeconomic conditions, makes the market increasingly conducive to transactions.

Moreover, understanding the nuances of U.S. deal structures—from asset versus stock purchases to the strategic use of earn-outs—is key to optimizing transaction outcomes and aligning interests.

STRATEGIC SUPPLY CHAIN RECONFIGURATION: LOCALIZING FOR RESILIENCE AND OPERATIONAL ADVANTAGE

Global events have clearly highlighted the vulnerabilities of extended supply chains. For many European firms, enhancing supply chain resilience has become a top strategic priority.

While U.S. manufacturing output “barely increased” in 2024, indicating a lag between investment announcements and operational capacity coming online, this may create an opportunity for M&A. Acquiring existing U.S. companies could offer an immediate and impactful solution for nearshoring or reshoring production and distribution capabilities, circumventing these lags and accelerating market entry.

Establishing a U.S. footprint can directly impact lead times, reduces international transportation costs, and mitigates exposure to geopolitical disruptions and tariffs.

European firms are increasingly seeking U.S. acquisitions to create “tariff-proof” manufacturing and supply chains. Imagine a European manufacturer of specialized industrial components acquiring a U.S. distributor with strategically located warehouses; this not only ensures closer proximity to end-customers but could also help build a more secure and efficient North American supply network, providing diversification away from global reliance.

A WELCOMING POLICY ENVIRONMENT: INCENTIVES FOR FOREIGN INVESTMENT AND GROWTH

The U.S. government has adopted a supportive stance towards domestic investment, offering substantial incentives that can indirectly benefit foreign acquirers. Initiatives like the Inflation Reduction Act (IRA) and CHIPS Act, while often associated with specific high-tech manufacturing, create a broader environment that could favor industrial growth.

The CHIPS Act, for example, not only boosts semiconductor production but also strongly encourages supply chain diversification and risk mitigation across related industries. While some specific tax credits might face adjustments, certain benefits of the IRA are expected to remain intact, continuing to make U.S. investment attractive.

This supportive policy environment, combined with a stable regulatory landscape compared to other global jurisdictions, could further de-risk direct foreign investment. The U.S. actively encourages FDI, recognizing its role in economic development and job creation, making it a highly attractive destination for European capital.

Beyond direct governmental initiatives, the U.S. tax environment offers key advantages that may enhance its appeal for cross-border M&A.

U.S. tax law broadly allows for the amortization of goodwill and other intangible assets in the case of asset acquisitions. Moreover, in certain circumstances, transactions structured as stock acquisitions can be treated as asset acquisitions for income tax purposes with the appropriate election, allowing buyers to obtain assets with a “stepped up” tax basis, alongside the benefit of intangible asset amortization.

Importantly for European acquirers, the U.S. maintains a wide treaty network with Europe. This network may enable the efficient repatriation of after-tax earnings with favorable withholding tax rates, further making the U.S. an attractive destination for international expansion.

SECTOR-SPECIFIC READINESS: RIPE OPPORTUNITIES ACROSS INDUSTRIES

Beyond macroeconomic factors, the U.S. market may offer significant opportunities in specific sectors. In manufacturing, there is a strong push for modernization and efficiency, that could make established U.S. facilities ripe for European investment and technological enhancement.

The fragmented nature of the U.S. distribution and logistics sectors may present opportunities for consolidation, allowing European players to build scalable networks. Indeed, recent trends show a noticeable uptick in European buyers seeking to expand their U.S. footprint, often driven by a desire to mitigate tariff impacts.

Business services and retail, driven by a dynamic consumer base and rapid technological adoption, offer avenues for market expansion and digital transformation. For example, a European logistics firm might acquire several regional U.S. trucking companies to quickly establish a national network, leveraging existing customer relationships and infrastructure and benefiting from the observed M&A activity in logistics, where cross-border deals accounted for 44% in 2024.

Cooperation Agreement. Resources Connection has entered into a “Cooperation Agreement” with shareholder Circumference Group LLC. According to a Form 3 filing of June 30th, Circumference owns 1,289,243 RGP shares, representing 3.9% of the common shares outstanding as of March 31st.

Board Changes. As part of the Cooperation Agreement, RGP appointed Jeff Fox, founding partner and CEO of Circumference Group, and Filip Gyde, former CEO of Computer Task Group, to the Board. Current Board members Anthony Cherbak and Neil Dimick will retire from the Board following the conclusion of their terms in October 2025.
