Why Zuckerberg Won’t be Adding a Cryptocurrency to Meta’s Features

 

What do regulators distrust more, big tech or cryptocurrency? Facebook announced back in 2019 that it had plans to create a cryptocurrency and payment system. Regulators were immediately concerned, both in the U.S. and globally about the power, security, and reliability of the private network. This week the Meta-backed (Facebook) crypto affiliate sold its assets for $182 million and is winding down the initiative on regulators’ concerns.

The social media platforms’ stable currency and payment system project was originally called Libra. It changed the name to Diem over logo and copyright concerns. Diem was a permissioned blockchain-based stablecoin payment system. The vision also included a private currency which would have been a cryptocurrency. The launch was originally planned for 2020, but only basic experimental code had been released before this week’s sale.

U.S. Regulation

“The combination of a stablecoin issuer or wallet provider and a commercial firm could lead to an excessive concentration of economic power,” U.S. regulators said in a 2021 report. “These policy concerns are analogous to those traditionally associated with the mixing of banking and commerce, such as advantages in accessing credit or using data to market or restrict access to products,” the report said.

About the Seller and Buyer

The Diem Association was made up of partners from related businesses, including payment, technology, telecommunication, online marketplace, venture capital firms, and nonprofits. Among the original partners that dropped out under the intense scrutiny were Paypal (Nasdaq:PYPL) and Visa (NYSE:V). The currency and transactions would have been managed and cryptographically entrusted to Diem.

Diem’s technology was purchased this week by Silvergate Capital Corporation (NYSE:SI). Silvergate is a payment services company. According to its website it serves “…750 of the most recognized and well-funded digital currency exchanges, institutional investors, and software developers in fintech. As part of the purchase, Silvergate received development, deployment, and operations infrastructure, as well as tools for running a blockchain-based payment network for payments as well as cross-border wire transfers.

Diem’s CEO Stuart Levey said in a statement that the initiative made progress, but “it nevertheless became clear from our dialogue with federal regulators that the project could not move ahead.” Levey said “…a senior regulator informed us that Diem was the best-designed stablecoin project the U.S. Government had seen.”  The CEO added, “Despite giving us positive substantive feedback on the design of the network, it nevertheless became clear from our dialogue with federal regulators that the project could not move ahead. As a result, the best path forward was to sell the Diem Group’s assets, as we have done today to Silvergate.”

Take-Away

The Diem sale is not in response to the recent weakness in cryptocurrency, it’s a response to a regulatory environment that has been critical of Libra the Diem since it originated.

While Facebook’s association with Diem has ended, Silvergate has spent almost $200 million to own the assets. Silvergate or another company could revive the project. It was the concerns over the breadth and power of Meta that prevented progress on the regulatory front. The Diem Association was considered more transparent and regulator-friendly than many existing stablecoins.

Achievement of initial efficacy milestone allows full enrollment of checkpoint inhibitor naïve cohort

FLORHAM PARK, N.J., Feb. 02, 2022 (GLOBE NEWSWIRE) — PDS Biotechnology Corporation (Nasdaq: PDSB), a clinical-stage immunotherapy company developing novel cancer therapies and infectious disease vaccines based on the Company’s proprietary Versamune® and Infectimune™ T-cell activating technologies, today announced its VERSATILE-002 Phase 2 study for the treatment of advanced human papillomavirus (HPV)-associated head and neck cancer achieved its preliminary objective response benchmarks. The trial, which studies PDS0101 in combination with Merck’s anti-PD-1 therapy KEYTRUDA® (pembrolizumab), will now progress to full enrollment of 54 patients in this group of checkpoint inhibitor (CPI) naïve patients. As pre-specified in the clinical trial design, the achievement of an objective response as measured by radiographic tumor responses according to RECIST 1.1 (tumor reduction of 30% or more) confirmed by two separate measurements among at least four or more of the first 17 patients in the CPI naïve arm allows that arm to progress to full enrollment. We anticipate these data will be presented in more detail at an upcoming medical conference.  

VERSATILE-002, being conducted in collaboration with Merck (known as MSD outside the US and Canada), is being studied in two groups of HPV16-positive head and neck cancer patients whose cancer has returned or spread. The first group have not been previously treated with a checkpoint inhibitor (CPI naïve). An initial assessment of the combination in a second group of 21 patients who have failed prior therapy with checkpoint inhibitors (CPI refractory) is ongoing.

    Two new build feeders added to existing new build program. Two Eco design 2,800 TEU Feeders will be built at Hyundai Mipo in South Korea at an estimated cost of ~$85 million, or ~12% above the Feeders ordered in 2Q2021. Deliveries are slated for 4Q2023/1Q2024. The new build program expands to four Feeders, and we view this move as a sign of confidence in the Feeder market outlook in part due to an order book that is below the order book for intermediate and larger containerships.

    First two Feeder new builds on track and time charter interest developing.  The first two Eco design 2,800 TEU Feeders ordered in 2Q2021 are on track, with deliveries are slated for 1Q2023/2Q2023. Total estimated cost is ~$76 million. On the last call, management indicated that interest was picking up and time charters are likely to be in place prior to delivery …

News Release – Vancouver, British Columbia – February 2, 2022:Defense Metals Corp. (“Defense Metals” or the “Company”) (TSX-V:DEFN / OTCQB:DFMTF / FSE:35D) is pleased to announce that 1,576 core samples representing 23 drill holes totalling approximately 3,900 metres of diamond drill core have been shipped and received by ALS Canada Ltd. (ALS) from its Wicheeda rare earth element (REE) Project.

Samples shipped to date represent more than 70% of the 2021 drilled meterage from the Company’s highly successful 29 hole, 5,349 metre diamond drill program designed to expand the Wicheeda REE deposit and further upgrade existing resource categories (see Defense Metals news release dated November 8, 2021). Core samples from the remining six diamond drill holes are expected to be shipped to ALS within one week’s time.

Of the 1,576 samples submitted to ALS, an ISO-IEC 17025:2017 and ISO 9001:2015 accredited geoanalytical laboratory, a total of 1,206 samples have been crushed and pulverized in preparation for multi-element ICP-MS fusion analysis. The Company expects to receive initial assay results from the first four diamond drill holes of the 2021 campaign, subject to QA/QC review, by mid-February with additional results news flow by end of February and thereafter.

The 2,008-hectare Wicheeda REE Property, located approximately 80 km northeast of the city of Prince George, British Columbia, is readily accessible by all-weather gravel roads and is near infrastructure, including power transmission lines, the CN railway, and major highways.

The Wicheeda REE Project yielded a robust 2021 PEA that demonstrated an after-tax net present value (NPV@8%) of $517 million, and 18% IRR[1]. A unique advantage of the Wicheeda REE Project is the production of a saleable high-grade flotation-concentrate. The PEA contemplates a 1.8 Mtpa (million tonnes per year) mill throughput open pit mining operation with 1.75:1 (waste:mill feed) strip ratio over a 19 year mine (project) life producing and average of 25,423 tonnes REO annually. A Phase 1 initial pit strip ratio of 0.63:1 (waste:mill feed) would yield rapid access to higher grade surface mineralization in year 1 and payback of $440 million initial capital within 5 years.

Achievement of initial efficacy milestone allows full enrollment of checkpoint inhibitor naïve cohort

FLORHAM PARK, N.J., Feb. 02, 2022 (GLOBE NEWSWIRE) — PDS Biotechnology Corporation (Nasdaq: PDSB), a clinical-stage immunotherapy company developing novel cancer therapies and infectious disease vaccines based on the Company’s proprietary Versamune® and Infectimune™ T-cell activating technologies, today announced its VERSATILE-002 Phase 2 study for the treatment of advanced human papillomavirus (HPV)-associated head and neck cancer achieved its preliminary objective response benchmarks. The trial, which studies PDS0101 in combination with Merck’s anti-PD-1 therapy KEYTRUDA® (pembrolizumab), will now progress to full enrollment of 54 patients in this group of checkpoint inhibitor (CPI) naïve patients. As pre-specified in the clinical trial design, the achievement of an objective response as measured by radiographic tumor responses according to RECIST 1.1 (tumor reduction of 30% or more) confirmed by two separate measurements among at least four or more of the first 17 patients in the CPI naïve arm allows that arm to progress to full enrollment. We anticipate these data will be presented in more detail at an upcoming medical conference.  

VERSATILE-002, being conducted in collaboration with Merck (known as MSD outside the US and Canada), is being studied in two groups of HPV16-positive head and neck cancer patients whose cancer has returned or spread. The first group have not been previously treated with a checkpoint inhibitor (CPI naïve). An initial assessment of the combination in a second group of 21 patients who have failed prior therapy with checkpoint inhibitors (CPI refractory) is ongoing.

Innovative Multi-Year Partnership Creates Compelling Offering to Improve Operators’ ESG and Operational Performance

HOUSTON AND WILLOW PARK, TX – February 2, 2022 – Flotek Industries, Inc. (“Flotek” or the “Company”) (NYSE: FTK), a leader in technology-driven, specialty green chemistry solutions, announced today it has entered into a long-term agreement with ProFrac Services, LLC (“ProFrac”), the largest private North American provider of hydraulic fracturing services, to provide its full portfolio of sustainable chemistry solutions to a dedicated portion of ProFrac’s hydraulic fracturing fleets.

The partnership creates a compelling, vertically integrated solution to enable E&Ps to more sustainably develop natural resources, while reducing the total cost of ownership. The agreement leverages ProFrac’s leading market position and new technologies that significantly reduce greenhouse gas (“GHG”) emissions and increase efficiency with Flotek’s green chemistries that reduce the environmental impact of energy by increasing customers’ operational and ESG performance beyond existing sustainability practices.

Under the terms of the contract, Flotek will provide full downhole chemistry solutions for a required minimum number of fleets for three years. This creates an immediate expected contracted backlog of revenue greater than $230 million, based on estimated chemical volumes and pricing, and is anticipated to represent annual recurring revenue in contrast to traditionally transactional purchases.

Key Contractual Highlights:

  • Scope: Full downhole chemistry for the greater of 33% of ProFrac’s crews or 10 crews as a minimum
  • Duration: Three years
  • Protections: Flotek will receive 25% of the difference between the committed volumes and the shortfall should the defined scope not be achieved

In exchange for entry into the multi-year revenue commitment, ProFrac will receive $10 million initial principal amount of notes that are convertible into Flotek common stock (as described below). In addition, ProFrac will be permitted to designate up to two new directors to Flotek’s board of directors. Simultaneously, Flotek entered into a Private Investment in Public Equity (PIPE) transaction with a consortium of investors to secure growth capital for the Company. Pursuant to the PIPE transaction, Flotek will issue $21.2 million aggregate initial principal amount of convertible notes for net cash proceeds of approximately $19 million. The investors are ProFrac Holdings, LLC, Burlington Ventures Ltd., entities associated with North Sound Management, certain funds associated with one of Flotek’s directors including the D3 Family Fund and the D3 Bulldog Fund, and Firestorm Capital LLC. The notes issued to ProFrac and in the PIPE transaction accrue paid-in-kind interest at a rate of 10% per annum, have a maturity of one year, and are converted into common stock of Flotek (a) at the holder’s option at any time prior to maturity, at a price of $1.088125 per share, (b) at Flotek’s option, if the volume-weighted average trading price of Flotek’s common stock equals or exceeds $2.50 for 20 trading days during a 30 consecutive trading day period, or (c) at maturity, at a price of $0.8705.

Fed Tightening Causes Hedge Fund Manager to Consider SPACs a “Best Idea for 2022”

 

Investments that are less understood tend to trade at a discount. As investors come to understand them, and how to value them, the market becomes deeper and more liquid. Knowing that there will be a buyer or a seller to take the other side of a trade is worth quite a bit. Boaz Weinstein is the Founder and chief investment officer of the hedge fund Saba Capital. He believes that SPACs are still misunderstood and undervalued. Boaz also has told Bloomberg that these stocks may be a good sector to consider as the Fed tightens.

Mr. Weinstein gained recognition in the early and mid-2000s when he worked at Deutsche Bank. He is especially known for his credit default swap trading strategies.

At a “Best Ideas for 2022” webinar hosted by Saba on Friday (January 28) Boaz explained that he believes, “SPACs are misunderstood because they’re fixed-income products.”  He explained, special purpose acquisition companies, or SPACS, were popular early in 2021 but their popularity faded as regulators began to scrutinize aspects of their structure.

An attractive part of SPACs structure, Weinstein argues, is they can be bond-like and earn interest on behalf of the owners pre-merger. Another aspect of SPACS is that they are sold with warrants that can have interesting returns either if they’re sold immediately or if the company rises in value.

The IPO and SPAC market doesn’t have the significant tailwinds they benefitted from with their popularity a year ago. According to Bloomberg, the Saba CIO has invested in more than 400 SPACs since October 2021. Weinstein has been investing in SPACs for more than a decade, holding about 7% of the market in 2006, when it was valued at $15 billion. Today, the market is more than 10 times as big as it was 15 years ago, Weinstein estimates he holds about 1% of it.

While analysts debated whether inflation is transitory or persistent, the Saba CIO explained at a Robinhood Investor Conference held last year, “If you were going to buy a 5-year bond because a 75 basis point yield was enough to excite you or a 10-year at 1.45%, you’re taking significant risk that inflation is not transitory or that people fear that it’s not transitory.” Weinstein said warned higher inflation erodes the value of fixed-income investments. Meanwhile, SPACs often trade at a discount to the escrow and earnings on the assets held in trust on behalf of the investors.

ATHENS, Greece, Feb. 01, 2022 (GLOBE NEWSWIRE) — Euroseas Ltd. (NASDAQ:ESEA), an owner and operator of container vessels and provider of seaborne transportation for containerized cargoes, announced today that it has signed a contract for the construction of two additional Eco design fuel efficient containerships. The vessels will have a carrying capacity of about 2,800 teu each and will be built at Hyundai Mipo Dockyard Co. in South Korea. The two newbuildings are scheduled to be delivered during the fourth quarter of 2023 and first quarter of 2024, respectively. The total consideration for these two newbuilding contracts is approximately $85 million and will be financed with a combination of debt and equity. The vessels are sisterships of a pair of vessels ordered by Euroseas Ltd. in June 2021.
